Conditions

of

Participation

1. In these conditions the

term

"Exhibitor" means the signatory

of the

Registration Contract, and includes all employees or agents

of

such and the

term

"Exhibition" means

that

described

on the

reverse

hereof. "The

Orqanisers" means

Al

Fajer lnformation & Services.

2.

In case

of

Joint venture howsoever described,

the

€xhibitor rs deemed

to

have obtained

the

consent

of

all

the

individual oarticrDants

to

all

the

condrtions

of

thrs contract.

3.

lf the

Exhibitor does

not

pay the balance

of

the contract price at

the

prescribed time, the Organiser reserves the r ght after due notice

to

the Exhibitor or the agents as appropriate

to

cancel

the

booking. In this event,

or

if

the

Exhibitor cancels the booking after the application is granted, the deposit will be forteited. Additionally, if cancellation occurs

for

either reason

alter the

prescribed date

for

payment o{ the balance ot the contract pr ce, a sum in liquidated damages equivalent thereto will be payable by the Exhibitor 10 the organiser n any event.

4. Application for space must contain details of the proposed exhibits and the name of any other company represented by the Exhibitor whose products are 10 be shown or whose services are to be referred to on the stand. The charge for space is exclus ve of any applicable federal or local Government or Municipal taxes all of which if any must be borne by the Exhibitor. currently no such taxes are levied.

5. The organiser shall have full power

to

determine in every respect the allocation

of

area and position

space and

it

shall be entitled

for

any reason which in its sole opinion is in the genera interest

ol

the Exhibtion

to

vary the general layout or the situation and area of any particular stand even

f

already allocated and the Exhibitor shal accept a new allotment of space in substitution of that ofigina ly allotted.

6. Upon the acceptance

of

the Application for space a contract shall arise betlveen the Orqaniser and the Exhibltor in the terms

of

these conditions sublect

to

variation as mentioned and as regards space allotted the relationship

of

licensor

and

icensee shall mmediately arise and continue between the Organiser and the Exhibito'. ln case

of

non payment

of

any surn due or any breach

of

non-observance

of

any

of

these conditions by the Exhibitor, the Organiser shall have the full right to revoke this license and

to

re-enter upon the allotted space and may remove and exclude the Exhibitor without prejud ce to recovering all monies payable hereunder, all other claims against the Exhibitors and the right

to

recover damages sustained by the Organiser.

7. The Exhibitor shali occupy the space allotted

to

it by 8 am on the day prlor to the opening ot the Exhibition. In the event

of

default due

to

any cause whatsoever, the Exh bitor shall pay to the Organ ser a further sum in liquidated damages equal to the total charge of the space and the Organiser shall have the right to deal with the space in any way it thinks best.

8.

In

the

event

of

any Exhibitor committing

an

act

of

bankruptcy

or if a

limited company being wound up the contract with it shall be determined void and all mon es

already paid shal be retained by the O'ga|.iser.

9. The Exhibitor may not assign, sublet or

grant

icences n respect of any part of the soace allotted

to

it nor may advertisements of firms who are not bonaf de exhibi'tors show

on

its stand- Only those product5, services and companies mentioned on the Registration contraqt may be incorporated in the stand.

10. Breach

of

Contract and Withdrawal by

the

Exhibitor

Without

prejudice

to

the rights and remedies of the organiser in respect of any breach of the Contract on the part

of the

Exhibitor,

the

Organiser may

at

its

discretion

allow

the

exhibitor to withdraw irom the Exhibition.

12. Allelectricals wirings and outlets shailbe at the Exhibitor's expense. Alloperating electrical equipment used in the exhibit must have an equivalent power supply to that of the fairground.

'13. Space contracted by the Exhibitor may not be sublet without prior permission

of

the Organizer.

14. The exhibitor agrees

to

abide

by

all

regulations

and rues

adopted

by

the Organizer in the best interest

of

the show and agrees that Organizer shall have the final decision in adopting any rules or regulations deemed f t prior to, during and after the show

15. Exhibitor

will

be liable

for

and w ll indemnify and hold harmless

the

Organizer from any loss or damages whatsoever suffered by Exhibitor as a result

of

any loss or damages whatsoevef occurring

to

or suffered by any person or company, rncludlng, without llmiting the generality of the foreqoing, Exhibitot other exhibitors,

16. Once

the

space reservation is confirmed

the

Exhibitor shall

not

be entitled

to

rescind

the

contract

,

nor

sha

I

he be entitled

to

reduce

the

stand area. The participation charges shall be payable in full together with any costs actually incurred.

17. Should Organiser make use

of

an unoccupied space rented by the Exhibitor

lor

the

purpose

of

improv ng

the

general appearance

of the show the

Exhibitor who reserved the space is still entitled to pay the cost of the said space.

18. Should

an

Exhibitor

not

take

up the

stand area he applied

for or that

was allocated

to

him and Organiser are able

to

rent the space

to

another company (not by relocating another stand) the Exhibitor shall still be required

to

pay the full stand rental charges as will be described in the invoice to be issued for payment.

19.

Organizer reserves

the

right

to ater or

change

the

space assigned

to

the Exhibitor.

20. Organizer reserves the right at any time

to

alter or remove exhibits or any part thereot, including printed material

,

products, signs, lights or sound and

to

expel exhibitors or the r personnel if, in Organizer's opinion their conduct or presentation

is objectionable

to

other show participants.

21.

Exhibitor agrees

to

confide his presentation

within

the contracted space only, and

within

the

maximum height set by

the

show rules

and

regulations and

to

maintain a staff In his booth space during show hours.

22. The Exhibitor w ll be totally responsible for the cost

of

restoring

to

its original condition any part of the stand or structure occupied by it which has been altered or qamageo rn any way.

23. The organiser shall not be responsible for the loss or damage to any property

of

the

Exhibitor or any other person caused by theft, frre. de{ect in the Trade centre Exhibition Hall

("the

Hall"), storm, tempest,

liqhtnng,

national emergency, civil unrest, war, labour disputes, lockouts, explosions, acts oI God and general cases

of

force maleure whether or not ejusdem genefls with the foregoing or any cause not within the Organiserl control or for any loss or damage sustained in the event that the opening or ho ding of the Exhibition is prevented, postponed or abandoned or if the Hall becomes tota ly or partially unava lable for the ho ding

of

the Exhibltion due

to

any

of

the

{oregoing causes. The Exhibitor shall indemnify and hold the organiser safe and harmless Irom all loss and damage

to

person or property and all claims ar sing

out

of the Exhibitors stand fittings and for the Exhibitor's portion

of

the shell scheme and for any loss or damage

to

the basic shell scheme stand. The Exhib tor is advised to take out insurance cover for the purpose

of

indemnifying the Organiser as a{oresaid and also to cover itself against all risks in respect of which the organiser is expressed not

to

be responsib e in these conditions.

24. In no event sha I the Exhibitor have any claim for damages

of

any kind against the Organiser in respect

of

any loss or damage consequent upon the prevention or postponement or abandonment of the Exhibition by reason of the happening of any of the event5 referred to in Condition 25 or othe^r'r'ise or of the Hall becoming wholly

or

partially unavailab

e

for

the

holding

of

the

Exhibition

for

reason beyond the organiserb contro and the Organiser shall be enttled

to

reta n all sums pa d by the Exhib

or such

thereof as

the

Organiser shall consider necessary

in the opinion of the organiser by re-arrangement or postponement of the period of the Exhib tion or by substitution

of

25.

The Organ ser reserves

26. The Exhibitor shall

27.

the subject matter of the Exhibition in the sole opinion of the Organiser and shall be tasteful and of a suitably high standard and shall not contravene or conflict with any local

law

moral or custom and if in the opinion of the Organ set the Exhibitor is in breach

of

this clause, the Organiser may direct the Exhibitor

to

rectify such breach and the Exhibitor shall immediately act accordingly.

28. In the event of a breach ol any oI the conditions herein the Organiser may in all cases retain all monies paid by

the

Exhibitor and recover further monies from the Exhibitor as provided herein.
