Pihak Pert am a menjamin Logam M ulia (Au) yang dijualnya bukan barang berm asalah barang curian,
hasil perampokan at au hasil dari kejahatan, tet api m erupakan barang Legal dapat dijual belikan
bebas ke Negara manapun at au kepada Pihak Kedua manapun baik didalam negeri m aupun diluar
negeri.

Dim ana, Pihak Kedua m enyat akan dengan penuh t anggung jaw ab berdasarkan hukum yang
berlaku di Negara Kesatuan Republik Indonesia, bahw a kuasa dan kesanggupan pem belian dan
pem bayaran kom odit as Emas Batangan / Logam M ulia (Au) yang dimaksud adalah hak kuasa dan
kesanggupan m ut lak Pihak Kedua dengan kondisi dana yang bersih, bebas dari t unt ut an pihak lain,
hut ang at au sangkut an lainnya kepada part ai ket iga dan bebas dari tindakan pidana m aupun
perdat a.

In t his case t he Part ies have agreed to execut e the transact ion Sale - Buy Gold Bars / Precious M etals ( Au ) is an earnest and com m itt ed account able consensus or applicable legal deliberation in the Republic of Indonesia as st ipulated in art icles below .
Dalam hal ini Para Pihak t elah sepakat untuk melaksanakan transaksi Jual - Beli Emas Batangan /
Logam M ulia (Au) yang dim aksud dengan sungguh-sungguh dan berkomit ment yang dapat
dipert anggungjaw abkan secara m usyaw arah maupun hukum yang berlaku secara m usyaw arah di
Negara Kesat uan Republik Indonesiasebagaim ana t elah diat ur dalam pasal-pasal berikut ini.
1. AGREEM EN T

1. KESEPAKATAN
Perjanjian yang t ert era dalam kontrak ini merupakan suatu satu kesatuan yang t idak dapat
dipisahkan dari pra-perjanjian, perjanjian Jadw al / Volum e, dan Surat Pem esanan (PO)
Transaksi Em as Bat angan serta Perjanjian Komisi M ediator.
2. CO M M ODITIES
Pure 24 carat Gold / Precious M et als ( Au ) w ith t he follow ing condit ions : 2.1 Levels of Purit y : 99.95 % - 99.99 % ( 24 Karat ) .
2.2 Kuant itasTransaksi : 250 KG / W eek or 1 Ton / M ont h 2.3 Shape : Bar or bars w eighing 1000 gram ( 1Kg ) . 2.4 Hallm ark : Plain / Non Hallmark.
2. KOM ODITAS
Em as M urni 24 Karat / Logam M ulia (Au) dengan kondisi sebagai berikut :
2.1 Kadar Kem urnian : 99.95% - 99.99% (24 Karat ).
2.2 Kuant it asTransaksi : 250 KG / M inggu atau 1 Ton / Bulan
2.3 Bent uk : Bar at au Batangan dengan berat 1000gram (1Kg).
2.2 Hallm ark : Polos/ Non Hallm ark .
3. PRICE AND DISCOU NT
3.1 The Part ies agree t hat the price per kilo w hich is t he price specif ied on t he Real Trade Indonesia ( RTI ) GOLD At 08:30 on t he day of the t ransaction that has been determined either once or gradually lift.
3.3 The Part ies agree on t he det ails of grant ing Discount in the set as follow s:Cash back to the Buyer by 5 %
3 HARGA DAN DISKONTO
3.1 Para Pihak sepakat bahw a harga per kilo yang dit ent ukan adalah harga pada Real
Trade Indonesia(RTI) GOLD Pukul 08.30 pada hari transaksi yang t elah ditentukan
baik secara sat u kali angkat m aupun bert ahap.
3.2 Diskon yang disepakat i unt uk harga per kilo adalah sebesar 5% (Lim aPersen) dari
harga Real Trade Indonesia(RTI) pada hari pem bayaran dan pengam bilan Emas
Bat angan / Logam M ulia (Au).
3.3 Para Pihak sepakat perincian pem berian Discount di at urkan sebagai berikut :

4. SEQ UEN CE TRAN SACTION
4.1. The Part ies agree to all existing form alit ies and agreem ent s set fort h in t his Purchase
Agreem ent . Part ies w ith f ull responsibility contract signed agreem ent s Sale and Purchase
Gold Bars / Precious M etals (Au).
4.2. Second party must issue a m axim um of one m ont h DEPOSIT of Bank M andiri.
4.3. Second party opened t he PO (Purchase Lett er) to the First Party.
4.4. The original BANK M ANDIRI DEPOSITS subm it as an evidence of a m aximum of 1
month w ith t he desired amount of t he t ransaction value t o t he Party and w ill be kept in
Safet y Deposit Box as proof guarant ee.
4.5. Second part yis fully agreed paym ent s t o t he First Part y w ith payment by CASH /
OVERBOOKING / TRANSFER w orth (equivalent ) w ith t he am ount booked in t he booking
docum ents (Purchase Order / PO).
4.6. W hen t he m at urit y period of up to 10 days of t he transact ion w ill be executed in place
already agreed upon t oget her.
4.7. It is M ANDATORY for second part y t o conduct t esting for t he purit y levels and Precious
M etals (Au) eit her by t heir ow n equipm ent or t ools Test Assayer ot her parties.
4.8. When it has already passed the t est of purit y and levels that have been agreed t hen
the second party is obliged t o make paym ent by CASH / OVERBOOKING / TRANSFER t o t he

4.4. Para Pihak set uju dengan sem ua formalitas yang ada dan kesepakatan yang
dituangkan dalam perjanjian Jual Beli ini. Para Pihak dengan penuh t anggung
jaw abm enandat angani perjanjian kont rak Jual Beli Em as Bat angan / Logam M ulia
(Au) ini.
4.4. Pihak Kedua harus m enerbit kan DEPOSITO berjangka m aksim al 1 bulan dari BANK
M ANDIRI.
4.4. Pihak Kedua m embuka PO (Surat Pembelian) kepada Pihak Pert am a.
4.4. m enyerahkan bukt i DEPOSITO BANK M ANDIRI berjangka m aksim al 1 bulan yang
aslidengan sejum lah nilai transaksi yang diinginkan kepada Pihak Bank M andiri unt uk
disim pan di Safety Deposit e Boxsebagai bukt i jam inan.
4.4. Pihak Kedua sepenuhnya m enyanggupi pembayaran kepada Pihak Pert am a dengan
pembayaran dengan CASH/ OVERBOOKING/ TRANSFER senilai (equivalent ) dengan
jumlah yang dipesan di dalam dokum en pem esanan (Purchase Order/ PO).
4.4. M akadengan t empo w aktu maksimal 10 hari t ransaksi akan dilaksanakan dit empat
yang sudah dikesepakat i bersam a.
4.4. Pihak Kedua W AJIB m elakukan penget esan dengan menguji kadar dan t ingkat
kem urnian Logam M ulia (Au) baik m em baw a Alat Test sendiri atau alat Assayer
pihak lain.
4.4. Bilamana lulus t est kem urnian dan kadar yang telah disepakati maka Pihak Kedua
w ajib untuk m elakukan pem bayaran dengan CASH / OVERBOOKING / TRANSFER
kepada Pihak Pert am a.
5. RIGHTS AN D OBLIGATION S
5.1. First Party has a dut y and responsibility to prepare Precious M etals (Au) in accordance w ith the agreed um brellacont ract volum e.
5.2. Second party agrees to issue DEPOSITS and it is M andat ory w it h M axim um 1-m ont h at BANK M ANDIRI on behalf of the Second Part y.
5.3. It is M andat ory for second part y t o keep t he DEPOSIT CERTIFICATE inSafety Deposit Box of BANK M ANDIRI on behalf of the Second Part y.
5.4. First Party w ill not accept any form of com plaint from t he Second Party regarding w eight , content and quality of Gold Bars / Precious M etals (Au) w hich has already handed over aft er the handover of the let ter signed by the Part ies.
5.6. Both parties agreed to make payment by CASH / OVERBOOKING / TRANSFER aft er checking Precious M et als (Au) t o pass t he t est and test t hrough assayer w hich is carried by a second party.
5 HAK DAN KEW AJIBAN
5.5. Pihak Pert am a m em iliki tugaskew ajiban dan t anggungjaw ab m enyiapkan Logam M ulia
(Au) sesuaidengan volume kontrakpayung yang disepakati.
5.5. Pihak Kedua Wajib unt uk menerbit kan DEPOSITO berjangka M aksimal 1 bulan di BANK
M ANDIRI at as nama Pihak Kedua.
5.5. PIhak Kedua Wajib unt uk M enyimpan SERTIFIKAT DEPOSITO t ersebut di Safet y Deposit
Box BANK M ANDIRI atas nam a Pihak Kedua.
5.5. Pihak Pert am a t idak akan menerima segala bent uk komplain dari Pihak Kedua
m engenai berat , kadar maupun kualitas dari Emas Bat angan / Logam M ulia (Au) yang
sudah diserahterim akanset elah surat serah t erima dit andat angani oleh Para Pihak.
5.5. Set elah surat serah terim a dit andat angani oleh Pihak Kedua, Pihak Pert am a t idak akan
bertanggung jaw ab at as segala bent uk tuntut an dan gugat an pidana m aupun perdat a
yang bersangkut an dengan Emas Bat angan / Logam M ulia (Au) yang sudah
diseraht erim akan kepada Pihak Kedua yang dapat dat ang dari pihak manapun.
5.5. Pihak Kedua m enyet ujui unt uk melakukan pembayarandengan CASH / OVERBOOKING
/ TRANSFER set elah m elakukan pengecekan Logam M ulia (Au) dengan lulus uji dan
t est m elalui assayer yg dibaw a oleh pihak kedua.
6. Force M ajeure
6 FORCE M AJEU RE
Yang dim aksud Force M ajeure dalam perjanjian ini adalah peristiw a yang terjadi diluar
kem am puan m anusia, seperti: Perist iw a bencana alam, Tanah longsor, Tsunam i, Hujan
badai, Banjir bandang, Perist iw a polit ik, sosial, ekonom i, sepert i: Perang, Krisis global,
ekonom i, monet er, Demo m assa, Pemogokan buruh, Kudet a, Peraturan Pem erintah,
Undang-undang dan peraturan lain yang terjadi diluar kem am puan manusia, tet api
berpengaruh t erhadap hubungan kerjasama PARA PIHAK. Unt uk perist iw a Force M ajeure
tidak dikenakan sanksi dalam bent uk dan sifat apapun.
Peristiw a Force M ajeure dinyat akan sah dan diterim a apabila selam bat-lambat nya 3 (t iga)
hari set elah terjadi peristiw a Force M ajeure ada pem beritahuan t ert ulis disert ai surat
ket erangan pejabat inst ansi t erkait yang m enjelaskan t elah terjadi perist iw a Force
M ajeure.Set elah lew at jangka w akt u tersebut, tidak ada pem beritahuan secara tertulis,
dianggap tidak t erjadi peristiw a Force M ajeure.
7. DAY AND TIM E TRANSACTION CONFIRM ATIO N
The Part ies agree t hat t he transact ion tim e and t est ing w ill be held in Jakarta in accordance M ail Order( PO ) to t hree (3 ) days prior and the budget prepared per w eek by m inimum transact ion by the Second Part y.
7 KON FIRM ASI HARI DAN W AKTU TRANSAKSI
Para Pihak sepakat bahw a w akt ut ransaksi dan pengetesan akan dilaksanakan diJakart a
sesuai Surat Pem esanan (PO) pada 3 (tiga) hari sebelumnya dan Dana yang disiapkan
minim al per minggu t ransaksi dari Pihak Kedua.
8. DISPU TE and solut ions
8.8. If w ithin t he period of t he transact ion w ere running w ith the cont ract t hat has been agreed upon, if t he goods have been sent by t he first part y to t he second part y is not paid, t hen it is obligat ory for both part ies t o disburse the Deposit t o t he first part y as a form of paym ent f or goods t hat have been shipped.
8.8. If the result of deliberation cannot be satisfact ory t o bot h parties, t he part ies agreed to resolve the disagreement in the Inst it ute of Legal aut horit ies and domiciled f ixed at t he Office of t he Dist rict Court and t he agreement is m ade and signed by the part ies.
8.8. Legal certaint y approved by t he part ies as a fair decision, w hich should and m ust be im plemented by t he part ies.
8.8. The part ies have an equal right to appoint a legal represent at ive in accordance dom icile of each part y, to represent t he int erest s of the parties t o resolve the disagreem ent that occurred bet w een the part ies.
8.8. If in t he process of the sett lem ent of disagreem ent s arising costs or expenses, t he part ies agreed fees or charges are a burden on t he responsibility of each party in proport ion.
8 SEN GKETA DAN PEN YELESAIAN NYA
8.8. Apabila dalam masa t ransaksi it u berjalan dengan kontrak yang t elah disepakti
bersam a, jika barang yang sudah dikirim oleh pihak pertam a kepada pihak kedua tidak
dibayar, maka W ajib bagi pihak kedua unt uk mencairkan dana Deposito t ersebut
kepada pihak pert am a sebagai bentuk pembayaran barang yang t elah dikirim.
8.8. Perselisihan paham yang t im bul sebagai akibat dibuat nya perjanjian ini, disetujui
diselesaikan secara m usyaw arah m enuju mufakat , adapun hasilnya dit uangkan dalam
perjanjian tersendiri, t et api menjadi bagian t idak t erpisahkan dari perjanjian ini.
8.8. Apabila hasil m usyaw arah tidak dapat mem uaskan kedua belah pihak, para pihak
set uju unt uk m enyelesaikan perselisihan paham tersebut di Lem baga Hukum yang
berwenang dan berdom isili t etap yait u di Kant or Pengadilan Negeri dan perjanjian ini
dibuat dan dit andatangani olehpara pihak.
8.8. Adanya kepast ian hukum disetujui para pihak sebagai keputusan yang adil, yang harus
dan w ajib dilaksanakan oleh para pihak.
8.8. Para pihak m emiliki hak yang sama unt uk m enunjuk kuasa hukum sesuai domisili
m asing-m asing pihak, unt uk m ew akili kepent ingan para pihak dalam m enyelesaikan
perselisihan paham yang t erjadi diant ara para pihak.
8.8. Apabila dalam proses penyelesaian perselisihan paham t imbul biaya at au ongkos,
para pihak set uju biaya atau ongkos t ersebut menjadi beban t anggungjaw ab m
agreem ent or agreed upon by t he parties , set f ort h in additional agreem ent or addendum , w hich w ill becom e an integral part of t his agreem ent .
9.2 . Addit ional agreem ent or addendum is considered lawf ul, if it has been signed by t he parties on st am ped and legalized by Notary .
9.3 . Confidentialit y in t he contract / t ransact ion m ust be respected by t he Parties, including parties relat ed M ediator. The Parties and t he M ediator w ill not open t ransact ion inf orm at ion to anyone, eit her during t he negot iation process as w ell as w hen the t ransact ion t ook place unt il declared f inished.
9 PERJAN JIAN TAM BAHAN (ADDEN DU M )
9.9. Hal-hal yang dianggap perlu, atau jika t erdapat perubahan m at eri at au isi perjanjian
disepakati oleh para pihak, dit uangkan dalam perjanjian tambahan at au addendum ,
yang akan menjadi bagian t idak t erpisahkan dari perjanjian ini.
9.9. Perjanjian t am bahan atau addendum dianggap sah menurut hukum , apabila t elah
ditandat angani oleh para pihak diat as m eterai cukup dan dilegalisir Notaris.
9.9. Kerahasiaan dalam kont rak / transaksi ini w ajib dihorm at i oleh Para Pihak t erm asuk
PihakM ediat or t erkait . Para Pihak dan M ediat or t idak akan m em buka inf orm asi
t ransaksi ini kepada siapapun, baik selama masa proses negosiasi m aupun saat
t ransaksi berlangsung sam pai dinyat akan selesai.
10 . M EDIATOR / W ITNESSES
Witnesses ( in this case t he m ediat or ) has to know t he approval of this agreem ent , signed by the part ies concerned on the day and see t hat all part ies have agreed t o the t erm s and condit ions associat ed w it h t his agreement.
TheM ediator Com mission contained in a separate docum ent provided by t he Sellers are in accordance w it h the collect ive agreem ent , and t hat docum ent m ust be respected by t he Purchaser and the Seller Parties.
10 M EDIATOR / SAKSI
Saksi (dalam hal ini M ediator) t elah m enget ahui persetujuan perjanjian ini, yang
dit andatangani oleh Para Pihak yang bersangkutan pada hari dan tanggal ini dan
menyaksikan bahw a Sem ua Pihak telah menyet ujui syarat dan kondisi yang berhubungan
dengan perjanjian ini.
Kom isi Pihak M ediat or yang t ercantum pada dokum en t erpisah yangdisediakan oleh Pihak
Penjual sudah sesuai dengan kesepakat an bersam a, dan dokum en tersebut harus
11 . M ISCELLANEO US AND CLOSING
11.1. This Agreement is m ade and signed by t he part ies on t he seal of t he w itnesses seen enough of bot h parties and made duplicate, t hen legalized by Not ary. Furt herm ore, each part y receives one (1) set t he basis of t he lett er of agreem ent t hat has t he sam e legal f orce as an elem ent ary principal and guidance in implem ent ing this agreement.
11.2. The agreement w as signed by t he part ies w it h the w itnesses of the part ies, in good health, w it hout coercion, accom panied by good fait h not t o harm each ot her.
11.3. This agreem ent is binding on t he parties and w it nesses bot h sides until t hose buying and selling precious met als (Au) t ransact ions number of contract s com pleted paying.
11.4. The parties may cont inue buying and selling precious m etals (Au), af ter buying and selling precious m etals (Au) w hich are bound in t his agreement com plet ed. To t hat end the part ies agreed m ade it s ow n agreem ent w ith t he appropriat e t erm s and conditions at t he t ime of buying and selling precious m etals (Au) is perf orm ed.
11.5. The part ies and THE WITNESS receive one (1) set of the agreem ent w hich has t he same basic legal force as t he basic principal and guidance in im plementing this agreement.
11.6. This agreement cannot be terminat ed unilaterally w ithout t he know ledge and consent of the part ies, unless one of t he parties t o com m it one-feat .
11.7. This agreem ent cannot be pledged as collat eral t o t hird parties and t he misuse of purpose and object ive of the agreem ent is the responsibilit y of the m isuse of t his agreem ent . 11.8. The part ies and w itnesses bot h sides are obliged and responsible for t he conf ident ialit y of the cont ent s of t his agreem ent of the part ies w ho are not int erested.
11 LAIN- LAIN DAN PENUTUP
11.11.Perjanjian ini dibuat dan dit andatangani oleh para pihak diat as m eterai cukup
disaksikan para saksi kedua belah pihak dan dibuat rangkap dua, kemudian dilegalisir
Not aris. Selanjutnya m asing-m asing pihak m enerim a 1 (sat u) set Surat Perjanjian
yang mem iliki dasar kekuat an hukum yang sam a sebagai pokok dasar dan pedom an
dalam m elaksanakan perjanjian ini.
11.11.Perjanjian ini dit andatangani oleh para pihak bersam a para saksi para pihak, dalam
keadaan sehat, t anpa unsur paksaan, disert ai itikad baik unt uk t idak saling
m erugikan.
11.11.Perjanjian ini bersifat m engikat para pihak dan para saksi kedua belah pihak sampai
t ransaksi jual beli Logam M ulia (Au) sejum lah kont rak paying selesai dilaksanakan.
11.11.Para pihak dapat m elanjutkan t ransaksi jual beli Logam M ulia (Au), set elah t ransaksi
jual beli Logam M ulia (Au) yang t erikat dalam perjanjian ini selesai dilaksanakan.
Unt uk it u para pihak set uju dibuat perjanjian sendiri dengan persyaratan dan
dasar kekuat an hukum yang sam a sebagai pokok dasar dan pedom an dalam
m elaksanakan perjanjian ini.
11.11.Perjanjian ini t idak dapat dibat alkan secara sepihak tanpa sepenget ahuan dan
perset ujuan para pihak, kecuali salah sat u pihak melakukan t indak one-prest asi.
11.11.Perjanjian ini t idak dapat dijadikan jaminan kepada pihak ket iga dan penyalahgunaan
m aksud dan tujuan perjanjian m enjadi t anggung jaw ab yang m elakukan
penyalahgunaan perjanjian ini.
11.11.Para pihak dan para saksi kedua belah pihak berkew ajiban dan bert anggungjaw ab
atas kerahasiaan isi perjanjian ini dari pihak-pihak yang t idak berkepent ingan.
