KERJASAMA PROMOSI PENANAMAN MODAL
Sadan Koordinasi Penanaman Modal Republik lndoncs'.a dan Sadan lnvestasi dan Perdagangan Luar Negeri Republik Portugal, selanjutnya keduanya disebut sebagai "Para Pihak",
MENGINGAT adanya keinginan untuk memperkuat hubungan persahabatan yang telah terjalin diantara kedua negara dan masyarakatnya dalam kaitannya dengan perkembangan ekonomi kedua negara;
MENEGASKAt~ bahwa kerjasama dapat member!!<,an keuntungan timbal-balik yang lebih lanjut untuk masyarakat dari kedua negara;
BERKEINGINAN untuk meningkatkan kerjasama prornosi penanaman modal antara kedua negara berdasarkan prinsip kesetaraan, saling menguntungkan dan pengakuan penuh terhadap kedaulatan;
SESUAI dengan hukum dan peraturan perundang-undc-mgan yang berlaku di masing-masing negara;
TELAH MENYETUJUI hal-hal berikut ini:
Pasal 1 TU JUAN
Tujuan dari Memorandum Saling Pengertian ini adaiah untuk meningkatkan kerjasama promosi penanaman modal antara kedua negara melalui Para Pihak dalam kerangka Memorandum Saling Pengertian ini d2n sesuai dengan hukum dan peraturan perundang-undangan yang berlaku di masing-rnasing negara.
Pasal 2
LINGKUP KERJASAMA
Lingkup kerjasama Memorandum Saling Pengertian ini uialah sebagai berikut ini: 1. Mempromosikan "gagasan berinvestasi"
Dengan cara mengkomunikasikan kepada komunitas bisnis di kedua negara

mengenai peluang bisnis dan keuntungan potensial yang dapat timbul dari · ,kerjasama dan kemitraan jangka panjang.
2. Pertukaran lnformasi seputar potensi peluang investasi:
a. Berbagi informasi umum terkait dengan kebijakan, peraturan perundang-undangan dan prosedur yang berlaku tentang penanaman modal di kedua negara;
b. Pertukaran publikasi berkala dan materi peneiitian yang telah menjadi konsumsi publik; dan
c. Berbagi pengetahuan dan pengalaman dalam mengatur dan mengelola konferensi penanaman modal asing.
3. Pertukaran data tentang penanam modal potensial:
Saling membantu dalam bidang penelitian penanaman modal dengan menyediakan fasilitas dan kontak bisnis yang sesuai dan disetujui oleh Para Pihak.
4. Koordinasi bersama untuk kunjungan penanam modal:
a. Bekerjasama dalam mengatur misi penanaman modal dan sepakat untuk mendukung segala persiapan dalam kaitannya dE:ngan program bisnis dari kunjungan delegasi penanam modal di Portugal dan sebaliknya; dan b. Memfasilitasi misi penanaman modal dan memperkenalkan pihak
penanam modal kepada perwakilan dari industri yang sesuai di kedua negara.
5. Pergantian pelaksanaan pertemuan dan seminar:
Memfasilitasi, apabila memungkinkan. seminar penanarnan modal di kedua negara.
6. Pendidikan dan pelatihan:

I Bekerjasama dalam program pendidikan dan pelatihan untuk pengembangan sumber daya manusia dalam hal program-program tersebut disepakati oleh Para Pihak.
7. Pertukaran staf dalam rangka mempromosikan kerjasama dan saling pengertian apabila Para Pihak menganggap hal tersebut perlu dilaksanakan.
Pasal 3
HAK KEKAYAAN INTELEKTUAL
1. Hak kekayaan intelektual, data dan informasi apapun yang berasal dari kegiatan penelitian dalam pelaksanaan Memorandum Saling Pengertian ini akan menjadi hak milik bersama Para Pihak, dan Para Pihak akan diizinkan untuk menggunakan hak kekayaan intelektual tersebut untuk tujuan non-komersil tanpa dikenakan royalti.
2. Apabila hak kekayaan intelektual, data dan informasi yang berasal dari

kegiatan yang berada di dalam lingkup pelaksanaan Memorandum Saling\fo)

Pengertian ini digunakan untuk tujuan komersil oleh salah satu Pihak, makaPihak yang lainnya berhak mendapatkan royalti yang didapatkan dari eksploitasi hak kekayaan intelektual tersebut berdasarkan prinsip kontribusi yang adil. Dalam hal ini, objek dari kegiatan penelitian yang dilakukan di dalam lingkup pelaksanaan Memorandum Saling Pengertian ini merupakan bagian kontribusi dari Pihak asal objek tersebut. t\lilai dari objek tersebut sebagai bagian dari kontribusi akan diukur melalui faktor-faktor sebagai berikut:
a. Kelangkaan dari objek tersebut (semakin langka, akan semakin tinggi nilainya)
b. Nilai kornersil dari hasil penelitian (semakin tinggi nilai komersil objek tersebut, akan semakin tinggi nilai objek sebagai bagian kontribusi).
3. Para Pihak harus menjamin satu sama lain bahwa hak kekayaan intelektual yang dibawa oleh salah satu Pihak ke dalam wilayah Pihak yang lain untuk pelaksanaan dari suatu proyek kegiatan bukan merupakan hasil dari pelanggaran hak sah pihak ketiga. Masing-masing Pihak harus bertanggung jawab atas gugatan yang diajukan oleh pihak ketiga yang berkaitan dengan hak kepemilikan dan keabsahan dari penggunaan kekayaan intektual, yang dibawa oleh Pihak tersebut untuk pelaksanaan kegiatan kerjasama di dalam ruang lingkup pelaksanaan Memorandum Saling Pengertian ini.
4. Apabila salah satu Pihak membutuhkan kerjasama dengan pihak lain di luar wilayah Para Pihak untuk tujuan komersil yang berasal dari kekayaan intelektual yang tercakup dalam Memorandum Saling Pengertian ini, Pihak terkait harus memberikan preferensi utama untuk kerjasama kepada Pihak yang lainnya berdasarkan Memorandum Saling Pengertian ini, dan hak tersebut akan dilepaskan, apabila Pihak yang lainnya tersebut tidak dapat berpartisipasi secara saling menguntungkan.
5. Pengakhiran Memorandum Saling Pengertian ini tidak akan mempengaruhi hak dan/atau kewajiban berdasarkan Pasal ini.
Pasal4
KERAHASIAAN
1. Masing-masing Pihak wajib menjaga kerahasiaan dokumen, informasi dan data lainnya yang diterima atau disampaikan kepada Pihak lainnya selama periode pelaksanaan Memorandum Saling Pengertian ini atau kesepakatan lainnya yang dibuat berdasarkan Memorandum Saling Pengertian ini.
2. Apabila salah satu Pihak berkeinginan untuk mengungkap kerahasiaan data dan/atau informasi yang merupakan hasil dari kegiatan kerjasama berdasarkan Memorandum Saling Pengertian ini kepada pihak ketiga, maka Pihak yang mengungkap kerahasiaan harus mendapatkan persetujuan terlebih dahulu dari Pihak yang lainnya sebelum pengungkapan dapat dilakukan.
3. Para Pihak setuju bahwa ketentuan dari Pasal ini akan tetap mengikat Para Pihak walaupun Memorandum Saling Pengertian ini telah berakhir.
4. Ketentuan Pasal ini tidak boleh bertentangan dengan hukum dan peraturan I.

Pasal 5
PENGATURAN PELAKSANAAN
Pelaksanaan kerjasama yang telah ditetapkan dalam Pasal 2 Memorandum Saling Pengertian ini akan dilaksanakan rnelalui pengaturan tersendiri yang berdasarkan kesepakatan Para Pihak.
Pasal6
PENGATURAN KEUANGAN
Kecuali disepakati sebaliknya, masing-masing Pihak akan menanggung biaya dan pengeluaran untuk partisipasinya dalam kegiatan-kegiatan di bawah lingkup Memorandum Saling Pengertian ini. Kapasitas masing-masing Pihak dalam pelaksanaan kegiatan-kegiatan di bawah lingkup Memorandum Saling Pengertian ini akan disesuaikan dengan jumlah dana yang tersedia, personil dan sumber daya lainnya.
Pasal 7
PEMBATASAN KEGIATAN PERSONIL
Setiap individu yang terlibat di dalam kegiatan yang berkaitan dengan Memorandum Saling Pengertian ini wajib menghormati kemerdekaan politik, kedaulatan dan integritas wilayah dari negara tuan rumah serta wajib menghindari kegiatan yang tidak sesuai dengan tujuan dari Memorandum Saling Pengertian ini.
Pasal 8 AMANDEMEN
Memorandum Saling Pengertian ini dapat sewaktu-waktu direvisi atau diamandemen dengan kesepakatan tertulis dari Para Pihak. Revisi atau amandemen akan berlaku pada tanggal yang disetujui oleh Para Pihak.
Pasal 9
PENYELESAIAN SENGKET A
Sengketa yang terjadi di antara Para Pihak mengenai pernahaman dan/atau pelaksanaan dari Memorandum Saling Pengertian ini akan diselesaikan secara damai melalui konsultasi atau negosiasi.
Pasal 10
PEMBERLAKUAN, MASA BERLAKU DAN PENGAKHIRAN 1. Memorandum Saling Pengertian ini berlaku sejak tanggal ditandatangani. 2. Memorandum Saling Pengertian ini akan tetap berlaku untuk jangka waktu 2
sesuai jangka waktu yang sama, kecuali jika salah satu Pihak menyampaikan pemberitahuan secara tertulis kepada Pihak yang lain mengenai keinginannya untuk mengakhiri Memorandum Saling Pengertian ini selambat-lambatnya 6 (enam) bulan sebelum waktu pengakhiran tersebut.
3. Pengakhiran dari Memorandum Saling Pengertian ini tidak akan memberikan
dampak pada keabsahan dan masa berlaku dari proyek-proyek ataupun kegiatan-kegiatan yang dibuat di dalam lingkup pelaksanaan Memorandum Saling Pengertian ini sampai berakhirnya proyek-proyek atau kegiatan-kegiatan tersebut.
SEBAGAI BUKTI, yang bertanda tangan di bawah ini, yang diberikan kuasa penuh
oleh Pemerintah masing-masing, telah menandatangani Memorandum Saling Pengertian ini.

Externo de Portugal (doravante designada por "AICEP"), a seguir referidos como "as
Partes".
Considerando:

desejo de refor9ar as rela96es de arnizade existentes entre os paises e os seuspovos em favor do desenvolvimento econ6mico de ambos os paises;
Que a coopera9ao traz beneficios mutuos para os povos dos dois pafses;
E
celebrado o presente Memoranda de Entendimento que visa a promo9ao e oalargamento da coopera9ao tecnica entre os dois paises com base nos principios do beneficio, igualdade e respeito mutuo da soberania plena, de acordo com as leis e os
regulamentos em vigor nos respectivos paf ses.
Artigo 1
°
08.JETIVO

presente Memoranda de Entendimento visa o refor90 da coopera9ao bilateralexistente, promovendo e desenvolvendo a coopera9ao tecnica, incluindo a promo9ao do investimento entre os dois palses, em conformidade com as respectivas leis e regulamentos.
Artigo 2
°
AMBITO DE COOPERACAO

o seg.uinte:1. Promover o investimento
Entre as comunidades empresariais dos dois paises, no que diz respeito as
oportunidades de neg6cios e potenciais beneficios, que poderao decorrer da
coopera9ao e das parcerias a longo prazo.
a) Partilhando informa9ao publica sabre as politicas, regulamentos e procedimentos
relacionados com o investimento em ambos os paises;
b) Trocando publicac;6es peri6dicas e materiais de pesquisa que estejam publicamente
disponiveis;
c) Partilhando conhecimentos e experiencia em organiza9ao e gestao de conferencias
sabre investimento estrangeiro;
3. Promover a troca de informac;ao sabre potenciais investidores e colaborar na area
de pesquisa sabre investimento, proporcionando facilidades e contactos de neg6cios
quando apropriado e mutuamente acordado pelas partes.
4. Promover a coordenac;ao conjunta de visitas de investidores
a) Cooperar na organizac;ao de miss6es de investimento apoiando, dentro de limites
de razoabilidade, os preparativos dos programas empresariais de visita a investidores
delegac;oes em Portugal e na Indonesia;
b) Facilitar a realizac;ao de miss6es empresariais entre os dais paises junta dos
respectivos sectores industriais.
5. Rotatividade na organizac;ao de reuni6es e seminaries
Facilitar, quando apropriado, a organizac;ao de seminarios de investimento em ambos
os pafses.
6. Educac;ao e Formac;ao
Colaborar nos programas de educac;ao e formac;ao em programas de para o
desenvolvimento de recursos humanos, quando tais programas forem passiveis de
consenso, aceites e acordados pelas partes.
7. Contacto e cooperac;ao:
Promover o intercambio de equipas de cooperac;ao quando as Partes o considerarem necessario;
Artigo 3
°
DIREITOS DE PROPRIEDADE INTELECTUAL
1. Quaisquer direitos de propriedade intelectual, dados e informac;oes resultantes das
actividades de investigac;ao desenvolvidas no ambito deste Memoranda de
Entendimento serao propriedade conjunta das Partes, e ambas estao autorizadas a
utilizar tais informac;oes para fins nao comerciais, livres de direitos de autor.
2. Se os direitos ligados
a
propriedade intelectual, dados e informa96es resultantesdas actividades de cooperac;ao no ambito deste Memoranda de Entendimento forem
utilizados para fins comerciais por uma das Partes, a outra Parte tera o direito aos
direitos de autor obtidos atraves da explora9ao de tais bens com base no principio de
contribuic;ao equitativa. Nesse caso, as actividades de investigac;ao desenvolvidas no
ambito deste Memoranda de Entendimento constituirao uma contribuic;ao da Parte
para o objecto do memoranda. 0 valor atribuido aos direitos de autor sera calculado
tendo em conta os seguintes factores:
a. A dificuldade da pesquisa (quanta mais rara, maior sera o seu valor);
b. 0 valor comercial do resultado da pesquisa (quanta maior o seu valor comercial, maior sera o valor da contribuic;ao).
3. As Partes devem compensar reciprocamente os direitos de propriedade intelectual
obtidos por uma das Partes para o territ6rio da outra Parte no ambito da aplicac;ao de
terceiros. Cada Parte sera responsavel por qualquer reclamac;ao feita por terceiros
sobre a propriedade e legalidade do uso da propriedade intelectual, obtida pela Parte
na prossecuc;ao das actividades de cooperac;ao previstas neste Memoranda de Entendimento.
4. Sempre que qualquer das Partes requeira a cooperac;ao da outra, fora dos seus
territ6rios para uma qualquer actividade comercial resultante de direitos de propriedade industrial cobertos por este Memoranda de Entendimento a Parte devera
dar preferencia, em primeiro lugar,
a
coopera9ao da outra Parte, excepto se a outraparte nao tiver meios para cooperar.
5. A denuncia do presente Memoranda de Entendimento nao afectara os direitos e I ou
obrigac;6es decorrentes deste artigo.
Artigo 4
°
CONFIDENCIALIDADE
1. As Partes comprometem-se a respeitar a confidencialidade e o sigilo de
documentos, informa96es e outros dados recebidos ou fornecidos
a
outra Partedurante o perfodo da implementac;ao do presente Memoranda de Entendimento ou
quaisquer outros acordos feitos na sequencia deste Memoranda de Entendimento.
2. Se uma das partes pretender divulgar dados confidenciais e I ou informac;ao
resultante das actividades de cooperac;ao previstas neste Memoranda de
Entendimento a terceiros, deve obter o consentimento previo da outra Parte antes
da divulgac;ao ser feita.
3. As Partes acordam que o disposto neste artigo devera continuar a ser vinculativo
mesmo ap6s o termino deste Memoranda de Entendimento.
4. 0 disposto neste artigo nao prejudica as leis e regulamentos em vigor em Portugal
e na Indonesia
Artigo 5
°
ACORDO DE EXECU<;AO
A implementac;ao da coopera9ao estabelecida no Artiga 2° do presente Memoranda de
Entendimento sera realizada atraves de acordos especfficos celebrados par ambas as
Partes.
Artigo 6
°
ACORDO FINANCEIRO
Salvo acordo em contrario, cada parte devera suportar os custos e as despesas decorrentes da sua participac;ao em actividades no ambito deste Memoranda de
Entendimento. A capacidade de cada Parte estara sujeita
a
disponibilidade de fundos,pessoal e outros recursos.
Artigo 7
°
LIMITA<;AO DE ACTIVIDADES DE PESSOAL
As pessoas envolvidas em actividades relacionadas com o presente Memoranda de Entendimento deverao respeitar a independencia politica, a soberania e integridade
territorial do pais de acolhimento, evitando quaisquer actos incompatfveis com os
prop6sitos e objectivos deste Memoranda de Entendimento.
Artigo 8
°
ALTERACOES
Este Memoranda de Entendimento pode ser revisto ou alterado a qualquer momenta
por consentimento escrito mtJtuo das Partes. Tais revis6es ou alterac;6es entrarao em
vigor na data mutuamente acordada pelas partes.
Artigo 9
°
RESOLUCAO DE DISPUTAS
Oualquer litfgio entre as Partes relativo
a
interpretac;ao e I ou implementac;ao dopresente Memoranda de Entendimento sera resolvida amigavelmente atraves de
consultas e negociac;oes.
Artigo 10
°
ENTRADA EM VIGOR, DURACAO E TERMO
1. 0 presente Memoranda de Entendimento entrara em vigor na data de sua
assinatura.
2. 0 presente Memoranda de Entendimento e valido par um perfodo de 2 (dais) anos
renovando-se automaticamente par periodos subsequentes de 1 (um) ano, a menos
que alguma da Partes notifique par escrito, a sua intenc;ao de o denunciar com uma
antecedencia mf nima de 6 (seis) meses em relac;ao ao seu termo.
3. A denuncia do presente Memoranda de Entendimento nao afectara a validade ou a
durac;ao de quaisquer projectos ou actividades especificas realizadas no ambito deste
Memoranda de Entendimento ate a conclusao do acordo especffico, ou projecto de
actividades.
0 presente Memoranda de Entendimento, assinado em Jacarta no dia 23 de Maio de
2012, e feito em do is exemplares ambos originais, em I ndonesio, em Portugues e em
Ingles. Em caso de divergencia de interpreta9ao do presente Memoranda de
Entendimento, prevalecera a versao em Ingles.

MEMORANDUM OF UNDERSTANDING BETWEEN
THE INVESTMENT COORDINATING BOARD OF THE REPUBLIC OF INDONESIA
AND
AICEP PORTUGAL GLOBAL - TRADE
&
INVESTMENT AGENCY OF THE PORTUGUESE REPUBLICON INVESTMENT PROMOTION COOPERATION
The Investment Coordinating Board of the Republic of Indonesia and AICEP
Portugal Global - Trade & Investment Agency, hereinafter both of them referred to
as "the Parties",
BEARING in mind the desire to strengthen the existing friendly relations between I I
their countries and their peoples in favour of the economic development of both countries;
AFFIRMING that cooperation would bring further mutual benefit for the people of
the two countries;
DESIRING to enhance investment promotion cooperation between the two
countries based on the principles of equality, mutual benefit and full respect of
sovereignty;
PURSUANT to the prevailing laws and regulations in their respective countries; HAVE AGREED as follows:
Article 1
OBJECTIVE
The objective of this Memorandum of Understanding is to enhance investment promotion cooperation between two countries through the Parties within the framework of the present Memorandum of Understanding and in conformity with their respective laws and regulations.
Article 2
SCOPE OF COOPERATION
The scope of cooperation of this Memorandum of Understanding are as follows:
1. Promote the 'idea of investing'
By means of communicating to business communities of the two countries with regard to business opportunities and potential benefits that could arise from
cooperation and long term partnerships.
2. Exchange of Information on potential investment opportunities:
a. Sharing general information of publicly available on policies, regulations
and procedures on investment issues in both countries;
b. Exchanging periodical publications and research materials that are
available for public; and
c. Sharing knowledge and experience in organizing and managing foreign
investment conferences.
3. Exchange of data on potential investors:
By assisting each other in the area of research on investment by providing facilities and business contacts where appropriate and mutually agreed by both Parties.
4. Joint coordination of investor visits:
a. cooperate in organizing investment missions and agree to support with all
reasonable preparations of the business programs of visiting investors
delegations in Portugal and vice versa; and
b. facilitating the making of investment missions and introducing them to the
representatives of relevant industries in both countries.
5. Rotation of implementation of meetings and seminars:
Facilitate, where appropriate, investment seminars in both countries.
6. Education and training:
Cooperate in the education and training programs for human resources development when such programs are agreeable by both Parties.
7. Exchange staff members to promote cooperation and understanding when both
Parties deem it necessary to do so.
Article 3
INTELLECTUAL PROPERTY RIGHTS
1. Any intellectual property rights, data and information resulting from research
activities conducted under this Memorandum of Understanding shall be jointly owned by the Parties, and both Parties shall be allowed to use such property for non-commercial purposes free of royalty.
2. Should the intellectual properties rights, data and information resulting from the cooperation activities under this Memorandum of Understanding be used for commercial purposes by one Party, the other Party shall be entitled to the royalties obtained from the exploitation of such property on the basis of the principle of equitable contribution. In such a case, the object of the research activities conducted under this Memorandum of Understanding shall constitute a part of the contribution of the Party from which the object derives. The value of the object as part of contribution will be measured by taking into account the following factors:
a. The scarcity of the object (the rarer the object is, the higher its value will be);
b. The commercial value of the result of the research (the higher its commercial value is, the higher the value of the object as part of the contribution will be).
3. The Parties shall indemnify each other that the intellectual property rights brought in by the Party into the territory of the other Party for the implementation of any projects arrangements of activities are not result from any infringement of a third party's legitimate rights. Each Party shall be liable for any claim made by any third party on the ownership and legality of the use of the intellectual property, which is brought in by the aforementioned Party for the implementation of the cooperation activities under this Memorandum of Understanding.
4. Whenever either Party requires the cooperation of another party outside the territories of the Parties for any commercial undertaking resulted from intellectual property covered by this Memorandum of Understanding, this Party shall give first preference of the cooperation to the other Party under this Memorandum of Understanding, which shall be waived, if the other Party is unable to participate in a mutually beneficial manner.
5. Termination of this Memorandum of Understanding shall not affect rights and/or obligation under this Article.
Article 4
CONFIDENTIALITY
1. Each Party shall undertake to observe the confidentiality and secrecy of documents, information and other data received or supplied to the other Party during the periode of the implementation of this Memorandum of Understanding or any other agreements made pursuant to the Memorandum of Understanding.
2. If either Party wishes to disclose confidential data and/or information resulted from the cooperation activities under this Memorandum of Understanding to any third party, the disclosing party must obtain prior consent from the other Party before any disclosure can be made.
3. The Parties agree that the provision of this Article shall continue to be binding between the Parties notwithstanding the termination of this Memorandum of Understanding.
4. The prov1s1on of this Article shall not prejudice the prevailing laws and regulations of the Parties.
Article 5
IMPLEMENTING ARRANGEMENT
The implementation of the cooperation sets forth in the Article 2 of this Memorandum of Understanding shall be carried out through special arrangements
to be concluded by both Parties.
Article 6
FINANCIAL ARRANGEMENT
Unless otherwise agreed, each Party shall bear the cost and expenses for its
participation in activities under this Memorandum of Understanding. The capacity of
each Party to carry out activities under this Memorandum of Understanding shall be subject to the availability of funds, personnel and other resources.
Article 7
LIMITATION OF PERSONNEL ACTIVITIES
Any persons engaged in activities related to this Memorandum of Understanding shall respect political independence, sovereignty, and territorial integrity of the host country, and shall avoid any activities inconsistent with the purposes and objectives of this Memorandum of Understanding.
Article 8
AMENDMENTS
This Memorandum of Understanding can be revised or amended at any time by
written mutual consent of the Parties. Such revisions or amendments shall come
into force on the date as mutually agreed by both Parties.
Article 9
SETTLEMENT OF DISPUTES
Any dispute between the Parties concerning the interpretation and/or
implementation of this Memorandum of Understanding shall be settled amicably
through consultations or negotiations.

Article 10
ENTRY INTO FORCE, DURATION, AND TERMINATION
This Memorandum of Understanding shall enter into force on the date of its
signing.
2. This Memorandum of Understanding shall remain in force for a period of 2
(two) years and shall be automatically extended thereafter, unless either Party
Memorandum of Understanding not less than 6 (six) months before such termination.
3. The termination of this Memorandum of Understanding shall not affect the validity or duration of any projects or activities made under this Memorandum of Understanding until the completion of such projects or activities.
IN WITNESS WHEREOF, the undersigned, being duly authorized by their
respective Governments, have signed this Memorandum of Understanding.
