Section 1. Any amendment of these Bylaws, if 1n conformity with the Consti- tution of this club and the Kiwanianne Club Program of Kiwanis International, and all amendments to them, may be adopted by two-thirds (2/3) vote of the active members present at any duly constituted meeting of this club, provided written notice of the proposed amendment shall have been given to the active members at least two (2) weeks prior to the meeting.
Section 2. These Bylaws and any amendment or addition thereto shall not be effective until approved by the sponsoring Kiwanis Club.
Section 3. Any provision of these Bylaws, or any amendment or addition thereto, which conflicts with the Constitution of this club or the Kiwanianne Program of Kiwanis International or any amendment to them, or which is disapproved by the sponsoring Kiwanis club, shall be void and of no effect from its inception.

REPORT OF THE TREASURER
TO THE MEETING OF THE INTERNATIONAL BOARD OF TRUSTEES MAY 9 - 10, 1983
The first six months of the 1982-83 year ended March ·31, 1983 with current assets of $2,678,000 and fixed assets of $4,627,000 for a total asset value of $7,364,000.
Against the assets are current liabilities of $1,430,000 and long-term obligations of $135,000 for a net worth of Kiwanis International of $5,799,000.
The current fiscal condition of Kiwanis International is positive.
The planned surplus indicated in the budget to be used for deficit retirement should be available if club payment of dues continue as planned.

1. 1982-83 Operating Budget
a. The connnittee reviewed the request for the remaining
$10,000 of Public Relations 1982-83 budget adjustment.
Additional funds are available and makes the following recommendation.
Reconnnendation #1
The Connnittee recommends a 1982-83 budget adjustment for the additional $10,000 as previously requested by the Board Committee on Communications and Education.
Mr. President I move recommendation #1 be approved.

b. President Roberts requested of the committee approval
for using $1,500 of his travel funds to assist in bringing the Asia-Pacific Conference Procedure connnittee to the
Vienna Convention to finalize their work. The committe_e reviewed his travel accounts and approved this request.
2. 1983-84 Operating Budget
The 1983-84 Op_erating budget as completed by staff and reviewed by each Board Committee has also been extensively reviewed by the committee. The committee asked staff to .review the content
and evaluate the items for proper classification in the International Extension department and to present their findings and recommendations at the next committee meeting. The 1983-84 operating budget
has been prepared assuming the current $15 International Dues will be maintained, Only $1 over the 1982-83 budget has been allocated to operating expenses and $2 are allocated to retire the remaining deficit and establishment of cash reserves. The summary indicating Departmental totals is attached as Exhibit A.
The acceptance of this budget by the committee and the subsequent approval of this budget by the ·Board of Trustees, is not to be construed as an automatic authorization for funds to be spent as indicated in this budget. Rather it is to serve as a guideline which is to be reviewed each month in terms of both income and expense. Such review may result in monthly adjustments being made in expenses to insure that at the end of the administrative year, expenses will not exceed income. These monthly adjustments are the responsibility of the International Secretary and his executive staff with approval of the Finance Committee. No adjustment may be made in ·this budget which would result in an overall increase in the total budget without the recommendation of the Finance Committee and the approval of the Executive Committee or the Board of Trustees.
Recommendation #2
The Committee recommends the approval of the 1983-84 operating budget as shown in
Exhibit A. Further if changes become necessary the current approval process shall prevail.
Mr. President I move recommendation #2 be adopted.
Following a thorough discussion of the 1983-84 proposed operating budget, the full Board adopted the following recommendation.
Substitute Recommendation #2
The Kiwanis International Board recommends that we set a limit of five percent (5%) in excess of the 1982-83 projected annual expenses as a limit for our 1983-84 budget and rework our figures to bring them down to that number.

-3- International Convention Budget
The committee reviewed staff's proposal on a Statement of Principle·
on the Recording of Kiwanis International Convention Income and Expense and is attached as Exhibit B. The appropriate salary transfer budget amount is to be presented at the next Committee meeting.
Recommendation #3
The committee recommends acceptance of the Statement of Principle on the Recording of Kiwanis International Convention Income and Expenses effective October
1, 1982.

(Approved) 4. Personnel
Staff reported the pension plan revisions approved in January have been implemented effective April 30, 1983.
Kiwanis International benefit consultants recommended the implementation of a Savings Plan for employees at a minimal cost to Kiwanis International, qualifying under section 40l(k) of the Internal Revenue Service
Code, effective April 30, 1983. This is a voluntary employee savings plan allowing employees to invest pre-tax dollars.
Recommendation #4
The Committee recommends the establishment of an employee savings plan qualifying under section 40l(k) of the Internal Revenue Service Code to be effective April 30, 1983.

Staff presented certain facts concerning benefits offered to retired employees. With recent changes in availability of health and medical benefits to retired persons, it is of limited value for Kiwanis International to continue to provide this benefit.
The new employee procedure should not subsidize the cost for the retiree.
Recommendation #5
The committee recommends the following standard operating procedure with respect to future retirees effective June 1, 1983:
1. a.) Upon retirement an employee and spouse may continue to be covered by the Kiwanis
International health and medical benefits plan until such time as both the employee and spouse attain age 65.
