THE

Submitted by the Board of Trustees of Kiwanis Inter- national.

This amendment proposes to amend the Constitution of Kiwanis International to continue the annual per capita International dues at the present amount of fifteen dol- lars ($15.00).

Amend, effective October 1, 1983, Article XII, Section 2, of the Constitution of Kiwanis International by deleting the entire first sentence and substituting a new sentence, as follows:

Each member club shall pay to Kiwanis International for each and every member, with the exception of those holding life member status and honorary members, the sum of fifteen dollars ($15.00) per annum in semi-annual installments, due on the first day of the first and seventh months of the administrative year, and payable not later than sixty (60) days thereafter.

PRESENT PROVISIONS CONSTITUTION

First sentence of Article XII, Section 2

Each member club shall pay to Kiwanis International for each and every member, with the exception of those holding life member status and honorary members, the sum of fifteen dol- lars ($15.00) in United States currency or its equivalent for the 1982-83 administrative year and ten dollars ($10.00) per annum thereafter in United States currency or its equivalent in semi-annual installments, due on the first day of the first and seventh months of the administrative year, and payable not later than sixty (60) days thereafter.

PROPOSED AMENDMENT NO. 2 TO THE INTERNATIONAL CONSTITUTION

AND BYLAWS

Submitted by the Kiwanis Club of Squirrel Hill, Pitts=

burgh, Pennsylvania and the Kiwanis Clubs of Carol Stream, Illinois; Lisle, Illinois and San Francisco, California.

This amendment consisting of two parts proposes to amend the Constitution and Bylaws of Kiwanis Inter=

national to permit individual Kiwanis clubs to receive persons into membership based upon their own merits.

Amend Article V, Sections 4 a and c, of the Constitution of Kiwanis International by deleting these entire present Sections and substituting new Sections 4 a and c, as follows:

Section 4. Active Membership

a. The active membership of this club shall consist of persons of good character and community standing, residing or having other community interests within the area of this club.

c. No person shall be eligible to membership in this club who holds membership (other than honorary) in any other Kiwanis club or service club of like character.

Part2

Amend Article II, Sections 1 a and b, and Section 4 a, of the Bylaws of Kiwanis International by deleting these entire present Sections and substituting new Sections 1 a and b, and a new Section 4 a, as follows:

Section 1. Active Membership

a. Any person possessing the qualifications prescribed in Article V, Section 4, of the Constitution of Kiwanis International may be elected to active membership in a chartered club.

b. No person shall be eligible to membership in a club who holds membership (other than honorary) in any other Kiwanis club or other service club of like character.

Section 4. Honorary Membership

a. Any person who has performed some distinguished public service may be elected an honorary member of a Kiwanis club (of which he or she is not an active, privi=

leged, or senior member) for a period of one (1) year and thereafter may be re=elected annually.

This amendment consisting of three parts proposes to amend the Constitution and Bylaws of Kiwanis Inter- national to provide for one specified representative on the Board of Trustees from the Andean District, effective October 1, 1984.

Amend Article VIII, Section 1, of the Constitution of Kiwanis International by deleting the entire present sec- tion and substituting a new Section 1, as follows:

Section 1. The Board of Trustees shall consist of the Pres- ident, President-elect, Immediate Past President, two (2) Vice-presidents, Treasurer, and twelve (12) Trustees.

The members of the Board of Trustees shall be elected as follows:

a. One (1) member from the European Federation, except that, in a year when the European Federation presents a candidate for office above the level of Trustee, it shall not offer a candidate for the office of Trustee.

b. Thirteen (13) members from the United States. Rep- resentation from the Pacific Northwest District shall be a part of the specified representation from the United States irrespective of residence.

c. One (1) member from each of the two (2) Canadian districts as presently constituted, including all areas attached thereto, except that in a year when a Canadian district presents a candidate for office above the level of Trustee, that district shall not off er a candidate for the office of Trustee.

d. One (1) member from the Asia-Pacific Area, except that in a year when the Asia-Pacific Area presents a can- didate for office above the level of Trustee, that area shall not offer a candidate for the office of Trustee. The Asia-Pacific Area shall include the Districts of Australia, Japan, New Zealand, Philippine Luzon, Philippine South, Republic of China, and non-districted clubs in the Asia-Pacific Area.

e. One (1) member from the Andean District as presently constituted, except that in a year when the Andean Dis- trict presents a candidate for office above the level of Trustee, that district shall not offer a candidate for the office of Trustee.

PRESENT PROVISIONS CONSTITUTION

Article VIII, Section 1

Section 1. The Board of Trustees shall consist of the President, President-elect, Immediate Past President, two (2) Vice-pres- idents, Treasurer, and twelve (12) Trustees.

The members of the Board of Trustees shall be elected as follows:

a. One (1) member from the European Federation, except that, in a year when the European Federation presents a can- didate for office above the level of Trustee, it shall not offer a candidate for the office of Trustee.

b. A minimum of twelve (12) members from the United States.

Representation from the Pacific Northwest District shall be a part of the specified representation from the United States irrespective of residence.

c. One (1) member from each of the two (2) Canadian districts as presently constituted, including all areas attached thereto, except that in a year when a Canadian district presents a candidate for office above the level of Trustee, that district shall not offer a candidate for the office of Trustee.

d. One (1) member from the Asia-Pacific Area, except that in a year when the Asia-Pacific Area presents a candidate for office above the level of Trustee, that area shall not offer a candidate for the office of Trustee. The Asia-Pacific Area shall include the Districts of Australia, Japan, New Zealand, Phil- ippine Luzon, Philippine South, Republic of China, and non- districted clubs in the Asia-Pacific Area.

e. The remaining members of the B'oard of Trustees not spec- ified in paragraphs a, b, c, and d above may emanate from any district of Kiwanis International, subject to the provisions of paragraph f, following:

member on the Board of Trustees at any one time.

g. The effective date of specified representation from the European Federation shall be October 1, 1976. The effective date of specified representation from the two Canadian Districts shall be October 1, 1977. The effective date of specified representation from the Asia-Pacific Area shall be October 1, 1983. The effective date of spec- ified representation from the Andean District shall be October 1, 1984.

Part 2-A

Amend Article XI, Section 3g(2), of the Bylaws of Kiwanis International by adding a new Section 3g(2)(e), as follows:

(e) For representation from the Andean District, the conference shall submit to the Annual Convention for election the candidate for the office of Trustee who has been certified to the Secretary of Kiwanis International by the Board of Trustees of that district. In the event of the necessity for election of a Trustee for a one-year term (as in Section 11, following) the conference shall submit the candidate who has been certified to the Secretary of Kiwanis International by the Board of Trustees of said district.

Part 2-B

Amend Article XI, Section 8, of the Bylaws of Kiwanis International by adding a new Section 8d, as follows:

d. The nominee for the office of Trustee from the Andean District shall be presented to the delegate body in the report of the Conference on Nominations and shall be declared by the President elected to the Board of Trustees, as of the following October first. Delegates from clubs in the Andean District shall not be eligible to vote for Trustee candidates from other areas.

Part3

Amend Article XII, Section 5, of the Bylaws of Kiwanis International by adding an additional paragraph, as follows:

When, due to election results, the Andean District does not have the specified representation on the Board of Trustees, as defined in Article VIII, Section 1, of the Con- stitution, the said district shall certify to the Secretary of Kiwanis International the name of the nominee who shall be seated by the Board of Trustees as a Trustee to serve for a term of two (2) years.

f. No district or federation may have more than one (1) mem- ber on the Board of Trustees at any one time.

g. The effective date of specified representation from the European Federation shall be October 1, 1976. The effective date of specified representation from the two Canadian Dis- tricts shall be October 1, 1977. The effective date of specified representation from the Asia-Pacific Area shall be October 1, 1983.

TO THE CONSTITUTION AND BYLAWS OF KEY CLUB INTERNATIONAL To be Submitted to the 40th Annual Convention

Hollywood, Florida - July 10-13, 1983

To all Key Clubs:

The following proposed amendments to the Constitution and Bylaws of Key Club Inter- national will be officially presented for action at the Annual Convention in Holly- wood, Florida on Wednesday, July 13, 1983.

Copies of the proposed amendments are being sent to each chartered Key Club in accordance with the provisions of Articles 17

&

18 of the Constitution. At the convention the proposed amendments will be presented to the delegate body for consideration and action.

You will note that in the column parallel to the proposed amendments, the present Article and Section of the Constitution and Bylaws which is referred to in the pro- posed amendment, is included. All proposed changes are underlined.

CONSTITUTION

(Article 18, Section 1 of the Constitution reads, in part: "Amendments to the Constitution shall be made by a two-thirds (2/3) vote of the voting delegates and voting delegates-at-large present and vot~ng at any convention of Key Club Inter- national.,.)
