May 20, 1985 To All Kiwanis Clubs:

The following proposed amendments to the Constitution and Bylaws of Kiwanis International will be officially presented for action at the Annual Convention in . Toronto, Ontario, July 2, 1985.

This copy of the proposed amendments is being sent to the secretary of each chartered club in accordance with the provisions of Articles XVI and XVII of the Constitution. You will note that in the column parallel to the proposed amendments are included the sections and articles of the present Constitution and Bylaws referred to in the proposed amendments.

PROPOSED AMENDMENT NO. l TO THE INTERNATIONAL BYLAWS Submitted by the Board of Trustees of Kiwanis International.

This amendment proposes to amend the Bylaws of Kiwanis International to define the amount of subsidy to Key Club International and Circle K International to assure zero-based budgeting by both organizations and to provide proper internal controls over financial matters.

BYLAWS

Amend Article XVII of the Bylaws of Kiwanis International by adding new Sections 8 and 9, as follows:

Section 8. Key Club.

a. Kiwanis International shall subsidize Key Club International for the following costs:

(l) The salaries of the employees of the Key Club Department and their related personnel employee benefit costs.

(2) General Office building occupancy expenses.

(3) Accounting costs to maintain financial records.

b. All other costs incurred by or on behalf of the operation of Key Club International shall be its responsibility, unless assumed by specific action of the Kiwanis International Board of Trustees.

c. Key Club International shall maintain separate accounting records and shall have the privilege of maintaining reserve funds for the purpose of sustaining its operations in future years.

Section 9. Circle K.

a. Kiwanis International shall subsidize Circle K International for the following costs:

(1) The salaries of the employees of the Circle K Department and their related personnel employee benefit costs.

(2) General Office building occupancy expenses.

(3) Accounting costs to maintain financial records.

b. All other costs incurred by or on behalf of the operation of Circle K International shall be its responsibility, unless assumed by specific action of the Kiwanis International Board of Trustees.

c. Circle K International shall maintain separate accounting records and shall have the privilege of maintaining reserve funds for the purpose of sustaining its operations in future years.

PROPOSED AMENDMENT NO. 2 TO THE INTERNATIONAL CONSTITUTION Submitted by the Kiwanis Club of Auckland, New Zealand.

This amendment proposes to amend the Constitution of Kiwanis International to fix a rate of exchange at which non-U .S. clubs pay their membership dues for the next two years.

CONSTITUTION

Amend Article XII, Section 7, of the Constitution of Kiwanis International as follows:

Section 7. The word "dollar(s)" shall mean "Uriited States dollar(s) or the equivalent thereof", effective October l, 1982. From July 3, 1985 until July 3, 1987, the rate of exchange between the United States dollar and the currencies of other Kiwanis nations and territories shall be the rate effective on.June 1, 1984.

THIS AMENDMENT IS NOT ENDORSED BY THE BOARD OF TRUSTEES OF KIWANIS INTERNATIONAL.

Section 7. The word "dollar(s)" shall mean "United States dollar(s) or the equivalent thereof', effective October I, 1982.

PROPOSED AMENDMENT NO. 3 TO THE INTERNATIONAL CONSTITUTION

AND BYLAWS

Submitted by the Andean and Central America District.

This amendment proposes to amend the Constitution and Bylaws of Kiwanis International to provide for one specified representative on the Board of Trustees from the Andean and Central America District, effective October l, 1985.

CONSTITUTION

Amend Article VIII, Section l, of the Constitution of Kiwanis International by deleting the entire present section and substituting a new Section l, as follows:

Section l. The Board of Trustees shall consist of the President, President-elect, Immediate Past President, two (2) Vice-presidents, Treasurer, and twelve (12) Trustees.

The members of the Board of Trustees shall be elected as follows:

a. One (l) member from the European Federation, except that, in a year when the European Federation presents a candidate for office above the level of Trustee, it shall not offer a candidate for the office of Trustee.

b. Thirteen (13) members from the United States. Representation from the Pacific Northwest District shall be a part of the specified representation from the United States irrespective of residence.

c. One (J) member from each of the two (2) Canadian districts as presently constituted, including all areas attached thereto, except that in a year when a Canadian district presents a candidate for office above the level of Trustee, that district shall not off er a candidate for the office of Trustee.

d. One (l) member from the Asia-Pacific Area, except that in a year when the Asia-Pacific Area presents a candidate for office above the level of Trustee, that area shall not offer a candidate for the office of Trustee. The Asia-Pacific Area shall include the districts of Australia, Japan, New Zealand, Philippine Luzon, Philippine South, Republic of China, and non-districted clubs in the Asia- Pacific Area.

e. One (l) member from the Andean and Central America District as presently constituted, except that in a year when the Andean and Central America District presents a candidate for office above the level of Trustee, that district shall not off er a candidate for the office of Trustee.

f. No district or federation may have more than one (l) member on the Board of Trustees at any one time.

g. The effective date of specified representation from the European Federation shall be October l, 1976. The effective date of specified representation from the two Canadian districts shall be October l, 1977. The effective date of specified representation from the Asia- Pacific Area shall be October l, l 983. The effective date of specified representation from the Andean and Central America District shall be October 1, 1985.

BYLAWS

Amend Article XI, Section 3g(2), of the Bylaws of Kiwanis International by adding a new Section 3g(2)( e), as follows:

(e) For representation from the Andean and Central America District, the conference shall submit to the Annual Convention for election the candidate for the office of Trustee who has been certified to the Secretary of Kiwanis International by the Board of Trustees of that district. In the event of the necessity for election of a Trustee for a one-year term (as in Section 11, following) the conference shall submit the candidate who has been certified to the Secretary of Kiwanis International by the Board of Trustees of said district.

e. The remaining members of the Board c)fTrustees not specified in paragraphs a, b, c, and d above may emanate from any district of Kiwanis International, subject to the provisions of paragraph f, following:

PROPOSED AMENDMENT NO. 5 TO THE INTERNATIONAL BYLAWS

Submitted by the Kiwanis Club of Audubon, Baton Rouge, Louisiana.

This amendment proposes to amend the Bylaws of Kiwanis International to provide that the cost of sponsorship of Circle K International and Key Club International be for Kiwanis lnter- national's account.

BYLAWS

Amend Article XVII of the Bylaws of Kiwanis International by adding a new Section 4 which reads as follows:

Section 4. The system of accounts and the annual budget shall include separate sections covering each Sponsored Youth Service organization's International operations.

a. Two separate budgets shall be established for each Sponsored Youth Service organization:

(1) The Kiwanis International subsidized expenses, which shall be the basic costs of sponsorship, including but not limited to:

(a) Salaries and related employee benefit costs for all staff, non- staff and overtime/temporary help.

(b) General Office building occupancy expenses, such as rent, utilities, office materials and machine expenses incurred by staff, depreciation and janitorial services.

( c) Accounting costs and all such other staff and non-staff costs as may be incurred at the direction of Kiwanis International.

(2)'The non-subsidized expenses, which shall be the costs incurred by each organization in the operation of its International Board, including travel, telephone, postage, materials and other expenses incurred by the organization's International officers, said expense~

to be the responsibility of the appropriate Sponsored Youth organization.

b. Two separate systems of accounts shall be established for each Sponsored Youth Service organization, paralleling the separate budgets noted in subsection "a".

c. Each Sponsored Youth Service organization shall have the privilege of maintaining reserve funds, generated by an excess of income over non-subsidized expenses, for the purpose of sustaining their respective non-subsidized operations in future years.

RENUMBER existing Sections 4, 5, 6, and 7 to become Sections 5, 6, 7, and 8.

THIS AMENDMENT IS NOT ENDORSED BY THE BOARD OF TRUSTEES OF KIWANIS INTERNATIONAL.

PROPOSED AMENDMENT NO. 4 TO THE INTERNATIONAL CONSTITUTION

AND BYLAWS

Submitted by the Kiwanis Club of Mankato, Minnesota.

This amendment, consisting of two parts, proposes to amend the Constitution and Bylaws of Kiwanis International to afford local Kiwanis clubs the option of receiving female persons into member- ship.

CONSTITUTION PRESENT PROVISIONS

Amend Article V, Section 4 a and c, of the Constitution of Kiwanis CONSTITUTION

International as follows: Article V, Section 4 a and c

Section 4. Active Membership.

a. The active membership of any club shall consist of men, and women at the option of the local club, of good character and community standing residing or having other community interests within the area of this club.

c. No person shall be eligible to membership in this club who holds membership ( other than honorary) in any other Kiwanis club or service club of like character.

BYLAWS

Amend Article II, Section 2, a (1) and (2), d (I), and Section 3 b of the Bylaws of Kiwanis International as follows:

Article II. Membership in Clubs

Section 2. Membership in a chartered club is limited to persons over eighteen years of age who satisfy the qualifications for either active membership, privileged membership, senior membership, or honor- ary membership as follows:

a. Qualifications for Active Membership.

(1) An active member must be a person of good character and community standing who resides or has other community interests within the area of the chartered club.

(2) An active member must be a person who is engaged in an occupation in a recognized line of business, vocation, agriculture, or institutional or professional life or who, having been so engaged, has retired.

d. Qualifications for Honorary Membership.

(1) Any person who has performed some distinguished public service may be elected an honorary member of a chartered club ( of which he or she is not an active, privileged, or senior member) for a period of one ( 1) year and thereafter may be re-elected annually.

Section 3.

b. Upon a Kiwanian's attaining the status of life member, his or her club is thereby relieved of any further dues obligation to Kiwanis International for that member. The member's financial obligations to his or her local club and district, including his or her subscription to the Kiwanis magazine and the premium payable to defray the cost of the general Comprehensive Liability Insurance, shall remain intact.

THIS PROPOSED AMENDMENT IS NOT ENDORSED BY THE BOARD OF TRUSTEES OF KIWANIS INTER- NATIONAL.

Section 4. Active Membership.

A mend Article XI, Section 8, of the Bylaws of Kiwanis International by adding a new Section 8d, as follows:

The nominee for the office of Trustee from the Andean and Central America District shall be presented to the delegate body in the report of the Conference on Nominations and shall be declared by the President elected to the Board of Trustees, as of the following October first. Delegates from clubs in the Andean and Central America District shall not be eligible to vote for Trustee candidates from other areas.

Amend Article XII, Section 5, of the Bylaws of Kiwanis International by adding an additional paragraph, as follows:

When, due to election results, the Andean and Central America District does not have the specified representation on the Board of Trustees, as defined in Article VIII. Section l, of the Constitution, the said district shall certify to the Secretary of Kiwanis International the name of the nominee who shall be seated by the Board of Trustees as a Trustee to serve for a term of two (2) years.

THIS AMENDMENT IS NOT ENDORSED BY THE BOARD OF TRUSTEES OF KIWANIS INTERNATIONAL.
