Perseroan didirikan dengan nama PT Seruling Indah Permai berdasarkan Akta No. 93 tanggal 14 Maret 1996, dibuat di hadapan Misahardi Wilamarta, S.H., Notaris di Jakarta sebagaimana diubah dengan Akta No. 304 tanggal 26 Juli 1996, dibuat di hadapan Yuliandi Ermawanto, S.H., Notaris pengganti Misahardi Wilamarta, S.H., Notaris di Jakarta. Akta-akta tersebut telah memperoleh pengesahan dari Menteri Kehakiman Republik Indonesia berdasarkan Surat Keputusan No. C2-8324 HT.01.01.
Th.96, tanggal 7 Agustus 1996, telah didaftarkan dalam Daftar Perusahaan sesuai UUWDP dengan Tanda Daftar Perusahaan No.
09851633872 di Kantor Pendaftaran Perusahaan Kodya Jakarta Pusat di bawah No. 163/ BH.09.05/XI/96 tanggal 4 November 1996, serta telah diumumkan dalam Berita Negara Republik Indonesia No. 96 tanggal 29 November 1996, Tambahan No. 9456 (“Akta Pendirian”).
Sejak tanggal pendirian, Anggaran Dasar Perseroan telah beberapa kali mengalami perubahan, antara lain yang penting adalah sebagai berikut:
• Berdasarkan keputusan Rapat Umum Pemegang Saham Luar Biasa Perseroan sebagaimana dimuat dalam Akta Pernyataan Keputusan Rapat Umum Pemegang Saham Luar Biasa No. 35 tanggal 28 Maret 2000 yang dibuat oleh Notaris Myra Yuwono, S.H., Notaris di Jakarta, Anggaran Dasar Perseroan telah diubah sehubungan dengan perubahan nama Perseroan menjadi PT Link Net. Akta Perubahan Anggaran Dasar tersebut telah dilaporkan kepada Menteri Hukum dan Perundang-Undangan melalui Laporan Data Akta Perubahan Anggaran Dasar Perseroan tanggal 13 April 2000 dan memperoleh Persetujuan dari Menteri Hukum dan Perundang-Undangan dengan Keputusan No.
C-9118 HT.01.04.TH.2000. tanggal 20 April 2000 serta telah didaftarkan di Kantor Pendaftaran Perusahaan Kodya Jakarta Selatan No. 793/RUB.09.03/VIII/2000 tanggal 14 Agustus 2000 serta telah diumumkan dalam BNRI No. 84 tanggal 20 Oktober 2000, Tambahan No. 6296.
The Company was established under the name of PT Seruling Indah Permai based by a Notarial Deed No. 93 dated March 14, 1996 of Misahardi Wilamarta, S.H., Notary in Jakarta as amended by a Notarial Deed No. 304 dated July 26, 1996, which was drafted in front of Yuliandi Ermawanto, S.H., substitute notary of Misahardi Wilamarta, S.H., Notary in Jakarta. These Notarial Deeds have been approved by the Minister of Justice of the Republic based on a Decision Letter No.C2-8324 HT.01.01.
Th.96 dated August 7, 1996 and has been registered in the Registry of Companies in accordance with the UUWDP with the Certificate of Company Registration No. 09851633872 in the Office Registration of the Company municipality of Central Jakarta under a letter No. 163/BH.09.05/XI/96 dated November 4, 1996, and has been published in the State Gazette of the Republic of Indonesia No. 96 dated November 29, 1996, Supplement No. 9456 (“the Deed of Establishment”).
Since the Company’s establishment date, the Article of Association of the Company went through several changes, the most important ones are listed below:
• Based on a decision made at the Extraordinary General Meeting of Shareholders as published in the Deed of Statement of the Result of the Extraordinary General Meeting of Shareholders No. 35 dated March 28, 2000 drafted by Myra Yuwono, S.H., Notary in Jakarta, the Company’s Articles of Association has been amended in relation to a change in the Company’s name to PT Link Net.
The Amendment of the Articles of Association has been reported to the Minister of Law through a Report of Changes of the Company’s Articles of Association dated April 13, 2000 and was granted an approval by the Minister of Law through a Decree No. C-9118 HT.01.04.TH.2000 dated April 20, 2000 and has been registered in the Office Registration of the Company municipality of South Jakarta No. 793/RUB.09.03/
VIII/2000 dated August 14, 2000 and has been published in the BNRI No. 84 dated October 20, 2000, Supplement No.
6296.

• Berdasarkan Keputusan Rapat Umum Pemegang Saham Luar Biasa Perseroan sebagaimana dimuat dalam Akta Pernyataan Keputusan Rapat No. 29 tanggal 27 November 2008 yang dibuat oleh Notaris Lindasari Bachroem, S.H., Notaris di Jakarta, Anggaran Dasar Perseroan telah diubah sehubungan dengan penyesuaian dan penyusunan kembali seluruh Anggaran Dasar Perseroan untuk disesuaikan dengan ketentuan Undang-Undang No. 40 Tahun 2007 tentang Perseroan Terbatas. Akta Perubahan Anggaran Dasar tersebut telah memperoleh Persetujuan dari Menteri Hukum dan Hak Asasi Manusia Republik Indonesia dengan Keputusan No. AHU-99920. AH.01.02.Tahun 2008 tanggal 24 Desember 2008 dan telah didaftarkan dalam Daftar Perseroan No. AHU-0125673. AH.01.09.Tahun 2008 tanggal 24 Desember 2008 serta telah diumumkan dalam BNRI No.
20 tanggal 9 Maret 2010, Tambahan No.2356.
• Berdasarkan keputusan para pemegang saham di luar Rapat Umum Pemegang Saham Perseroan sebagaimana dimuat dalam Akta Pernyataan Keputusan Pemegang Saham No. 107 tanggal 10 Mei 2011 yang dibuat di hadapan Dr. Irawan Soerodjo, S.H., Notaris di Jakarta, Perseroan telah memperoleh persetujuan atas rencana pelaksanaan reorganisasi dalam rangka penyelenggaraan bisnis jaringan dan televisi berlangganan dari PT First Media Tbk kepada Perseroan. Keputusan tersebut kemudian dinyatakan kembali dalam Akta Pernyataan Keputusan Pemegang Saham No. 171 tanggal 16 Juni 2011 yang dibuat di hadapan Dr. Irawan Soerodjo, S.H., Notaris di Jakarta, Anggaran Dasar Perseroan diubah sehubungan dengan reorganisasi tersebut. Akta perubahan Anggaran Dasar tersebut telah memperoleh Persetujuan dari Menteri Hukum dan Hak Asasi Manusia Republik Indonesia dengan Keputusan No. AHU-32017.AH.01.02.Tahun 2011 tanggal 27 Juni 2011 dan telah didaftarkan dalam Daftar Perseroan No. AHU- 0051788.AH.01.09.Tahun 2011 tanggal 27 Juni 2011.
• Based on a Decision of the Extraordinary General Meeting of Shareholders as published in the Deed of Statement of Result of the Extraordinary General Meeting of Shareholders No. 29 dated November 27, 2008 drafted by Lindasari Bachroem, S.H., Notary in Jakarta, the Company’s Articles of Association amended and adjusted to comply with the Company Law No. 40/2007. This Deed was approved by the Minister of Law and Human Rights under his Decision Letter No. AHU-99920.AH.01.02.
Tahun 2008 dated December 24, 2008 and has been registered on the Registry of Companies No. AHU- 0125673.AH.01.09. Tahun 2008 dated December 24, 2008 and has been published in the BNRI No. 20 dated March 9, 2010, Supplement No. 2356.
• Based on the decision made by shareholders outside the mechanism of the General Meeting of Shareholders as published in the Deed of Statement of Shareholders’ Decision No. 107 dated May 10, 2011 drafted in front of Dr. Irawan Soerodjo, S.H., Notary in Jakarta, the Company has obtained an approval for its plan to restructures the Company and set up a network and pay TV television business of PT First Media Tbk to the Company. The decision was stated in the Deed of Statement of Shareholders’ decision No. 171 dated June 16, 2011, which was drafted in front of Dr. Irawan Soerodjo, S.H.
a Notary in Jakarta, outlining the changes of the Company’s Articles of Association in relations with the reorganization.

• Due to an Initial Public Offering (IPO), the Company’s Articles of Association was changed based on the Deed of Statement of Shareholders’ Resolution No. 7 dated February 25, 2014 drafted by Rini Yulianti, S.H., Notary in East Jakarta, where the entirety of the Company’s Articles of Association were adjusted to conform to the regulations related to the Indonesian Capital Market, including the change of the company’s name to PT Link Net Tbk and the change in the Company’s status as a public company. Kegiatan Usaha Perseroan
Perseroan pada awalnya memiliki kegiatan usaha yang difokuskan di bidang perdagangan barang dan jasa. Pada tahun 2000, kegiatan usaha Perseroan berubah menjadi bidang teknologi informasi dan jasa penyelenggaraan internet serta jasa pada umumnya. Pada tahun 2011 dan tahun 2019 Perseroan melakukan perluasan kegiatan usaha dan saat ini terlibat dalam aktivitas telekomunikasi dengan kabel, multimedia, internet, perdagangan serta jasa konsultasi manajemen bisnis.
Pada tahun 2011, PT First Media Tbk (“FM”) melakukan pengalihan dan/atau penjualan aset dan hak serta lisensi kepada Perseroan termasuk pengalihan beberapa perjanjian penting sehubungan dengan reorganisasi FM dan anak-anak perusahaannya. Saat ini Perseroan melakukan kegiatan usaha sebagai penyedia jasa layanan internet broadband berkecepatan tinggi (dikenal dengan nama label usaha FastNet), bekerjasama dengan PT First Media Television (“FMTV”) dalam menyediakan Jasa Televisi Berlangganan (dikenal dengan nama label usaha HomeCable), dan layanan bagi pelanggan korporasi (dikenal dengan nama label usaha Link Net Enterprise Business).
Business Activities
The Company’s initial activities focused on the trading of goods and services. In 2000, the Company’s business activities changed to information technology, internet services and general services.
In 2011 and 2019 the Company expanded its services and currently engages in the provision of telecommunication by cable, multimedia, internet services, trading and business management consulting services.
In 2011, PT First Media Tbk (“FM”) transferred and/ or sold their assets and licenses to the Company including the transfer of a number of important agreements related to the reorganization of FM and its subsidiaries. Currently the Company conducts business activities as a provider of high speed internet broadband services (known with the business label FastNet), in cooperation with PT First Media Television (“FMTV”) in providing Pay TV Television Services (known with the business label HomeCable), and services for enterprise customer (known with the business label Link Net Enterprise Business).
