ANALISA YURIDIS ATAS TERJADINYA JUAL BELI SAHAM YANG SUDAH DIDAFTARKAN DI SISTEM ADMINISTRASI BADAN HUKUM
TERKAIT BELUM TERJADINYA PEMBAYARAN HARGA SAHAM
Perusahaan merupakan sebuah wujud berusaha untuk melaksanakan beragam jenis dalam sebuah usaha, dimana sifatnya adalah tetap dan dilaksanakan secara intens, yang mendapatkan untung dan laba. Pengaturan tentang saham dalam perseroan terbatas diatur dalam Pasal 1 angka 1 Undang-undang Nomor 40 tahun 2007 tentang Perseroan Terbatas yang berisi pada pointnya jika saham menjadi salah satu bagian dari sebuah modal dasar dari perseroan, kemudian disimpan ke kas individu diwaktu perseroan tersebut dibentuk atau sebutan yang biasa terkenal adalah para pemegang hak atas saham yang ada dalam perseroan. Adapun tujuan penelitian ini adalah untuk menganalisa peran notaris terhadap pengalihan hak atas saham melalui transaksi jual beli saham pada Perseroan Terbatas dan akibat hukum jual beli saham yang sudah didaftarkan di Sistem Administrasi Badan Hukum terkait belum terjadinya pembayaran harga saham, adapun metode penelitian yang digunakan metode penelitian normatif yuridis normatif, yaitu studi kepustakaan dengan mempelajari buku-buku, peraturan perundang-undangan dan dokumen-dokumen terkait. Saham merupakan suatu surat tanda bukti dari perseroan yang menandakan adanya keikutsertaan dari sebuah subyek hukum di perseroan, dimana saham memberikan petunjuk terkait hak serta kewajiban, kemudian terdapat kaitan hukum antar pihak yang memiliki saham. Prinsip dalam Jual Beli adalah menganut prinsip dasar tunai dan terang, yang mempunyai maksud bahwa jual beli dijalankan dalam hadapan pejabat yang mempunyai kewenangan dan jual belinya harus dilakukan pembayaran secara lunas oleh seorang pembeli pada yang menjual.

Shares are a certificate of evidence from the company which indicates the participation of a legal subject in the company, where the shares provide instructions regarding rights and obligations, then there is a legal relationship between the parties who own the shares. The principle in buying and selling is adhering to the basic principle of cash and light, which has the intention that buying and selling is carried out in the presence of an official who has the authority and the sale and purchase must be paid in full by a buyer to the seller.
