C ONTENTS OF B IDDING D OCUMENTS

Pre-Bid Conference

If specified in the BDS, a pre-bid conference shall be held at the location and date specified therein to clarify and address bidders' questions regarding the technical and financial components of this project. If the contracting authority determines that due to the method, nature or complexity of the contract to be tendered, or when international participation will be more advantageous to the GOP, a longer period for the preparation of tenders is necessary, the tender conference must be held at least thirty (30) calendar days before the deadline for submitting and receiving bids, as specified in the BDS. Bidders are encouraged to attend the pre-bid conference to ensure they fully understand the procuring entity's requirements.

Non-attendance of the Bidder shall in no way prejudice his bid; however, the Bidder is expected to know the changes and/or amendments to the Bid Documents discussed during the pre-bid conference. Any statement made at the pre-bid conference will not modify the terms of the Bidding Documents unless such statement is specifically identified in writing as a modification thereof and issued as a Supplemental/Bid Bulletin.

Clarification and Amendment of Bidding Documents

If the project is no longer necessary as determined by the head of the procuring entity; and. iii). The performance guarantee will remain valid until the issuance by the Procuring Entity of the Final Acceptance Certificate. If the source of financing for the project has been withheld or reduced through no fault of the contracting authority. Notwithstanding the issuance of the award notice, the award of the contract is subject to the following conditions: Within three (3) calendar days from the date of approval of the contract by the competent government approval authority, the procuring entity shall issue a notice of transfer to the tenderer.

This contract shall be construed in accordance with the laws of the Republic of the Philippines. Members of the BAC, including its staff and personnel, as well as its Secretariat and GPT, are prohibited from making or accepting any communications with any bidders regarding the evaluation of their bids until the issuance of the Notice to award, unless otherwise permitted. in the case of Clause 26 ITB. Any attempt by a Bidder to influence the Procuring Entity in the decision of the Procuring Entity regarding the evaluation of bids, the comparison of bids or the award of the contract will result in the rejection of the Bidder's bid.

Subject to ITB clause 29, the procuring entity shall award the contract to the bidder whose bid has been determined to be LCRB. Before the end of the offer validity period, the contracting authority must notify the selected bidder in writing that its bid has been accepted, through a notice of award received in person or sent by registered mail or electronically, the receipt of which must be confirmed in writing within two (2) days of the bidder to the LCRB and submitted in person or sent by registered mail or electronically to the procuring entity. At the time of contract award, the contracting authority may not increase or decrease the quantity of goods originally specified in Section VI.

At the same time as the Procuring Entity notifies the successful Bidder that its bid has been accepted, the Procuring Entity will issue the Contract Form to the. Bidder, which contract is provided in the Bidding Documents, which includes all agreements between the parties therein. Within ten (10) calendar days from receipt of the Notice of Award, the successful Bidder shall post the required performance security and sign and date the contract and return it to the Procuring Entity.

The Procuring Entity will enter into a contract with the successful Bidder within the same ten (10) calendar day period, provided that all the documentary requirements are met.

The subcontracting of any part of the goods, if permitted in the BDS, shall not relieve the supplier of any liability or obligation under this contract. Subcontractors disclosed and identified during the solicitation of bids may be changed during the performance of this contract if they meet the required qualifications and approval of the Employer. Payments are made only on the basis of confirmation by the client's manager that the goods have been submitted or delivered in accordance with the terms of this contract and that they have been properly inspected and accepted.

The remaining twenty percent (20%) of the Contract Price shall be paid to the Supplier within sixty (60) days after the date of submission of the acceptance and inspection certificate for the respective delivery issued by the Selling Entity's authorized representative. The performance security placed in favor of the Procuring Entity will be forfeited if it is determined that the winning bidder is in default in any of its obligations under the contract. Any document, other than this Contract itself, which is enumerated in GCC Clause 14.1, remains the property of the Procuring Entity and shall (all copies) be returned to the Procuring Entity upon completion of the Supplier's performance under this Contract if required by the Procuring Entity . .

If performed on the premises of the Supplier or its subcontractor(s), all reasonable facilities and assistance, including access to drawings and production data, shall be provided to the inspectors at no cost to the Procuring Entity. The Supplier agrees that neither the performance of a test and/or inspection of the Goods or any part thereof, nor the attendance by the Procuring Entity or its representative, shall release the Supplier from any guarantees or other obligations under this Contract. Arbitration may be commenced before or after delivery of the Goods under this Contract.

The liability of the Supplier under this Contract shall be as determined by the laws of the Republic of the Philippines, subject to any additional provisions in the SCC. Before recovery can be made, the fact of the damage must be established by the Supplier under oath to the satisfaction of the Contracting Authority before recovery can be made. It shall notify the Supplier in writing of its decision and, unless otherwise stated, this Contract shall be deemed to be terminated upon receipt of notice of the decision by the Supplier.

PHILIPPINE RICE RESEARCH INSTITUTEMIDSAYAP EXPERIMENT STATION. g) The Head of the Procuring Entity may create a Contract Termination Review Committee (CTRC) to assist him in the performance of this function. Subject to applicable laws, no change or modification of the terms of this Contract shall be made except by written modification signed by the parties. The Supplier shall indemnify the Procuring Entity against all third party claims of infringement of patent, trademark or industrial design rights arising out of the use of the Goods or any part thereof.
