Organizing Regulations for the

Imam Abdulrahman bin Faisal University

Introduction

Given that Imam Abdulrahman bin Faisal University is one of the three universities among the universities in the Kingdom of Saudi Arabia that gained independence; Which requires strengthening its financial capacity to make it able to achieve its research mission with a societal impact, in line with the Kingdom’s vision 2030, and given the urgent need to diversify sources of funding in accordance with the second goal of the university’s strategic plan, and based on Cabinet Resolution No. 9317, issued on 1437/2 /19 AH, which requires the continuation of what is currently in place in funding scientific research, and what is included in Item No. (2) by universities establishing funds to support scientific research to be funded by individuals such as university graduates and other companies, and increasing communication with the private sector to encourage it to fund scientific research through Centers of Excellence, and scientific research chairs, as this regulation represents the creation of the Scientific Research Support Fund at Imam Abdulrahman bin Faisal University and the organization of its work.

Article One: Establishment of the Fund: A

Article Two: Definitions

The fund to support scientific research at Imam Abdulrahman bin Faisal University is established under these regulations under the name “Imam Abdulrahman bin Faisal University Fund to Support Scientific Research” and has a legal personality and independent financial liability.

The following terms and expressions, wherever they appear in this regulation, shall mean the meanings shown next to each of them unless the context requires or stipulates otherwise:

University: Imam Abdul Rahman bin Faisal University.

University Council: Imam Abdulrahman bin Faisal University Council. Fund: Imam Abdulrahman bin Faisal University Fund for Scientific Research Support.

Regulations: The regulations for the Imam Abdulrahman bin Faisal University Fund to Support Scientific Research.

Board of Directors: The Board of Directors of the Imam Abdulrahman bin Faisal University Fund to Support Scientific Research.

Advisory Board: The Advisory Board for the Imam Abdulrahman bin Faisal University Fund to Support Scientific Research.

The President: The President of Imam Abdulrahman bin Faisal University and Chairman of the Board of Directors of the Imam Abdulrahman bin Faisal University Fund to Support Scientific Research.

Executive Director of the Fund: A faculty member at Imam Abdulrahman bin Faisal University who is charged with the general supervision of the Fund’s activities in accordance with the tasks and competencies specified in these regulations, and under the supervision of the Board of Directors.

Fiscal year: The financial year of the university.

Final accounts: the financial results, or any part of them represented by the fund's budget, the income and audit statement, and any other financial statements.

Article Three: Headquarters of the Fund

Article Four: The Fund's Objectives

The headquarters of the Fund shall be in the main center of Imam Abdulrahman bin Faisal University in Al Rakah.

1. Attracting financial and in-kind support from donors to stimulate scientific research at the university.

2. Diversify the fund's funding sources to ensure the sustainability of support for scientific research at the university.

3. Investing the fund's resources in an efficient and safe manner.

4. Supporting original research and research projects that achieve the objectives of the fund's supporters and serve the university's mission and goals.

5. Funding promising research that is not funded by any third party. -6 Developing research laboratories at the university.

6. Training and development of researchers and graduates with customized research programs.

7. Contribute to the promotion of the culture of giving among members of society.

8. Building bridges of communication between educational institutions and the private sector to encourage it to fund scientific research through the various research institutes, centers and programs at the university.

9. Design ambitious programs to market promising programs at the university, such as centers of research excellence and scientific research chairs, and work to attract financial supporters by all means of support.

10. Strengthening the university's own financial resources, as is the practice globally, in order to achieve the university's goals.

11. Establishing a culture of innovation in the institutional work environment.

12. Create a stimulating environment for research, development and innovation.

13. Attracting, motivating and nurturing national and international expertise and competencies.

Article Five: The Fund's work tasks

Article Six: The Fund's Administrative Structure

1. Communicate with the supporting bodies and donors from the university's graduates, both the government and private sectors, as well as charitable institutions, and build sustainable partnership relations that serve both parties.

2. Carrying out organized and targeted campaigns to collect donations for the Fund from various parties.

3. Marketing the university's research and innovation capabilities and capabilities that serve the community and donors and encourage them to donate and invest.

4. Determining the research areas related to the supporting bodies that the fund will support.

5. Support research and research projects of national priority in a competitive manner.

6. Supporting innovative and creative ideas and scientific discoveries, as well as research programs aimed at building national research capabilities and talents at the university.

7. Support research initiatives that provide solutions to the problems facing Saudi institutions and companies to increase their competitiveness.

8. Develop and invest a specific percentage of the fund's resources to ensure its sustainability.

9. Organizing various events and meetings that strengthen the bonds of bonds between the university and donors.

10. Seeking the assistance of experts, consultants and specialists in attracting and investing donations.

11. Searching for appropriate investment opportunities inside and outside the university in a manner that serves the fund's vision and achieve its objectives, and submitting them to the board of directors.

What the Fund's executive management deems to be a set of technical committees necessary for the Fund's work.

The Fund shall have an administrative structure consisting of:

Seventh Article: Board of Directors of the Fund

The eighth article: the functions of the board of directors

The Board of Directors of the Fund is formed by a decision of the University Council, for a renewable period of two years, as follows:

1. approval of the general policy and strategy of the fund’s work.

2. Approving the internal rules and procedures regulating the work and management of the fund.

3. Approval of contracts with donors and donors.

4. Forming the fund's advisory body and evaluating its performance.

5. Discussing and approving the periodic reports submitted by the executive management on the fund's work and achievements.

6. Considering the issues raised by the advisory body and the fund management.

7. Approval of investment plans for the fund's resources 8. Approval of the annual budget of the fund.

9. Approval of the final accounts of the fund.

10. Laying the general foundations for cooperation and coordination with other parties concerned with scientific research.

11. Recommending the acceptance of grants, wills, gifts and donations made to the fund, in accordance with the rules and regulations in force at the university.

12. Considering any proposed amendments to the fund's organizational bylaw and submitting them to the University Council for approval.

13. Appointing the external auditor to review the annual financial work of the Fund and to estimate his fees.

1. The Board of Directors meets once every semester upon the invitation of the President.

2. The Chairman of the Board of Directors has the right to call the Board to a meeting at any other time when needed.

3. The meeting may not be held unless two thirds of the members are present.

4. Decisions are issued by majority, and the Speaker of the Council has a casting vote in case of equal votes.

5. Decisions are issued and signed by the university president (chairman of the board of directors).

6. When the Chairman of the Board of Directors objects to a decision of the Board of Directors, and the Board insists on its decision, the objected decision is referred to the University Council, and its decision is considered final.

1. The Fund shall appoint an Executive Director upon nomination by the Board of Directors.

2. The term of appointment of the CEO is three years, subject to renewal.

1. General supervision of the fund's management.

2. Implementation of the decisions of the Board of Directors in the light of the provisions of this regulation.

3. Preparing the annual operational plan of the fund and submitting it to the board of directors for approval.

4. Do what is assigned to it by the fund's board of directors.

5. Implementation of the general policy, plans and programs of the Fund.

6. Preparing the annual budget of the fund and submitting it to the board of directors.

7. Preparing the final accounts and submitting them to the Board of Directors.

8. Finding and developing financing sources to support the Fund's resources.

9. Preparing the annual report of the fund and submitting it to the board of directors.

10. Supervising the preparation of the fund's board of directors' agenda.

11. Preparing and implementing investment plans for the Fund's resources and submitting them to the Board of Directors.

12. Representing the Fund in front of the concerned authorities in the university and outside.

13. Suggesting scientific, research and investment cooperation agreements with the fund's support agencies inside and outside the Kingdom and submitting them to the Board of Directors.

14. Seeking the assistance of experts and specialists in the field of work of the Fund when needed

15. Approving the list of persons entitled to represent the fund with other bodies outside the university.

16. Suggesting a mechanism to motivate the fund's collaborators in attracting donations.

17. Propose any amendments to the regulations governing the work of the Fund and submit them to the Board of Directors for approval.

18. Forming committees to study what the fund’s work requires after the approval of the fund’s board chairman.

19. Any other tasks delegated to him or assigned to him by the fund’s board of directors and that fall within the scope of his competence.

The duties of the Executive Director are as follows:

Thirteenth Article: The Advisory Board

1. Death.

2. Withdrawal from membership of the Board of Directors by written request.

3. If he/she intentionally causes serious damage to the Fund, whether material or moral, the assessment of this is up to the Board of Directors.

4. If he/she becomes unable to carry out his work in the Board, the assessment of this shall be returned to the Board of Directors.

5. If he takes advantage of his joining the fund in order to carry out an act that results in material or moral harm to the fund, and membership in this case shall not be forfeited except with the approval of the board of directors.

6. If he/she is absent without an acceptable excuse from attending the Board’s meetings for three consecutive sessions.

Establishing an advisory body for the Fund upon the recommendation of the Fund’s Board of Directors and a decision of the University Council, so as to provide it with advice on everything that would support the Fund’s progress and prepare it to implement the goals it was established to achieve.

1. The fund's advisory body consists of 7 to 10 members who are assigned by decision of the board of directors.

2. The term of appointment of members of the advisory body is three years, renewable for one term only.

3. Two thirds of the members of this body are from outside the university.

4. The Executive Director of the Fund is a member of the Advisory Board and does not chair it.

5. The Commission annually chooses a Chairman from among its members, and also chooses a Vice-President to be dissolved in the event of his absence or an impediment preventing him from attending the Commission’s meetings.

6. The head of the advisory body and his deputy shall be appointed by a decision of the board of directors.

7. The Board of Directors has the right to work on all or some of the previous points or to amend them after the approval of the majority of the members of the Board.

A member of the Board of Directors loses his membership in the following cases:

Thirteenth Article: The Advisory Board

The Chairman of the Consultative Body shall submit the recommendations of the Authority and its views on the issues presented to it to the Chairman of the Board of Directors of the Fund, and the Board of Directors may invite the Chairman of the Consultative Body to attend the meeting of the Board to discuss those recommendations and he shall not have a vote when voting on any of the recommendations submitted to the Board .

Article 15: The functions of the advisory body

Sixteenth Article: Meetings of the Advisory Board

1. The advisory body of the fund may be concerned with the following, or as deemed by the board of directors:

2. Providing advice on donors and the necessary procedures to attract donations.

3. Providing advice on appropriate ways to invest and develop the Fund's resources.

4. Providing recommendations to link the Fund with distinguished and similar global expertise in the Fund's field of work.

5. Express an opinion on the fund's work plans.

6. Providing opinion and advice on issues referred to it by the Fund's Board of Directors.

1. The Advisory Board meets twice during one semester, or under the direction of the Chairman of the Board of Directors of the Fund.

2. The Board of Directors determines the period within which the Authority must present its views.

3. The Executive Director shall transfer the direction of the Board of Directors to the advisory body regarding the topics to be discussed and to express an opinion thereon.

4. The meeting of the Authority shall not be valid unless two thirds of its members are present, and the Chairman of the Board of Directors can make an exception from this, provided that the number of members is not less than half.

5. The authority submits its recommendations to the board of directors on issues referred to it by the majority of its members.

6. The Commission may form one or more committees from among its members to study all or some of the topics referred to it, and it may, when needed, seek the assistance of experts from inside or outside the university, provided that the Executive Director of the Fund approves in writing.

Article 20: Fund Resources

Eighteenth Article: Remunerations of the Advisory Body

Nineteenth Article: The Fund's Budget

1. Donations, gifts, grants and bequests provided by individuals, institutions, companies and others.

2. Any income generated by undertaking research projects, patents, or scientific services supported by the Fund.

3. Fund revenues from seminars, conferences and publications.

4. The percentage allocated from the University Endowments Secretariat.

5. Fund investment returns.

6. %1.5 of the value of research contracts concluded between the university and any external party.

7. Indirect costs from the budget of externally funded projects in accordance with each project's contract and according to donor regulations.

8. The material return from the training courses conducted by the University Vice Presidency for Research and Innovation, of which a percentage is allocated to the fund.

9. Proceeds from contracts and licenses for patents.

10. Any other sources of support determined by the Board of Directors that do not conflict with the University's regulations and bylaws.

The remunerations of the advisory body are determined by a decision of the Board of Directors, and they are listed as an item within the operating budget of the Fund and submitted to the Board of Directors for disbursement on a monthly or annual basis.

The Fund shall have a budget that includes its resources and expenditures, and the financial year of the Fund shall be the financial year of the University.

Article Twenty-Second: Bank Accounts

Article Twenty-Third: Aspects of Fund Expenditures

Article Twenty-first: Incentives for attracting support to the Fund

1. The Fund may contribute to spending on the following aspects 2. Scientific research programs at the university.

3. National priority research projects.

4. Patents and intellectual property arising from research projects supported by the Fund.

5. Organizing specialized international scientific conferences.

6. University Academic Excellence Awards.

7. The operating expenses of the fund.

8. The remuneration of the board of directors, the advisory body and the executive management of the fund.

The Fund shall have an account in a local bank in which all its revenues shall be deposited in accordance with the instructions issued by the Ministry of Finance and the Central Bank.

1. The percentage estimated to attract support to the Fund is (%5) of the value of the amount deposited or donated in cash or its value in kind, with no more than an amount of (200,000 riyals) for the person in charge of attracting this support.

2. In the event that any investment idea is marketed for the benefit of the fund, the percentage of incentive for the founder of the idea shall be determined upon signing the agreement by the Chairman of the Board of Directors.

3. The incentives stipulated in clause 1 and 2 are due after depositing the first installment of the amount in the fund account and the actual start of implementing the support agreement or project implementation.

4. The Board of Directors may set any other incentives it deems appropriate to attract support to the Fund.

5. An appendix to this bylaw that includes the benefits of supporters and researchers is prepared and updated annually in line with the nature of the fund's work and achieves its mission.

Article Twenty Four: The Fund's Financial Regulations

Article Twenty-fifth: Financial Control

All financial procedures of the Fund for the purpose of payment or disbursement are subject to the University's Financial Controller.

All expenses of the Fund shall be carried out in accordance with a financial regulation approved by the Fund's Board of Directors.

9. The incentives intended to attract support to the Fund.

10. Investing in various investment vessels, including fixed assets.

11. Investing or participating in technology transfer and 12. localization projects that enhance and support the added value.

14. at the university and for developmental research programs at the university; In order to encourage its support and investment in its outputs.

15. The expenses of the fund shall be within the limits of the fund's budget appropriations.

Twenty-sixth Article: Fund Assets

Article Twenty Seven: General Provisions

1. This bylaw shall be enforced as of the University Council's approval of it.

2. The University Council has the right to amend and interpret the articles of these regulations.

3. This regulation is reviewed, if necessary.

4. This regulation supersedes the previous regulations.

5. Everything that is not specifically provided for in this regulation, the executive regulations, regulations, orders, decisions, and instructions in force shall apply.

ownership of the devices and all property related to the fund shall be transferred to the university at the end of the fund's work, or its cessation for any reason, and what applies to the university's property shall apply to it.
