Recently, however, South Africa's major state-owned enterprises (SOEs) have come under scrutiny, with the media highlighting their shortcomings. Abuse, incompetent management and poor governance have often been cited as some of the problems facing South African SOEs.

Of particular importance are the New Public Management approach and good corporate governance, which suggest that the commercialization of state-owned enterprises will lead to them becoming profitable and essentially promote performance and efficiency. He uses South African Airways as a case study, mainly because SAA has burdened South African taxpayers for too long.

This is a time-consuming investigation because SAA has been operating at a loss in recent years, and because the President stated in this year's (2016) State of the Nation Address that the government plans to abolish failing state-owned enterprises. First, a thorough literature review on the concept of SOEs; and second, a case study of the state-owned South African Airways (SAA). The purpose of the study is exploratory and descriptive, meaning that it aims to establish the background of SOEs in South Africa and analyze the policy framework relating to SOEs.

However, it often goes beyond this, and interprets various aspects of the research topic.' (Braun and Clarke, 2006: 79). It describes the rationale for the study, research methodology and the structure of the thesis.

This explained why the number of state-owned enterprises increased in most developing countries, including African states. Governments in developing countries provide needed goods and services to the population, as well as participate in the management of public utilities, monetary services, and other profit-oriented enterprises with the help of state-owned enterprises (Bantug, 2013). As a result, the majority of the population who can afford private sector services and goods prefer them to state-owned enterprises (Kim and Chung, 2007).

In some cases it led to the creation of non-competitive monopolies in the market (Pettinger, 2011). Researchers such as Waines (2004) consider NPM as a collection of systematic managerial changes adopted in the public sector. Haynes (2003:10) explains that NPM is about applying management and organization approaches of the private sector to the public sector.

It also aims to ensure that a company's assets are used productively and efficiently in the interest of its investors and stakeholders (Clayman, Fridson, & Troughton, 2010).

Some of the SOEs that were established during this time were Aventura, the South African Broadcasting Corporation (SABC), the Land Bank and the Sasol Science Council (PRC, 2013). The revenues generated by these SOEs were simply directed to the socio-economic development of the electorate of the apartheid government. The objective of the RDP was to help the development and reconstruction of the country, ensure that it meets basic needs, increase human resources, democratize society as well as the state and build the economy (Fourie, 2001).

The reform process tended to focus on many aspects of the political, social and economic life of the community. The government wanted SOEs to be able to contribute to the development and improvement of the living standards of the citizens by achieving social benefits and sustainable economy (Fourie, 2001). Although the Companies Act applies to all SOEs, section 3(3) of the WOFB provides for the validity of the WOFB when conflict arises between the WOFB and another Act.

The accounting authority must protect the property and documents of the state-owned enterprises and must do everything possible to avoid negative consequences for the financial interests of the state (Treasury, 2010). An annual report, showing the status of the entity, must also be submitted to the executive, namely the Minister of Finance. Moreover, it leads to the standards of transparency stated in Articles 215 and 216 of the Constitution.

The level of service should be prioritized as well as ensuring costs that are reasonable for the taxpayers and a continuation of routine maintenance will ensure the sustainability of the service offered by the municipality. The unit's main objective is to dedicated freight transport unit that delivers goods safely, efficiently, reliably and in a cost-effective manner to create economic growth for the nation (Transnet, 2011). The PFMA outlines the tasks and duties of Transnet's board, which acts as the SOE's accounting authority.

In recent months, the South African government has been called upon to sell some of the country's state-owned enterprises to improve the weak economy (EWN, 2016). When the government is the majority shareholder of a state-owned company, decisions are made in the interest of the nation.

This was attributed to an increase in the price of fuel and a devaluation of the Rand by 35%. However, this should not result in the monopolization of the aviation industry at the expense of private entities. The WOFB regulates the financial management of the public sector (including national, provincial and local government).

It must be submitted to the auditors of the public entity for auditing and to the relevant treasury (Public Financial Management Act, 1999). This Act was introduced to provide for the transfer of certain assets and functions from the State to a public company to be established and for matters connected therewith (Airport Companies Act, 1993). Non-executive directors and the chairman of the board of directors are appointed by SAA's shareholders, which is the state (SAA Annual Report, 2014). The composition of the board should reflect the diversity of public interests, each with the necessary experience and expertise (SAA Annual Report, 2014). SAA's 2014 Annual Report states that the Board of Directors is responsible for ensuring compliance with SAA's Memorandum of Association; the management charter and all other acts that regulate the operation of SAA.

The Board is also responsible for approving and reviewing the annual budget, business plan and strategic direction for SAA and each of its subsidiaries. In late 2014, the administrative powers of SOEs such as SAA were changed from the Minister of Public Enterprises to the Minister of Finance due to the dire state of many of South Africa's SOEs. When it comes to the actions of SAA's board, the extent to which it is able to manage the five strategic pillars in accordance with the principles of corporate governance is limited.

SAA board members were accused of pursuing their personal business interests at the expense of the state-owned company. Risk management was identified as a key principle of the King III report.

FINAL ANALYSIS AND CONCLUDING REMARKS

The table above gives an indication of theory vs. practical in case of SAA. Looking at its social goals, one of SAA's policy demands is to contribute to Black Economic Empowerment (BEE). Mainly because if they default on their loan it becomes Treasury's problem because Treasury is ultimately responsible for SAA's debt.

Based on Table 5.1 above, governance structures relate to: how principals are monitored; the role of its financial stakeholders (whether these stakeholders are public and/or private); the composition of the boards of directors; the takeover risk; the danger of bankruptcy; and the degree of transparency. The SAA's annual report contains little information about the various functions of clients, but not about how these are monitored. This chapter has already pointed out the dangers/consequences of the current composition of the SAA board.

When the chairman of the Board and the executive directors are appointed by the political executive, the governance of the SOE can be compromised. The SAA Board is appointed by the Minister of Finance, as the Executive Authority of the SAA, in consultation with the Cabinet, where a list is submitted to the Cabinet by the Minister of Finance at the Cabinet meeting chaired by the President. According to the principles of good and corporate governance, the Chairman of the Board is responsible for the governance of the SOE.

In the case of SAA, the media has been highly critical of the current chairman (Myeni), accusing her of making executive decisions that benefit the political elite at the expense of SAA's financial viability. This study argues that, as SAA is a fully owned state-owned company, takeover risk and the risk of bankruptcy were not considered relevant to SAA's governance. However, this investigation has shown that SAA's inability to present its financial statements is indicative of its inability to be transparent.
