Pelayanan Jasa Penggunaan APBS antara
Kementerian Perhubungan Republik Indonesia (Pihak Pertama) dengan PT Pelabuhan Indonesia III (Persero)
(Pihak Kedua), tanggal 8 Mei 2014 No:
HK.107/01/05/OP.TPr-14 dan No: HK.0501/75/P.III- 2014, Perusahaan telah memperoleh penetapan Hak Pengusahaan (Hak Konsesi) Alur Pelayaran Barat Surabaya (APBS) dari Kementrian Perhubungan Republik Indonesia, dengan ketentuan sebagai berikut :
According to the agreement on Preparation and Services Provision of APBS between the Ministry of Communications of Indonesia (First Party) with PT Pelabuhan Indonesia III (Persero) (Second Party), dated May 8, 2014 No. HK.107/01/05/OP.TPr-14 and No: HK.0501/75/P.III-2014, the Company has obtained the Concession Rights for Surabaya West Access Channel (APBS) from the Ministry of Communications of Indonesia, with the following conditions:
1. Pemberian Hak Konsesi : 1. Grants of Concession Rights:
Pihak Pertama dengan ini memberikan hak kepada Pihak Kedua untuk melakukan kegiatan penyediaan dan pelayanan jasa penggunaan APBS dan Pihak Kedua dengan ini menerima pemberian hak tersebut disertai kewajiban dan
tanggung jawab untuk membiayai,
merencanakan/ merancang, membangun
mengoperasikan dan memelihara APBS termasuk pemasangan sarana bantu navigasi serta melaksanakan pemungutan jasa alur APBS sesuai dengan ketentuan-ketentuan dalam perjanjian dan peraturan perundang- undangan.
The First Party hereby grants rights to the second party to perform activities of preparation and service provision and use of APBS Services. Subsequently, the Second Party hereby receives the rights together with obligations and responsibilities to finance, planning / design, build, operate and maintain APBS including the installation of navigation supporting tool and collection for APBS services in accordance to the agreement and the applicable regulation.
Hak Konsesi tersebut tidak dapat dialihkan kepada pihak lain.
The concession rights cannot be transferred to another party.
2. Ruang Lingkup Perjanjian Kerjasama 2. Scope of Agreement
Kegiatan penyediaan dan pelayanan jasa
penggunaan APBS untuk membiayai,
merencanakan / merancang, membangun,
mengoperasikan dan memelihara APBS termasuk pemasangan sarana bantu navigasi pelayaran serta melaksanankan pemungutan jasa alur APBS, dengan hasil keluaran diantaranya adalah sebagai berikut:
Activities related to preparation and service provision of APBS for financing, planning / designing, building, operating and maintaining APBS including the installation of navigation supporting tools and collection for APBS services, with outcome as follows:
a. Panjang alur Pengerukan (Capital Dredging) dan pemeliharaan Alur (maintenance Dredging) 18,87 nautical miles atau 34.947,24 meter.
a. Capital Dredging and Maintenance Dredging are 18.87 nautical miles or 34,947.24 meters. b. Lebar minimal alur 150 meter untuk 5 tahun
pertama dan selanjutnya akan dilakukan pelebaran sesuai kebutuhan maksimal sampai dengan 200 meter.
b. The minimum width is 150 meters for first 5 years and will be widen afterwards as necessary with limit of 200 meters maximum. c. Kedalaman alur minimal -13 meter LWS untuk
3 tahun pertama dan selanjutnya akan dilakukan pendalaman sesuai kebutuhan maksimal sampai dengan -14 meter LWS.
c. The minimum depth is -13 meters LWS for first 3 years and will be deepen afterwards as necessary with limit of -14 meters LWS maximum.
d. Pengadaan dan pemasangan peralatan Sarana
Bantu Navigasi pelayaran (SBNP) sebanyak 20 unit, sesuai dengan ketentuan yang berlaku.
d. Procurement and installation of cruise navigation supporting tools (SBNP) of 20 units, according to the applicable terms.
3. Ruang Lingkup Perjanjian Kerjasama 3. Scope of Agreement Periode Perjanjian Kerjasama untuk jangka waktu
selama 25 tahun dengan rincian sebagai berikut:
The term for this agreement is 25 years with the following details:
a. Masa Pra-Konstruksi selambat-lambatnya
selama 12 bulan kalender.
a. Pre-Construction period no later than 12 calendar months.
b. Masa Konstruksi selambat-lambatnya selama 12 (dua belas) bulan kalender.
b. Construction period no later than 12 calendar months.
c. Masa Operasi selama 23 tahun terhitung dimulai sejak masa pemungutan pertama jasa penggunaan alur pelayaran sampai dengan berakhirnya Perjanjian kerjasama.
c. Operational period of 23 years commenced from the first collection for cruise service till the termination of agreement.
4. Ruang Lingkup Perjanjian Kerjasama 4. Scope of Agreement
Pihak kedua wajib menyerahkan Jaminan pelaksanaan proyek Pengerukan APBS (Capital Dredging APBS) dalam bentuk Aurat Jaminan Bank yang dikeluarkan oleh Bank Umum yang diakui
oleh Kementrian Keuangan sebesar
Rp20.000.000 yang diserahkan selambat-
lambatnya 30 hari setelah penandatanganan perjanjian Kerjasama ini. Dengan masa berlaku minimal 744 hari dan dapat diperpanjang sampai selesainya masa konstruksi.
The second party shall submit implementation collateral for the Capital Dredging APBS project in the form of Bank Guarantee Letter issued by commercial banks which are recognized by the Ministry of Finance of Rp20,000,000 to be submitted no later than 30 (thirty) days after the signing of this agreement with a minimum validity period of 744 days and can be extended until the completion of the construction period.
5. Status APBS 5. APBS Status
APBS merupakan bagian dari Daerah Lingkungan Kerja (DLKr) dan Daerah Lingkungan Kepentingan (DLKp) diwilayah perairan Pelabuhan Tanjung Perak dan Pelabuhan Gresik yang berada di daerah kekuasaan/kewenangan pihak kedua, sedangkan pengoperasian APBS selama Periode Kerjasama dilaksanakan oleh pihak kedua.
APBS is a part of the Regional Working Environment (DLKr) and Regional Interest Environment (DLKp) in the area of Tanjung Perak and Gresik Port which are located in the area of authority of the second party, whereas during the period of operation of APBS carried out by the second party.
6. Status APBS 6. APBS Status
Pihak kedua berkewajiban untuk mengembalikan aset pengoperasian APBS kepada Pihak pertama setelah berakhirnya Perjanjian Kerjasama yang dituangkan dalam Berita Acara Pengembalian Aset pengoperasian APBS dalam kondisi sesuai ruang lingkup pekerjaan.
The Second Party is obliged to return the APBS operational assets to First Party after the agreement is terminated and stated in the minutes of APBS operational asset recovery in proper condition in accordance with the scope of work.
7. Pelaksanaan Pekerjaan 7. Work Implementation
Pelaksanaan Pekerjaan : Pihak kedua akan melaksanaan pengerukan Alur (Capital Dredging) sesuai dengan jadwal pengerukan Alur selama 12 bulan sejak Detail Engineering Design (DED) disetujui serta diterbitkan Surat Izin Kerja Keruk (SIKK) dan Izin Penggunaan Kapal Asing (IPKA).
Work Implementation : The Second Party will carry out the Capital Dredging according to the dredging schedule for 12 months commenced since the approval of Detail Engineering Design (DED) and the publishment of Dredging Work Permit (SIKK) and Foreign Ship Usage Permit (IPKA).
8. Pernyataan Siap Operasi 8. Statement of Ready for Operation
Setelah pelaksanaan pembangunan APBS
dinyatakan selesai, maka dilakukan uji coba Sispro Pelayanan Penggunaan APBS terlebih dahulu.
Setelah dilakukan uji coba,pelaksanaan
pembangunan APBS dinyatakan selesai, maka Pihak Pertama mengeluarakan Pernyataan Siap Operasi.
After the construction of APBS is declared completed, a trial on APBS Services Usage system and procedure will be tested first. After testing, the construction of APBS is declared completed, then the First Party will issue the Statement of Ready for Operations.
9. Hasil Konsesi dan Tata Cara Pembayaran 9. Concession Rights and Payment Procedures
Hasil konsesi (concession fee) yang diperoleh Pihak Pertama merupakan kompenssasi yang diterima dari Pihak Kedua sehubungan dengan pemberian konsesi penyediaan dan pelayanan jasa penggunaan APBS.
Concession fees acquired by the First Party are compensation from the Second Party, in relation to the grant of concession for preparation and APBS services usage.
Hasil konsesi adalah sebesar 3,5% dari
pendapatan kotor Pengoperasian APBS.
Concession fees are 3.5% from the gross income of APBS operational.
Hasil konsesi tersebut disetorkan ke Kas Negara sebagai penerimaan negara bukan pajak atas nama Pihak Pertama setiap bulan selambat-lambatnya 15 hari pada bulan berikutnya.
Concession fees are then remitted to the State Treasury as a non-tax revenue on behalf of First Party every month, not later than 15 (fifteen) days on the following months.
Berdasarkan Surat dari Kantor Otoritas Pelabuhan
Utama Tanjung Perak Surabaya Nomor:
PP.204/01/17/OP.TPr-15 tanggal 5 November 2015, tentang Pernyataan Siap Operasi APBS, dengan memperhatikan Berita Acara Pembahasan Lanjutan Hasil Survey Pemeriksaan dan Pengujian Pekerjaan Pengerukan APBS tanggal 15 Mei 2015 dan hasil uji coba Sispro Pelayaran Penggunaan APBS yang telah dilakukan mulai tanggal 1 Juni s/d 31 Agustus 2015, maka alur baru APBS dinyatakan siap operasi. Pemungutan tarif jasa pengguna APBS dapat dilakukan 2 (dua) hari setelah pelaksanaan sosialisasi kepada para pengguna APBS.

Sesuai Kontrak No. HK.0502/68/P.III-2013 tanggal 1 Maret 2013 yang telah diperbarui dengan kontrak Addendum III Nomor HK.0502/333.1/P.III-2016 tanggal 30 Maret 2016, Perusahaan (Pihak kesatu) melakukan Kontrak Pekerjaan Pengadaan 20 Automated Stacking Crane (ASC) Baru dan 5 (lima) Straddle Carries (SC) baru untuk Terminal Teluk Lamong Surabaya, dengan Konecranes Finland Corporation (Pihak Kedua) Perusahaan di Negara Republik Firlandia dengan ruang lingkup pengadaan alat, pemasangan dan Instalasi, Pengetesan dan pengujian Peralatan dan masa garansi dengan harga ruang lingkup (Phase 1 dan 2) sebesar USD65,998,100 (Angka Penuh) tidak termasuk PPN Impor, PPh Impor dan bea masuk Impor.
c. According to the statement of work No. HK.0502/68/P.III-2013 dated March 1, 2013, has been updated with Addendum III No.HK.0502 /333.1 / P.III-2016 dated March 30,2016, the Company (First party) entered into a purchase contract of 20 New Automated Stacking Cranes (ASC) and five (5) new Straddle Carries (SC) for Terminal Teluk Lamong Bay Surabaya, with Konecranes Finland Corporation (Second Party), a company in Republic of Firlandia with business scope of procurement tools, mounting and Installation, Testing and equipment test and warranty period at a price scope (Phase 1 and 2) amounting to USD65,998,100 (Full Amount) exclusive of import VAT, income tax and import duties.
Untuk menjamin dilaksanakannya Perjanjian ini maka pihak kedua wajib menyerahkan jaminan pelaksanaan kepada Perusahaan senilai USD3,299,905 (Angka Penuh). Selain itu pihak kedua harus menyediakan perlindungan asuransi untuk kerusakan yang timbul terhadap barang - barang milik Perusahaan dan pihak lain selama berlangsungnya pelaksanaan Pengadaan sampai dengan tanggal Berita Acara Penyelesaian
To ensure the implementation of this Agreement, the second party has to provide performance bonds amounting to USD3,299,905 (Full Amount). In addition, second party has to provide insurance coverage for any damages arising from the goods of the Company and other parties during the implementation of procurement until the date of the Minutes of Completion.
d. Sesuai Kontrak Nomor:HK.0502/405/P.III-2015 tanggal 11 September 2015, Perusahaan (pihak kesatu) melakukan kontrak pekerjaan Pengadaan Kapal Tunda 2 x 1500 HP Dan 2 x 2400 HP Milik PT Pelabuhan Indonesia III (Persero) Paket 1 dengan PT Daya Radar Utama (pihak kedua) dengan ruang lingkup pengadaan 6 (enam) unit Kapal Tunda dengan daya 2 x 1500 HP dan 2 (dua) unit Kapal Tunda dengan daya 2 x 2400 HP. Harga pekerjaan tersebut sebesar Rp350.670.392 belum termasuk PPN 10% dengan kontrak harga satuan yang tetap.
d. According to the contract No. HK.0502/405/P.III-2015 dated on September 11, 2015, the Company (First party) entered into contract work Procurement Tug Boat 2 x 1500 HP and Tug Boat 2 x 2400 HP owned PT Pelabuhan Indonesia III (Persero) Package 1 with PT. Daya Radar Utama (Second party). the scope of the work is procurement of 6 (six) Tug Boat 2 x 1500 HP and 2 (two) Tug Boat 2 x 2400 HP. The cost for scope of work amounted Rp350,670,392 excluding VAT 10% at the contract unit price.
Pihak Kedua harus menyediakan perlindungan asuransi untuk kerusakan yang timbul terhadap barang
–barang milik Perusahaan dan pihak lain selama berlangsungnya pelaksanaan pekerjaan sampai dengan tanggal Berita Acara Penyelesaian. Masa pemeliharaan ditetapkan selama 12 (dua belas) bulan kalender sejak Berita Acara Serah Terima Pertama.
The second party would provide insurance coverage for the possible damages of the goods during the implementation of the acquisition date of the minutes of settlement. Maintenance period is 12 (twelve) months from minutes of hand over.
Pada 30 Juni 2017, kemajuan pekerjaan tersebut telah mencapai tingkat penyelesaian sebesar 67.50%.
As of June 30, 2017, the Work Progress reached 67.50% level of completion, respectively.
e. Sesuai Kontrak Nomor: HK.0502/09/P.III-2015 tanggal 7 Januari 2015, Perusahaan (pihak kesatu) melakukan
kontrak Pekerjaan Pengadaan Sistem Conveyor
Bongkar Untuk Terminal Multipurpose Teluk Lamong dengan PT. PP (Persero) Tbk (pihak kedua) dengan nilai kontrak sebesar Rp159.223.500. Perjanjian tersebut telah diperbaharui dengan Addendum IV Nomor:HK.0502/528.1/P.III-2016 tanggal 31 Agustus 2016 dimana terdapat penambahan ruang lingkup pekerjaan yaitu perubahan Fixed Speed Conveyor System menjadi Variable Speed Conveyor System, penambahan backup motor dengan sistem plug and play, pembuatan sistem conveyor telescopic dan perubahan fabric cord belt menjadi steel cord belt yang mengakibatkan biaya pengadaan berubah menjadi sebesar Rp201.394.500 dan waktu pelaksanaan berakhir pada 24 Maret 2017.
e. According to contract Number: HK.0502/09/P.III2015 dated on January 7, 2015, the Company (first party) signed a procurement contract of Conveyor System for Unloading for Terminal Multipurpose Teluk Lamong with PT. PP (Persero) Tbk (second party) with the contract value of Rp159,223,500. The agreement has been renewed with Addendum IV Number: HK.0502/528.1/P.III-2016 dated on August 31, 2016 which is added an additional scope of work that changes Fixed Speed Conveyor System into Variable Speed Conveyor System, additional backup motor with plug and play system, constructing telescopic conveyor system and changes fabric cord belt into steel cord belt resulted the change of procurement cost become Rp201,394,500 and additional time no later than March 24, 2017 .

The Second Party shall provide an all risk insurance protection with coverage value of 110% of contract price (exclude VAT 10%) during the procurement until the date of Provisional Hand Over. Warranty period for conveyor system is 365 calendar days since PHO of each crane.
Pada 30 Juni 2017 dan 31 Desember 2016, kemajuan
pekerjaan tersebut telah mencapai tingkat
penyelesaian sebesar 100% dan 98,03%.
As of June 30, 2017 and December 31, 2016, the procurement progress reached a completion rate of 100% and 98,03%.
f. Sesuai Kontrak Nomor: HK.0502/268/P.III-2015 tanggal 30 Juni 2015, yang telah diperbarui dengan kontrak Addendum I Nomor HK.0502/338.1/P.III-2016 tanggal 22 Juli 2016, Perusahaan (pihak kesatu) melakukan kontrak pekerjaan pengadaan 9 (sembilan) Unit New Automated Rubber Tyred Gantry Crane (A-RTG) TPKS dengan Konecranes Finland (pihak kedua) dengan nilai kontrak awal sebesar USD19,647,350.50 (angka penuh) dengan metode DDU (Delivery Duty Unpaid), dengan addendum perjanjian ini berubah menjadi USD 20,450,244.50 (angka penuh). Pihak kedua harus menyediakan perlindungan asuransi all risk dengan nilai pertanggungan sebesar 110% dari harga kontrak selama berlangsungnya pelaksanaan pengadaan sampai dengan tanggal Berita Acara Penyelesaian. Masa garansi untuk setiap unit alat adalah selama 365 hari kalender sejak PHO dari masing-masing alat.
f. According to contract No: HK.0502/268/P.III-2015 dated on June 30, 2015, has been amandmend with addendum I Number HK.0502/338.1/P.III-2016 dated July 22, 2016, the Company (first party) signed a procurement contract of 9 (Nine) Units of Rubber Tyred Gantry (Automated) Crane for Terminal Petikemas Semarang (TPKS) with Konecranes Finland (second party) with initial contract value of USD19,647,350.50 (full amount) adopting method of DDU (Delivery Duty Unpaid) then transformed in to USD20,450,244.50 (full amount). The Second Party shall provide an all risk insurance protection for each phase with coverage value of 110% of contract price until the date of Provisional Hand Over. Warranty period for each crane is 365 calendar days since PHO of each crane.

penyelesaian sebesar 54% dan 33%.

g. Sesuai Kontrak Nomor: HK.0502/445/P.III-2015 tanggal 5 Oktober 2015, Perusahaan (pihak kesatu) melakukan kontrak Pekerjaan Pengadaan Kapal Tunda 2 x 1000 HP Dan 2 x 1800 HP Milik PT Pelabuhan Indonesia III (Persero) Paket 2 dengan PT Dumas Tanjung Perak Shipyards (pihak kedua) dengan ruang lingkup pengadaan 3 (tiga) unit Kapal Tunda dengan daya 2 x 1000 HP dan 4 (empat) unit Kapal Tunda dengan daya 2 x 1800 HP. Harga pekerjaan tersebut sebesar Rp306.573.748 belum termasuk PPN 10% dengan kontrak harga lumpsum. Pihak Kedua harus menyediakan perlindungan asuransi untuk kerusakan yang timbul terhadap barang–barang milik Perusahaan dan pihak lain selama berlangsungnya pelaksanaan pekerjaan sampai dengan tanggal Berita Acara Penyelesaian. Masa pemeliharaan ditetapkan selama 12 (dua belas) bulan kalender sejak Berita Acara Serah Terima Pertama.
g. According to the contract No. HK.0502/445/P.III2015 dated on October 5, 2015, the Company (first party) entered into contract Work Procurement Tug Boat 2 x 1000 HP and Tug Boat 2 x 1800 HP owned PT Pelabuhan Indonesia III (Persero) Package 2 with PT. Dumas Tanjung Perak Shipyards (second party). the scope of the work is procurement of 3 three) Tug Boat 2 x 1000 HP and 4 (four) Tug Boat 2 x 1800 HP. The cost for scope of work amounted Rp306,573,748 excluding VAT 10% at the contract lumpsum price. The second party would provide insurance coverage for the possible damages of the goods during the implementation of the acquisition date of the minutes of settlement. Maintenance period is 12 (twelve) months from minutes of hand over.
Pada 30 Juni 2017 dan 31 Desember 2016 kemajuan
pekerjaan tersebut telah mencapai tingkat
penyelesaian sebesar 79,75% dan 62.06%.
As of June 30, 2017 and December 31, 2016 the work progress reached a completion rate of 79,75% and 62.06% %.
h. Sesuai Kontrak Nomor: HK.0502/19/P.III-2015 tanggal 15 Januari 2015, Perusahaan (pihak kesatu) melakukan kontrak pekerjaan Pengadaan Konsep Desain, Preliminary Desain & Kontrak Desain (Gambar Klas Approval) untuk 15 unit Kapal Tunda Type SRPdengan Robert Allan Ltd. (pihak kedua) Perusahaan di Kanada dengan ruang lingkup Konsep Desain, Preliminary Desain & Kontrak Desain serta Class Approval.
h. According to the contract No. HK.0502/19/P.III-2015 dated on January 15, 2015, the Company (first party) entered into contract work Procurement of Concept Design, Preliminary Design And Contract Design (Class Approval Drawing) For 15 Units of Harbour Tug Type SRP with Robert Allan Ltd (second party). the scope of the work is Concept Design, Preliminary Design And Contract Design.
Harga pekerjaan tersebut sebesar USD1,200,000 (angka penuh) termasuk pajak–pajak yang berlaku di negara Kanada dengan kontrak harga lumpsum dan untuk Class Approval akan ditagihkan secara at cost. Pihak Kedua harus menyediakan tenaga engineer dalam rangka memberikan konsultasi dan kunjungan ke Indonesia selama masa pembangunan kapal.
The cost for scope of work amounted USD1,200,000 (full amount) including tax that is applicable in the Canada at the contract lumpsum price and for the Class Approval would be at cost. The second party is obligied to provide engineer to give consultation and visit to Indonesia during vessel construction.
Pada 30 Juni 2017 kemajuan pekerjaan tersebut telah mencapai tingkat penyelesaian sebesar 99,48%
As of June 30, 2017 the work progress reached a completion rate of 99,48%
i. Sesuai Kontrak Nomor: HK.0502/211/P.III-2015 tanggal 22 Mei 2015, Perusahaan (pihak kesatu) melakukan kontrak pekerjaan Pengadaan Mesin Induk dan Sistem Propulsi Kapal Tunda dengan PT Tesco Indomaritim (pihak kedua) dengan ruang lingkup pengadaan mesin induk dan sistem propulsi dan perlengkapannya, pengadaan suku cadang utama dan suku cadang standar pemakaian 2000 jam, pengujian, supervisi pemasangan dan sertifikasi Class Lloyd Register. Harga pekerjaan tersebut sebesar USD27,570,000 (angka penuh) tidak termasuk PPN 10% Import, PPh Import, Bea Masuk Import serta pajak–pajak lainnya terkait dengan kondisi Delivery at Place dengan kontrak harga satuan. Pihak Kedua harus menyediakan perlindungan asuransi all risk untuk pengangkutan / pengapalan Mesin Induk dan Sistem Propulsi sampai ke lokasi tujuan. Masa pemeliharaan ditetapkan selama 6 (enam) bulan kalender untuk pemasangan dan 12 (dua belas) bulan untuk masa garansi sejak Berita Acara Serah Terima Pertama.
i. According to the contract No. HK.0502/211/P.III2015 dated on May 22, 2015, the Company (first party) entered into contract work Supply Main Engine and Propulsion System for Tug Boat with PT Tesco Indomaritim (second party). the scope of the work is procurement of Main engines and propulsion systems and equipment, procurement of major spare parts and spare parts 2000 hours of usage standards, testing, installation supervision and certification of Class Lloyds Register. The cost for scope of work amounted USD27,570,000 (full amount) excluding VAT 10% Import, Import Tax, Import Duties and taxes - other taxes associated with the condition Delivery at Place at the contract unit price. The second party would provide insurance coverage for the possible damages of the goods during the implementation of the acquisition date of the minutes of settlement. Maintenance period is 6 (six) months and warranty period is 12 (twelve) months from minutes of hand over.
Pada 30 Juni 2017 kemajuan pekerjaan tersebut telah mencapai tingkat penyelesaian sebesar 85%.
