dan kinerja keuangan Perseroan dan Entitas Anak. Untuk mengurangi dampak risiko perubahan tingkat suku bunga, Perseroan dan Entitas Anak melakukan metode pembayaran bertahap dengan jangka waktu yang lebih panjang ataupun pinjaman dengan bunga tetap.
3. Risiko Properti Perseroan
a. Risiko Kondisi Ekonomi Makro
Kondisi ekonomi makro dapat mempengaruhi sector properti baik secara langsung maupun tidak langsung. Penurunan dan melemahnya tingkat pertumbuhan ekonomi dapat berdampak negatif terhadap daya beli masyarakat, penurunan investasi dan kegiatan usaha yang akan menyebabkan menurunnya permintaan sewa ruang perkantoran, apartemen dan hotel. Kondisi ini pada gilirannya dapat mendorong turunnya permintaan terhadap properti Perseroan.
b. Risiko Pembangunan Properti
Kegiatan pembangunan properti, baik perkantoran maupun apartemen dan hotel, mencakup kegiatan akuisisi tanah, pembiayaan, pengurusan perizinan dan perencanaan sampai proses konstruksi dan penyelesaian yang juga melibatkan kerjasama dengan pihak ketiga. Dalam melakukan kegiatan ini, Perseroan harus memiliki kemampuan untuk mengindentiikasi dan mengembangkan properti tersebut dengan berbagai inovasi baru secara tepat waktu dan melakukan eisiensi biaya. Terjadinya hambatan maupun penundaan pembangunan property akan menimbulkan dampak negatif terhadap reputasi Perseroan, yang pada akhirnya akan menurunkan pendapatan Perseroan.
c. Risiko Persaingan Usaha
Industri properti di Indonesia khususnya pengembangan perkantoran dan apartemen di kota- kota besar Indonesia, semakin didominasi oleh persaingan yang ketat dalam beberapa tahun terakhir. Perseroan harus bersaing tidak hanya dengan sesama pengembang properti lokal, namun juga pengembang mancanegara yang juga tertarik untuk memasuki industri ini. Kondisi ini dapat mendorong peningkatan biaya untuk akuisisi tanah dan adanya kelebihan pasokan ruang perkantoran/apartemen, serta dapat menyebabkan lambatnya proses persetujuan untuk pengembangan properti baru oleh pihak yang berwenang sehingga dapat berpengaruh buruk terhadap kinerja usaha Perseroan.

3. The Risks of the Company’s Properties a. Macroeconomic Conditions Risk
The property sector directly and indirectly affects and is affected by macro economic conditions. Slower economic growth could result in a decline in investment and business activities that will lead to
reduced demand for ofice space rental, apartments
and hotels. Weakening macro economic conditions can also result in weakening purchasing power, which in turn can encourage a lower demand for the Company’s properties.
b. Property Development Risk
Development of properties such as ofices, apartments and hotels involves land acquisition, inancing,
licensing, planning, construction and completion of the construction. In doing so, the Company must have the ability to identify and develop the properties with a variety of new innovations in a timely and cost-
eficient manner. The ofice, apartment and hotel
development activities also depend on collaboration with third parties. The occurrence of any obstacles and or delays in development of the properties will have a negative impact on the Company’s reputation, which in turn will reduce the Company’s revenues.
c. Competition Risk
In recent years, the property industry in Indonesia,
particularly the development of ofices and apartments
in major cities, has become increasingly competitive. Not only between local property developers, but foreign developers are also attracted to enter the industry. Increasing competition may spur increased costs for land acquisition and an excess supply of
ofice space/apartments, and lead to a slowdown in
getting approvals for new propertydevelopment by the authorities. All this could adversely affect the Company’s business performance.

d. Risiko Kepastian Hukum
Dalam pengembangan properti, Perseroan dan Entitas Anak senantiasa berusaha untuk memperoleh Hak Guna Bangunan (HGB) dan hak pengembangan atas tanah Yang diakuisisi. Meskipun demikian, risiko perselisihan tanah yang dibeli dari pemilik sebelumnya kemungkinan dapat terjadi sebagai akibat dari ketiadaan kepastian dalam penegakan hukum undang-undang pertanahan dan tidak seragamnya hak atas tanah di Indonesia.
e. Risiko Gugatan Masyarakat dan Sanksi Pemerintah Dalam hal pengembangan lahan dan pembangunan properti, semua persyaratan yang ditentukan oleh pemerintah terutama yang berhubungan dengan penanggulangan dampak negatif pada masyarakat dan lingkungan harus dipenuhi oleh Perseroan dan Entitas Anak. Apabila Perseroan dan Entitas Anak tidak mampu memenuhi persyaratan-persyaratan tersebut, maka akan menghadapi risiko berupa kemungkinan dicabutnya ijin untuk melakukan pengembangan properti tersebut, serta risiko munculnya gugatan/ protes dari masyarakat dilingkungan tersebut. Hal ini dapat menghambat jalannya kegiatan operasional karena tidak terealisasinya proyek sehingga menyebabkan target Perseroan tidak tercapai.
f. Risiko tingkat suku bunga
Besarnya bunga dan cicilan yang harus dibayar oleh pembeli apartemen sangat dipengaruhi oleh luktuasi tingkat suku bunga pinjaman. Kenaikan tingkat suku bunga pinjaman pemilikan apartemen dapat menyebabkan orang menahan atau mengurungkan niatnya untuk membeli apartemen sehingga pada akhirnya kondisi ini dapat mengganggu kinerja keuangan Perseroan dan Entitas Anak.
4. Risiko Terkait Investasi Pada Saham Perseroan a. Risiko Kemungkinan Tidak Likuidnya Saham
Pasar modal di Indonesia memiliki tingkat likuiditas yang lebih rendah dan bersifat luktuatif serta memiliki standar pelaporan yang berbeda dibandingkan dengan pasar modal dinegara-negara maju. Hal ini dapat berpengaruh kurang baik terhadap harga atau likuiditas saham Perseroan, dimana perdagangan saham Perseroan relatif kurang likuid. Sehingga Perseroan tidak dapat menjamin bahwa para pemegang saham Perseroan akan dapat melakukan penjualan saham Perseroan pada harga tertentu atau pada waktu yang diinginkan dibandingkan dengan pemegang saham dalam pasar yang lebih likuid.
d. Risks of Legal Certainty
In property development, the Company and its Subsidiaries constantly strive to obtain the required rights of use title to sites called “Hak Guna Bangunan (HGB)” and to develop acquired sites. Nevertheless, the lack of certainty in law enforcement and the various land laws on land rights in Indonesia may raise the risk of disputes of land purchased from a previous owner.
e. Risks of Public Lawsuits and Government Fines In terms of land development and construction of a property, the Company and its Subsidiaries must meet all requirements laid down by the government, especially those relating to limiting negative impacts on communities and the environment. If the Company and its Subsidiaries do not comply with these requirements, they will face the risk of a possible revocation of the permit to develop the property as well as the risk of a lawsuit lodged by local residents. This can affect the course of the Company’s operations activities as the failure to achieve complete a project realization that may hamper the achievement of the Company’s targets. f. Interest rate risks
Fluctuations in interest rates will adversely impact the amount of interest and installments to be paid by apartment buyers. Rising loan interest rates for apartment ownership may dissuade people from buying an apartment. In turn, this condition will
reduce the inancial performance of the Company
and its Subsidiaries.
4. Risks Related to Investments in the Company’s Shares a. Risks of Shares Becoming Liquid
The capital market in Indonesia may be less liquid
and more luctuative, as well as having a different
reporting standard compared to those in developed countries.Under these circumstances and with the Company’s shares being relatively less liquid, the Company cannot assure that the Company’s shareholders will be able to sell shares of the
Company at a speciied price or at a desired time in
comparison to shareholders in a more liquid market.
