Pembangunan pabrik-pabrik kelapa sawit Construction of palm oil mills
Pada bulan Februari 2014, KGP mengadakan perjanjian konstruksi dengan PT Sumber Andalan Mandiri, untuk membangun pabrik kelapa sawit dengan kapasitas olah sebesar 40 metrik ton TBS per jam (yang dapat ditingkatkan menjadi 80 metrik ton TBS per jam), di propinsi Kalimantan Barat, dengan nilai kontrak sebesar Rp126.620 dan US$961.430.
In February 2014, KGP entered into a construction agreement with PT Sumber Andalan Mandiri, whereby the latter is committed to construct palm oil mill with a processing capacity of 40 metric tonnes of FFB per hour (which can be increased into 80 metric tonnes of FFB per hour), at a location in the province of West Kalimantan, for a contract value of Rp126,620 and US$961,430.
Pembelian Mesin Pabrik Purchases of Factory Machineries
Pada tahun 2014, Divisi Minyak dan Lemak Nabati SIMP mengadakan perjanjian dengan Lipico
Technologies Pte. Ltd., Singapura, untuk
penyediaan mesin dan peralatan pabrik penyulingan minyak kelapa sawit (MKS) di Surabaya, dengan kapasitas olah masing-masing sebesar 1.000 metrik ton per hari untuk pabrik penyulingan (physical refining plant) dan pabrik fraksinasi (dry fractination plant), dengan total nilai kontrak sebesar SGD7.128.000.
In 2014, the SIMP’s Edible Oil and Fats Division engaged Lipico Technologies Pte. Ltd., Singapore, for the supply of machinery and equipment of a crude palm oil (CPO) refinery plant located at Surabaya, with each processing capacity of 1,000 metric tonnes per day for the physical refining plant and the dry fractination plant, respectively, with total contract value of approximately SGD7,128,000.

Uang Muka Pembelian Tanah Advances for Land Acquisitions
Uang muka pembelian tanah merupakan biaya-
biaya sehubungan dengan akuisisi lahan
perkebunan sebagai bagian dari rencana LSIP, Entitas Anak, untuk mengamankan pasokan tandan buah segar. LSIP telah menunjuk PT Dwi Reksa Usaha Perkasa (“DRUP”), untuk membantu dan mengelola proses akuisisi lahan serta serah terima lahan tersebut kepada LSIP. Uang muka tersebut akan diselesaikan pada saat serah terima lahan atau dengan cara lainnya.
Advances for land acquisitions represent costs related to the acquisitions of plantation areas as part of LSIP, Subsidiary, plan to secure supplies of fresh fruit bunches. LSIP appointed PT Dwi Reksa Usaha Perkasa (“DRUP”), to facilitate and manage the land acquisition process and the handover of the land to LSIP. The advances will be settled when the land is handed over or by other process.
Selanjutnya pada bulan Februari 2017, LSIP menerima penyelesaian kas sebesar Rp14.713.
Subsequently in February 2017, LSIP received cash settlement amounting to Rp14,713.
Pada tanggal 7 Juni 2017, AIM, entitas anak Perusahaan, mengadakan perjanjian pengikatan jual beli dengan Anthoni Salim dan Adithya untuk membeli tanah masing-masing dan berturut-turut dengan total luas 23.380 m2 dan 19.497 m2, atau seluruhnya seluas 42.877 m2 dengan harga Rp51 juta per m2 dengan total nilai sejumlah Rp2.186.727 juta. Sampai dengan tanggal 30 Juni 2017, AIM telah melakukan pembayaran sebesar Rp1.432.823 juta dan sisanya akan dibayar paling lambat akhir Desember 2017. Jumlah yang telah dibayar tersebut dicatat sebagai bagian dari “Aset Tidak Lancar
Lainnya” dalam laporan posisi keuangan
konsolidasian. Saat ini, tanah tersebut dipakai oleh SIMP, entitas anak Perusahaan, untuk fasilitas produksi minyak goreng dan lemak nabati.
On June 7, 2017, AIM, Subsidiary, has entered into conditional sale and purchase agreements with Anthoni Salim and Adithya to purchase land with a total area of 23,380 m2 and 19,497m2, respectively, or with a total area of 42,877 m2 at a price of Rp51 million per m2 with an aggregate consideration of Rp2,186,727 million. Up to June 30, 2017, AIM has paid Rp1,423,823, million and the remaining will be paid no later than end of December 2017. The amount that has been paid is recorded as part of “Other Non-current Assets” in the consolidated statement of financial position. As of now, those lands are used by SIM, Subsidiary, for its cooking oil and fats production.
Perjanjian lisensi License Agreement
NICI memiliki perjanjian lisensi merek dengan Nestle S.A. dimana NICI mendapatkan lisensi secara non-exclusive untuk menggunakan merek “Maggi” untuk produk-produk kuliner yang diproduksi, baik langsung maupun tidak langsung, oleh NICI di Indonesia, untuk jangka waktu yang tidak terbatas selama Nestle S.A. tetap merupakan pemegang saham NICI. Sebagai kompensasi, NICI dikenakan
NICI has a license trademark agreement with Nestle S.A. whereby NICI is granted with a non-exclusive license for the “Maggi” trademark for culinary products produced directly or indirectly by NICI in Indonesia, for an indefinite term as long as Nestle S.A. is a shareholder of NICI. As compensation, NICI is charged with royalty fee at a certain agreed percentage of its net sales.
