Pada t anggal 11 Desem ber 2008, Perusahaan dan PT Tower One (TO), anak Perusahaan, sebagai ” Pembel i” mengadakan perj anj i an j ual bel i saham dengan Fut ure Point Pt e Lt d. sebagai “ Penj ual ” sej umlah US$ 10.000. 000 (dalam j uml ah penuh). Transaksi ini di bayar dengan wesel bayar yang dit erbit kan ol eh TO dengan t ingkat bunga 12% per t ahun dan akan j at uh t em po pada t anggal 30 Desember 2011 at au t anggal yang l ebi h cepat sepert i yang t el ah diset uj ui oleh kedua belah pi hak. Wesel t agih ini bersif at t idak dapat di alihkan. Wesel bayar ini t el ah dilunasi pada t ahun 2010.

Pada bul an April 2010, PT Met ri c Solusi Int egrasi memperoleh 70% kepemil ikan saham di PT Solu Sindo Kreasi Prat ama. Goodwil l yang t imbul at as t ransaksi i ni adal ah sebesar Rp 133.840. Amort isasi goodwill t ersebut pada periode t ahun yang berakhir pada 31 Desember 2010 adal ah sebesar Rp 5. 019, dan nil ai t ercat at goodwil l pada 31 Desember 2010 adal ah sebesar Rp 128. 821.

Pada bul an Juni 2008, PT Prima Medi a Sel aras (PMS) menerbit kan hak memesan efek t erl ebi h dahulu
(subscri pt i on ri ght s (SR)) kepada pem egang saham
pendi ri. SR t ersebut memberikan hak kepada pemil iknya unt uk dapat memesan t erl ebih dahulu saham-saham baru yang akan dit erbit kan PMS sebanyak 60. 000 saham. Jika SR t ersebut dil aksanakan, maka kepemili kan PT Tow er Bersama (TB) pada PMS akan t erdilusi hingga hanya menj adi sebesar 20%. Unt uk mempert ahankan kepemil ikannya t ersebut pada bul an Agust us 2009, TB t elah membeli SR t ersebut dari HKDN Invest ment Lt d. sebagai pemili k akhir, sebesar US$ 25. 900.000 (dal am nil ai penuh). Nil ai akuisisi dari pembel ian SR t ersebut sert a biaya t r ansaksi l ainnya adal ah sebesar Rp 255. 391 dicat at sebagai goodwil l . Amor t isasi goodwil l t ersebut pada t ahun yang berakhi r pada 31 Desem ber 2010 dan 2009 masing-masing adal ah sebesar Rp 13. 848 dan Rp 3. 134 dan nil ai t ercat at nya pada 31 Desember 2010 dan 2009 masing-masing adalah sebesar Rp 238. 410 dan Rp 250. 957.
