TENT ANG
KERJASAMA DI Bl DANG PENGEMBANGAN SUM BER DA YA MANUS IA PERMINYAKAN DAN SUMBER DAYA ENERGI
Kementerian Energi dan Sumber Daya Mineral, Republik Indonesia (MEMR) dan Departemen Perminyakan dan Energi, Negara Merdeka Papua Nugini, selanjutnya disebut sebagai "Para Pihak";
BERMAKSUD untuk memperkuat hubungan persahabatan antara dua negara di bidang pengembangan sumber daya manusia khususnya perminyakan dan sumber daya energi;
MEMPERHA TIKAN kebutuhan untuk mengembangkan dan membina pengembangan sumber daya manusia perminyakan dan sumber daya energi;
MENGAKUI pentingnya membangun mekanisme, yang memberikan kontribusi untuk penguatan kerja sama di bidang kepentingan bersama dan kebutuhan untuk melaksanakan program khusus kolaborasi dan pertukaran di bidang sumber daya manusia perminyakan dan sumber daya energi;
MERUJUK pada Persetujuan antara Pemerintah Republik Indonesia dan Pemerintah Papua Nugini mengenai Kerjasama Teknik, yang ditandatangani di Port Moresby pada 5 Juni 1979;
MERUJUK pada Memorandum Sating Pengertian antara Pemerintah Republik Indonesia dan Pemerintah Papua Nugini mengenai Kerja Sama Pengembangan Sumber Daya Minyak Bumi dan Energi, yang ditandatangani di Jakarta pada 17 Juni 2013;
BERDASARKAN pada hukum dan peraturan yang berlaku di negara masing-masing;
TELAH MENCAPAI kesepakatan-kesepakatan sebagai berikut:
PASAL 1 Tujuan
Tujuan Memorandum Saling Pengertian (MSP) ini adalah untuk membentuk suatu kerangka untuk mengembangkan kerjasama Pihak dalam konteks kebijakan berlaku untuk setiap Pihak dan sesuai dengan ketersediaan sumber daya dan mencakup hal-hal seperti yang dijelaskan dalam lingkup kegiatan.
PASAL 2 Lingkup Kegiatan
Lingkup pengembangan sumber daya manusia yang potensial antara Para Pihak untuk bekerja sama meliputi:
1. Kegiatan pelatihan dan pendidikan; 2. Pengembangan kurikulum;
3. Pelatihan untuk pengembangan infrastruktur; 4. Pemagangan untuk pelatihan petrokimia; 5. Pertukaran ahli-ahli;
6. Publikasi tulisan ilmiah bersama;
PASAL 3 Pelaksanaan
Para Pihak wajib menentukan lingkup spesifik kerjasama dan kegiatan yang terkait dengan kesepakatan bersama. Rincian ketentuan yang berhubungan dengan bentuk dan metode, kewajiban keuangan serta kondisi lingkup kerja sama yang disepakati dituangkan dalam perjanjian pelaksanaan terpisah yang akan dibuat antara Para Pihak.
PASAL 4 Pelaksana
Pelaksana bertanggung jawab terhadap pelaksanaan dan mengembangkan lingkup kerja sama yang dituangkan dalam MSP ini;
1. Untuk MEMR, pelaksananya adalah Kepala Pusat Pendidikan dan Pelatihan Energi dan Sumber Daya Mineral, Kementerian Energi dan Sumber Daya Mineral, Republik Indonesia.
2. Untuk Negara Merdeka Papua Nugini pelaksananya adalah Departemen Perminyakan dan Energi.
PASAL 5
Hak Kekayaan lntelektual
1. Setiap kekayaan intelektual yang dibawa oleh salah satu Pihak untuk pelaksanaan MSP ini akan tetap menjadi milik Pihak tersebut.
2. Hak kekayaan intelektual yang dihasilkan dari kegiatan dalam MSP ini akan dikenakan perjanjian tersendiri yang disepakati antara Para Pihak.
PASAL 6 Batasan Personil
Setiap warga negara salah satu Pihak yang terlibat dalam kegiatan yang berkaitan dengan MSP ini di wilayah Pihak lain harus menghormati dan tidak
negara tuan rumah, dan akan menghindari kegiatan yang tidak konsisten dengan maksud dan tujuan MSP ini.
PASAL 7 Kerahasiaan
1. Setiap Pihak harus mematuhi kerahasiaan dokumen, informasi dan data lainnya yang diterima atau diberikan secara langsung atau tidak langsung kepada Pihak lain dalam MSP ini.
2. Jika salah satu Pihak berkeinginan untuk mengungkapkan kegiatan rahasia dalam MSP ini kepada pihak ketiga, Pihak yang mengungkapkan harus memperoleh persetujuan terlebih dahulu dari Pihak lain sebelum pengungkapan dapat dilakukan.
3. Para Pihak setuju bahwa ketentuan Pasal ini akan terus mengikat antara para Pihak, meskipun MSP ini berakhir.
4. Ketentuan Pasal ini tidak mengurangi hukum dan peraturan di masing-masing negara Para Pihak.
PASAL 8
Penyelesaian Perbedaan
Segala perbedaan yang dihasilkan dari atau tidak ditentukan dalam MSP ini akan diselesaikan secara damai melalui konsultasi dan negosiasi antara Para Pihak, berdasarkan kepentingan bersama. kesetaraan, kerja sama dan saling mempercayai.
PASAL 9 Amandemen
Ketentuan dalam MSP ini dapat diubah setiap saat dengan persetujuan tertulis Para Pihak. Perubahan tersebut merupakan bagian yang tidak terpisahkan dari MSP ini.
PASAL10
Pemberlakuan, Durasi, dan Pemberhentian
1. MSP ini berlaku sejak tanggal penandatanganan oleh kedua Pihak. 2. Kecuali diputuskan oleh kedua Pihak, MSP ini berlaku selama lima (5)
tahun, dan dapat diperpanjang untuk periode berikutnya dengan persetujuan tertulis dari Para Pihak,
3. MSP ini dapat diakhiri oleh salah satu pihak dengan memberikan pemberitahuan tertulis kepada Pihak lainnya mengenai keinginannya untuk mengakhiri MSP ini paling lambat 60 (enam puluh) hari sebelum tanggal pengakhiran dimaksud.
4. Penghentian MSP ini tidak akan mengurangi penyelesaian program atau
proyek yang sedang berjalan yang disepakati oleh para Pihak.
SEBAGAI BUKTI, para penandatangan di bawah ini telah menandatangani
MSP ini.
DIBUAT di Port Moresby pada dua belas Mei 2015 dalam dua salinan asli,
dalam Bahasa Indonesia dan Bahasa lnggris, semua naskah berkekuatan sama. Dalam kasus perbedaan penafsiran MSP ini, naskah Bahasa lnggris yang berlaku.

MEMORANDUM OF UNDERSTANDING BETWEEN
THE MINISTRY OF ENERGY AND MINERAL RESOURCES OF THE REPUBLIC OF INDONESIA
AND
THE DEPARTMENT OF PETROLEUM AND ENERGY OF THE INDEPENDENT STATE OF PAPUA NEW GUINEA
ON
COOPERATION IN THE FIELD OF HUMAN RESOURCES DEVELOPMENT PETROLEUM AND ENERGY RESOURCES
The Ministry of Energy and Mineral Resources of the Republic of Indonesia (MEMR) and the Department of Petroleum and Energy of the Independent States of Papua New Guinea, hereinafter referred to as "the Parties";
DESIRING to strengthen the friendly relations between the two countries in the field of human resources development particularly in petroleum and energy resources;
CONSIDERING the need to develop and foster human resources development for petroleum and energy resources;
RECOGNIZING the importance of establishing a mechanism, that contributes to the strengthening of cooperation in the field of mutual interest and the need to carry out specific programs of collaboration and exchange in the field of hum~ resources development for petroleum and energy resources;
REFERRING to the Agreement between the Government of the Republic of
Indonesia and the Government of Papua New Guinea concerning Technical
Co-operation, signed in Port Moresby on 5 June 1979;
REFERRING
to the Memorandum of Understanding between theGovernment of the Republic of Indonesia and the Government of the
Independent State of Papua New Guinea concerning Cooperation in
Petroleum and Energy Resources Development, signed in Jakarta on 17
June 2013;
PURSUANT to the prevailing laws and regulations in their respective
countries;
HAVE REACHED the following understanding:
ARTICLE 1 Objective
The purpose of this Memorandum of Understanding (MoU) is to establish a framework whereby cooperation might be developed between the Parties within the context of the policies applicable to each Party and subject to the
availability of resources and covering such matters as described in the scope
of Activities.
ARTICLE 2 Scope of Activities
The potential human resources development areas in which the Parties seek
to cooperate includes:
1. Training and education activities;
2. Curriculum development;
3. Coaching for training infrastructure development;
4. Internships for petrochemical training; 5. Exchange of experts;
6. Joint scientific writing and publication
;
7. Other activities as mutually agreed by the Parties.
ARTICLE 3
Implementation
The Parties will determine specific area of cooperation and its related
activities by mutual consent. The detailed provision
relating
to forms and
methods, financial obligations as well as the condition of the agreed area of
cooperation will be set forth in a separate implementing arrangement to be
concluded between the Parties.
ARTICLE 4
Executing Agencies
The official agencies responsible for the implementation and to develop the
potential areas of cooperation identified under this MoU are;
1. For MEMR shall be the Head of Education and Training Agency of
Energy and Mineral Resources

Ministry of Energy and Mineral
Resources of the Republic of Indonesia
;
2. For the Independent State of Papua New Guinea shall be the
Department of Petroleum and Energy of the
Independent
States of
Papua New Guinea.
ARTICLE 5
Intellectual Property Rights
1. Any intellectual property brought by one Party for the
implementation
of
this MoU will remain the property of that Party.
2. Any
intellectual
property rights resulting from activities under this MoU
ARTICLE 6
Limitation of Personnel
Any nationals of a Party engaged
in
activities under this MOU in the territory
of the other Party shall respect and not interfere with the political
independence
,
sovereignty
,
and territorial
integrity
of the
latter,
and avoid any
activities inconsistent with the purpose and object
i
ves of this MOU
.
ARTICLE 7 Confidentiality

Each Party will undertake to observe the confidential
i
ty and secrecy of
documents
,
information and other data received or supplied d
i
rectly or
indirectly to the other Party under this MoU.
2. If either of the Party wishes to disclose confidential information under this
MoU to any third party
,
the disclosing Party will obtain prior consent from
the other Party before any disclosure can be made;
3. The Parties accept that the provision of this Article shall continue to have
effect between the Parties, notwithstanding the termination of this MoU.
4. The provisions of this Article shall not prejudice the prevailing laws and
regulations of the Parties

ARTICLE 8
Settlement of Differences
Any differences resulting from or anything unspecified in this MoU shall be
resolved amicably through consultation and negotiation between the Parties
,
based on mutual benefit, equality
,
cooperation and mutual trust.
ARTICLE 9
Amendment
The provisions in this MoU may be amended at any time with the mutual
written consent of the Parties. Such amendments shall form an integral part of this MoU.
ARTICLE 10
Come Into Effect, Duration, and Termination
1.
This MoU will come into effect on the date of signing.2. Unless otherwise decided by both Parties, this MoU is valid for five (5) years, and may be extended for another period by mutual written consent of the Parties.
3. This MoU may be terminated by either Party by giving written notification to the other Party of its intention to terminate this MoU at least
60
(sixty) days prior to the intended date of termination.4. The termination of this MoU will not prejudice the completion of any on-going programs or projects agreed by the Parties under this MoU.
IN WITNESS WHEREOF, the undersigned have signed this MoU.
