Sengketa yang timbul akibat interpretasi dan implementasi suatu perjanjian dapat diselesaikan melalui dua cara yaitu melalui pengadilan dan di luar pengadilan, seperti

konsiliasi, mediasi, arbitrase (perwasitan) dan lain-lain. Cara tersebut bergantung kepada kesepakatan para pihak sebagai wujud dari pelaksanaan azas kebebasan

berkontrak, namun tentu juga dibatasi oleh

undang-undang. Kebebasan dalam pemilihan forum penyelesaian sengketa (choice of forum) atau disebut juga forum non conveniens, biasanya akan menentukan pula hukum yang mengatur penyelesaian sengketa (choice of law). Doktrin
