FINANCIAL AGREEMENT

The Government of the Republic of Indonesia and the Goverment of the French Republic, with a view to facilitate the development efforts of Indonesia, agreed on following provisions.

ARTICLE 1

-a) A maximum amount of NIHE HUNDRED !JiILLION FRENCH FRANCS (900 MF.) is put at l:he dis:posal of the Indonesian Governiilent in the :i:orm of creJits for the f ina:acing of CENGKARENG IHTER-i-JATIONAL AIRPORT' which w:i..11 be furti1er referred ·to as "'rHE PROJECT".

b) 'I'he above mentioned credits will be used for the financing of the imported equipment, engineering and services of French origin for the construction of the Project, except for civil works contract(s) as stipulated in the exchange of letter of to-day.

AR'I'ICLE 2

-The credits set in Article 1 consist of a loan from the French Treasury to Bank Indonesia, acting on the account of the Indonesian Government, of a maximum of THREE HUNDRED SIXTY MILLION FRENCH FRANCS (360 M.F.) and bankers' credits guaranteed by French Treasury of maximum amount of FIVE HUNDRED FORTY

MILLION FRENCH FRANCS (540 M.F.) destined for financing the goods and services mentioned in article 1-b.

AR'I'ICLE 3

-a) Break-down of French Treasury loans:

The break-down of French Treasury loans mentioned in article 2 is as follows:

1 - ONE HUNDRED TWENTY MILLION FRENCH FRANCS (120 M.F.) provided under the present protocol;

2 - FOR'l'Y MILLION FRENCH FRANCS ( 40 M. F.) reserved for the financing of this project under the normal protocol signed to-day.

3 - TWO HUNDRED MILLION FRENCH FRANCS (200 M.F.) which will be part of the Treasury loans provided under the future normal protocol up to 1983.

b) Break-down of guaranteed bankers' credits:

1 - ONE HUNDRED EIGHTY MILLION FRENCH FRANCS (180 M.F.) provided under the present protocol;

2 - SIXTY MILLION FRENCH FRANCS ( 60 M.F.) provided under the normal protocol signed to-day for the financing of the project;

ARTICLE 4

-THREE HUNDRED MILLION FRENCH FRANCS (300 M.F.) which will be part of the guaranteed bankers' ｾｲ･､ｩｴｳ＠

provided under the future normal protocol up to 1983.

The loans from the Treasury and the guaranteed bankers' credits which are extended in conjunction with the former will be respectively utilized in the proportion of 40% and 60% of the contract.

ARTICLE 6 - : l . . .•

Les credits bancaires garantis mentionnes

a

l'article 2 ci-dessus sont amortissables en dix ans par

semestrialites egales et successives, la premiere echeant six mois apres les date s de livraison, selon les stipulations du contrat commercial ou de la convention de credit bancaire. Leur taux d'interet est le taux usuel des credits

a

l'ex-portation auquel s'ajoute le cout de l'assurance-credit de COFACE.

Un ｡｣ｾｯｲ､＠ f ｩｾ｡ｮ｣ｩ･ｲ＠ entre les etablissements bancaires Fran9ais et -la Banque d'Indonesie precisera, si necessaire, ies modalites ｟ ､･ Ｎ ｬｾｵｴｩｬｩｳ｡ｴｩｯｮ＠ et du rembourse-ment de ces credits bancaires garantis.

Les accords relatifs aux credits bancaires · seront approuves par la Banque d'Indonesie s'ils ne sont pas signes directement par elle.

ARTICLE 7

-Les credits seront utilises pour financer le ou les contrats passes entre le client et le maitre d'ouvrage Fran9ais/la societe d'ingenierie et/ou les fournisseurs/ industriels Fran9ais, apres approbation par les autorites fran9aises et indonesiennes competentes.

ARTICLE 8

-La date limite de passation du contrat finance

en application du present protocole est fixee au 31 decembre 1983.

Les tirages qui n'auront pas ete utilises pour le financement du projet conformement aux dispositions du present protocole seront annules.

ARTICLE 9

-La decomposition des biens et services finances par le present protocole, suivant qu'ils sont ou non

sophistiques, figure dans l'echange de lettres ｳｩｧｮｾ･ｳ＠ aujourd'hui. Si la part sophistiquee est reduite de plus de 5%

le total du f inancement sera diminue proportionnellement par prelevement sur les 300 millions de francs ajoutes au protocole normal au titre de l'article 3 a 1 et 3 b 1. Sauf disposition contraire qui recevrait l'accord des deux parties, la reduction de la partie sophistiquee ne pourra depasser 15%. ARTICLE 10

-Les moyens de f inancement prevus par le present protocole ne valent que dans la mesure ou le Gouvernement Indonesien decide de choisir un ou des fournisseurs Fran9ais associes

un ou des fournisseurs indonesiens,

moins qu' interviennent d'autres arrangements conclus entre les deux parties. Cette decision devra etre notifiee au Gouvernement Fran9ais avant le 1 Avril 1980. Sauf

-The loans from the French Treasury menti.oned in article 2 are repayable in twenty six years (26) by equal and successive semi-annual instalments wh 5-ch are ca l culated from the date of each drawing and bear an interes t rate of 3% per annum, allowing a grace period of ten (10) y ears.

The interests due on the balance are repayable at the end of each half-year. An a g reement on the implementation bet-ween Bank Indonesia acting on account of the Indonesian Govern-ment, and the Credit National, acting on account of the French Government, will stipulate the terms and conditions of

utilization and repayment of these loans. ARTICLE 6

-The guaranteed banker s' c r edits mentioned in article 2 will be redeemed in ten (10) years by twenty (20) equal and successive semi-a n n u a l instalments, the first one falling due six months after commj_sssioning of the proj e ct as s t ipulated in the commercial contrac t or in the bankers' credits agreement. The rate of interest is the current export rate to which added

the cost of credit insurance of COFACE.

A financial agreement between Ba nk Indonesia and the

French Institutions will stipulate, if necessary, the modalities

of utilization and reimbursment of these guaranteed bankers' credits. The ｡ｧｲ･ｾｭ･ｮｴ＠ relating to the bankers' credits will be

a p proved by Bank I ndonesia in case they are not directly signed by this bank.

ARTICLE 7

-The credit shall be utilized for the financing of

contract(s) conclud ed between the Project and t h e French Gene ral Contractor/Enginee ring firm and/or French suppl i ers/Manufacturers,

subject to approval of the competent Indonesian and French Authorities.

French franc will be used as currency of account and currency of payment of the contract.

A down --p<::.}T.lent equal to 10% of the amount of the contract will be paid when placing the order and the balance will be settled between the order and its receipt in conformity with the terms and conditions of the contract, by successively utilizing the means

of financing foreseen . in article 2 in accordance with the modalities of article 4 of the present agreement.

ARTICLE 8

-The ultimate date for the drawing up of contract(s) to

be financed under the present agreement is set at December 31st 1983. No drawing may be made from the Treasury loans allocated by the present protocol after December 31st, 1985.

. ｅｶ･ｲｾ＠ amount which will not ｾ･＠ used for financing the pro]ect according to the provisions of the present protocol will be cancelled .

AR'rICLE 9

-The break-down in sophisticated and non sophisticated goods and services financed by the present protocol is listed in the exchange of letters signed to-day.

If the sophisticated part is reduced by more than 5% of that part, the overall financing will be reduced proportionally by reducing the amount of the 300 million French Francs added to normal protocol referred to in article 3 a) 1- and 3 b) 1-.

ExceptY'as otherwise agreed upon by both parties the reduction of the sophisticated part shall not exceed 15% of that part.

ARTICLE 10

-The financing provided under the present protocol is valid in so far the Indonesian Government decides to choose French contractor(s) in association with Indonesian contractor(s) or in such other arrangements to be agreed upon by both parties. Such a decision should be notified to the French Government not later than April 1st, 1980. Unless a new limit has been fixed by mutual agreement, the present protocol will be cancelled.

ARTICLE 11

-The present agreement enters into force on ｾｨ･＠ date of its signing.

During the meeting of the ｉｮ､ｯｮ･ｳｩｾｮ＠ and French dele-gations of to-day, we have agreed to provide a financing under protocol signed to-day for the construction of the C:SNGKARENG

INTERNATIONAL A:RPORT.

The total amount of the financing is up to 900 millic French francs which consists of :

100 million French francs under the normal protocol signed to 300 million French francs provided under the second protocol signed today, in addition to the normal protocol mentioned above,

- 500 million Ii'rench francs under future normal protocol up to Any amount required for additional equipments and ser vices where necessary and prices escalation relatei to the

pro-ject, above the allocated amount of 900 million French francs, if the Indonesian Government so requests, shall be made availab by guaranteed bankers' credit under the following conditions :

The interest rate will be the usual interest rate for export credits of that maturity to which is added the COFACE

insurance premium. The agreements relating to the bankers' credit will be approved by Bank Indonesia in case they are not directly signed by this bank.

The French delegation stated that according to French rules and regulation

Local costs and foceign component of the civil works composed of amortization of equipments used for civil works, wages, and raw materials used in civil works will not be eligib for protocol financing.

Further discussions will be held between the Economic and CorrJJlercial counsellor to the French Embassy in JAKAWrA and the competent Indonesian A.uthori ties to precise the list of the expenses non eligible to the protocol.

Au cours de nos entretiens ce jour, nous sonunes con-venu de mettre en place, dans le cadre d1_{un protocole signe ce}

jour, un financemerit pour la construction de 11_Aeroport

Interna-tional de CENGKARElTG.

Le montant total de ce financement s'eleve

a

900 mil-lions F. au maximum qui se decomposent comme suit :

- 100 millions F. ouverts au titre du protocole normal signe ce jour,

- 300 millions F. ouverts au titre du second protocole signe ce jour, venant s'ajouter au financement affecte ace projet dans le cadre du protocole normal precite,

- 500 millions F. qui seront mis en place dans le cadre de protocoles normaux

Toute depense venant en senent des 900 millions F. precites et portant sur &'eventuels equipements supplementaires et des revisions de prix relatives au projet, sera couverte, si le Gouvernement indonesien en fait la demande, par credits prives garantis aux conditions suivantes : duree de credit de 10

ans, comptes de la reception provisoire du projet : acompte
