WEDNESDAY EVENING 2 JUNE 21 CLOSING SESSION

II. SPECIFIC

A. Control: Every aspect of control shall be vested in the Board of Trus- tees of Kiwanis International. This control shall include:

1. Determination of areas in which clubs may be formed, governed by the following definitions:

Open Country: A country in which Kiwanis clubs may be Organized.

Country Not Open: Any country that has not been declared open by the Board of Trustees of Kiwanis International.

INVESTIGATION 2 COUNTRY NOT OPEN: Shall be limited to State Depart- ment of the United States and/or Department of External Affairs of Canada until said country is cleared in accordance with I··B.

FIELD SERVICE INVESTIGATION: After a country is cleared by the U.S. State Department and/or Department for External Affairs for Canada;

(1.) A Special Representative, on assignment by the Secretary, may be sent into a country to survey the area of Kiwaniso (2) Former Kiwanians residing in the country, business and pro-

fessional men may be contacted for purpose of establishing a list of men eligible for a Kiwanis club or clubs.

2. Selection and training of Special Representatives, either resident or non-resident, to assist the Board in each area under considera- tion.

3. Determination of financial arrangements including monetary exchange and depository and disbursement of funds.

4. Production of Manual of Procedures for use of clubs.

5. Determination of size of club membership prior to approval of Charter.

6. Leadership education.

7o Translation of basic materials.

8. The Kiwanis Magazine shall be available to all members.

B. Special Representatives 1. When Selected:

A Special Representative may be selected by the International Board to gather information prior to the opening of a country, or the formation of a club in a predetermined area, or act as liaison between Kiwanis International and club or clubs.

2. Who Shall be Selected: Although any qualified representative may be selected, the following guidelines are suggested as criteria:

(a) A person, either resident or non-resident, who is knowledgeable in the area involved.

(b) A person who can spend the necessary time to thoroughly assess the conditions in the area involved.

(c) A person who can inculcate the principles and ideals as em~

bodies in the Objects of Kiwanis International.

(d) A person who can and will give the necessary instruction and training to club or clubs involved.

(e) A person who will assist in the necessary followup with the club or clubs after formation.

3o His Duties Shall Be:

(a) To visit the area involved and collect information as required by the International Board.

(b) To counsel with the proposed Kiwanis club and act as laison with the International Board prior to its approval as a club in Formation.

(c) To appraise and report factually the membership potential in the area involved.

(d) To secure assurance that prospective members will embrace the Objects of Kiwanis International.

(e) To gain a thorough knowledge and understanding of the Policies governing international extension as well as the current plan for implementation of international extension.

(f) To report his findings with specific reconnnendations to the Board of Trustees of Kiwanis International.

4. His relationship with approved club or clubs shall be:

(a) Take full charge and responsibility for the Formation of the club or clubs.

(b) Educate leadership - utilizing the Manual of Procedures.

(c) Assist in developing appropriate club activities.

(d) Establish a finance policy for the club in conformity with the general finance policies for clubs outlined in the finance sec- tion.

(e) Establish a plan for membership development within the club or clubs.

(f) Counsel with appropriate leadership relative to further expan- sion of Kiwanis in the geographical area.

(g) Make certain that administrative connnittees are strong, club finance policy adequate, meeting place is acceptable and that they have a clear understanding relative to the importance of their club meeting involving such details as programs, recep- tion, music and fellowship.

(h) Make clear in every detail the relationship of this club to Kiwanis International and current plans for implementing inter- national extension.

C. Sponsorship of Clubs

1. New clubs in ''opened countries shall be sponsored by existing clubs in these respective countries or areas. New clubs in Mexico may be sponsored by existing clubs and/or by clubs of the United States.

Without exception the sponsoring clubs must fulfill the program of new club sponsorship. Clubs of the United States and Canada shall be encouraged to co-sponsor clubs in other countries and urged to develop relationships and association with clubs in other countries in a

manner as may be suggested in the program of the Committee on Inter- national Relations.

2. A group wishing to petition Kiwanis International to become a club in 11Formation" must have at least ten (10) business or professional men of Kiwanis caliber ready to sign the official Petition. To

"Organize" the group must have twenty (20) or more men of this type with signatures on the Petition. (See also D-1 - Size of Clubs re Chartering)

3. Groups indicating an interest in becoming a Kiwanis club must have a Kiwanian~ former Kiwanian or other individual completely familiar with Kiwanis procedures, ready, willing, and able to instruct the group in proper Kiwanis new club development. Such a person must personally certify that such a club has been so instructed and is ready for official Chartering. See also II B. Special Representa- tives.

4. The standards for a member club shall be:

a. It shall be comprised of men of good character and community standing.

b. It shall hold weekly breakfast, luncheon or dinner meetings.

c. It shall subscribe and adhere to the Objects of Kiwanis Interna- tional.

d. It shall have prescribed officers.

e. It shall have prescribed dues and an annual budget.

L It shall have a committee structure.

g. It shall have a program of community service activities.

h. The "Formation" of the club shall not be authorized until the standards have been met and it has sound membership potential sufficient to insure continued growth in numbers and quality of the original group.

D. Size of Clubs

1. A club shall have twenty (20) members to Organize and to be Char- tered. Two•~·thirds (2/3) of the members shall be citizens of the country or area in which the club is being formed.

E. Chartering of Clubs

1. The granting of a Charter to a club in Kiwanis International shall be under the complete control of the Board of Trustees of Kiwanis International.

2. The Petition form to be used to apply for a Charter for such club shall be the form currently approved by the International Board of

Trustees. However, the International Board of Trustees may require other information in writing to be submitted along with or subse- quent to submission of such Petition.

3. There shall be no fixed time between Organization and Official Char- tering~ but the same shall remain subject to the decision of the Board of Trustees of Kiwanis International.

4. Such clubs will be furnished Kiwanis literature by mail to help them with their new club developro€nL If translations are necessary, ap- proval must be granted by the International Board. Specific direc- tion through correspondence will be given such clubs and where no other communication is practical clubs must agree to only this type of Kiwanis International assistance.

5. Each club shall adopt the Standard Form for Club Bylaws for Inter- national Extension. Where changes are required due to the accepted legal practices or customs of the country involved, such changes must be supported by the reason therefore in requesting final approval by the International Board of Trustees of Kiwanis Interna- tional. Such a procedure shall provide for as much uniformity as possible and the reason for the changes requested shall remain as a part of the permanent record of the club involved.

6. Inasmuch as Kiwanis fellowship and exchange of ideas and information is so important for the proper development of new clubs, a minimum of three such clubs within a geographic area, so as to permit inter- clubbing, must be ready for Formation or Organization before the first club may be officially Chartered in a new country or geographical area.

F. Relation of Clubs to Kiwanis International

L Clubs formed outside of the United States and Canada shall be non- districted clubs, i.e., not attached to any district but attached directly to Kiwanis International except as provided elsewhere in these Policies.

2. All non-federated clubs approved for Charter and in good standing shall have voting privileges at conventions of Kiwanis International.

3. All clubs in international extension must accept the Kiwanis Objects and the control of the International Board of Trustees where the use of the Kiwanis name and insignia is concerned.

(a) They shall pay International dues directly to Kiwanis Interna- tional unless otherwise provided for.

(b) Territorial limits shall be no more than the corporate, or comparable, limits of the city involved.

4. Each club in international extension shall be strongly urged to incorporate as such incorporation will be beneficial both to the club and to Kiwanis International.

Go Language

1. English shall be the official language in all literature, printed materials and corrnnunications for all clubs. Control of all transla-

tions of basic materials shall remain in the hands of the Board of Trustees of Kiwanis International.

2o All correspondence to the General Office should be English, wherever possible.

Ho Finance

1. International dues for the clubs shall be determined and approved by the Board of Trustees of Kiwanis Internationale

20 Club payments shall be made on the basis of United States exchangeo In any case where the monies cannot be transferred to a United States depository, it shall be collected by a fiscal agent selected and approved by the Board of Trustees of Kiwanis International and deposited in the country of origin in an approved depositoryo 3. Payment of such funds shall be on the basis of vouchers authorized

by the Board of Trustees of Kiwanis International and such financial matters shall be handled by the fiscal agent.

4. All funds paid by each club to Kiwanis International shall become Kiwanis International funds and shall be deposited in the name of the organization (except as covered in 2 above).

So Total dues paid by members to clubs shall be adequate to meet all re- quirements of Kiwanis International based upon United States exchange and all other normal administrative expenses of the club as determined and recorrnnended by special representative with the approval of Kiwanis International.

6. In addition to International dues, each club shall pay to Kiwanis International the following fees:

(a) New clubs will pay an Organization fee of US$1OO.OOo At least one=half (1/2) must be paid at time of Formation and the balance upon "Organization." (See I=l)

I. The Kiwanis Magazine

1. The subscription to The Kiwanis Magazine shall be made available to the membership of clubs. The subscription rate shall be US$2oOO per year shipped surface mail, or US$2.OO plus the cost of mailing if sent via airmail.

2. The official language for the Kiwanis Magazine shall be English"

3. The cost of The Kiwanis Magazine, delivered, shall become a part of the annual charges paid to Kiwanis International and this money shall be handled in the same manner as other International funds under policies as outlined in the section on finance.

J. Leadership Education

1. The leadership education of the original officers and members of a club shall be the responsibility of the special representative.

2. The supervision of the leadership education program at club or dis- trict level shall be the responsibility of the Board of Trustees of Kiwanis International or its designated representative as long as

attached to Kiwanis Internationalo

3. Leadership education procedures shall encompass both administrative details and a re-indoctrination of Kiwanis ideals and principles as expressed in the Objectso

Ko Activities of Clubs

lo Guidance on appropriate activities for consideration by the commit- tees of clubs shall be given by the special representativeo Care shall be exercised to assure that these suggestions are compatible with the needs of the community in which the club is located and the area in which it is formedo

2o Every encouragement shall be given clubs to engage in activities in support of freedom, international understanding and good willo 3o All activities of each club must be entirely compatible with the

Objects of Kiwanis International.

L. Organization and Administration of Kiwanis International Affiliations.

Affiliations of individual Kiwanis clubs and groups of Kiwanis clubs can be accomplished as follows, each subject to approval and constant review by the Board of Trustees of Kiwanis International:

(a) Non-districted - direct attachment to Kiwanis International (Sec o 11 C -1) o

(b) Attachment to a districto

(c) Provisional districts - (Seco L-2~3,4) - direct attachment to Kiwanis Internationalo

(d) Councils - (Seco I-G) direct attachment to Kiwanis Interna- tional.

(e) Commissions - Sec. I-G and L-7) direct attachment to Kiwanis International.

(f) Federations - (Seco L-7 through 29).

2. The, international countries shall be divided into regions that are basically capable of having a sufficient number of clubs in the

future to form a provisional Kiwanis districto Upon the official Organization of at least five (5) clubs in any region, a provisional

district may be constituted at the direction of the Board of Trustees of Kiwanis International.

3. Each provisional district shall elect a governor and other appro- priate officers.

4. Adequate district dues shall be determined prior to the establish- ment of a new provisional district. They shall include support

for the leadership education of the district officers.

5. Upon the official organization of a provisional district, said dis- trict may form divisions, each with a lieutenant governor, so long as there are no fewer than two (2) clubs in each division. Upon the Organization of ten (10) clubs within a division, and in excess of that number, additional divisions may be formed, each with a lieu- tenant governor, so that such divisions may not have fewer than five

(5) clubs. In the formation of a division and in the eventual increase of their number it shall be permissible for a division to comprise clubs from more than one country.

6. A district will be "provisional" until it can support itself economi·~

cally and is admitted as a district of Kiwanis International or becomes part of a Federation.

7. Upon the establishment of an appropriate number of provisional dis- tricts which would include a sufficient number of Organized clubs, the Board of Trustees of Kiwanis International. may direct the forma- tion of a new Kiwanis Federation.

8. In preparation for the establishment of a new "Kiwanis International Federation" in a manner that is mutually beneficial, advantageous9 and agreeable, the Board of Trustees of Kiwanis International shall appoint a Commission, empowered to discuss and formulate in a pre- liminary manner the structure and constitution of the Kiwanis Inter- national Federation and to function as a temporary coordinating body under the authority of a "Statement of Responsibility" that shall be developed by the Commission itself and approved by the Board of Trustees of Kiwanis International and acceptable to the majority of the clubs officially organized in that Federation.

9. The Kiwanis International Federation shall be established at a con- stitutional convention, of which the secretary of every club and the officers of every provisional district shall receive notice in writing at least sixty (60) days in advance of said constitutional convention.

10. The president of Kiwanis International or his appointed representative shall preside at the constitutional convention.

11. Upon examination by the Board of Trustees of Kiwanis International of the Constitution, Bylaws) Articles of Association, or comparable written governing authority adopted at the constitutional convention, the Kiwan:f._s International Federation shall be officially declared by the Board of Trustees of Kiwanis International within sixty (60) days after the constitutional convention and shall instruct the Kiwanis

International Federation to proceed with proper registration of the Articles of Associationo

12. The constitutional convention shall elect a Council of Founders and empower it to negotiate minor amendments to the Constitution, Bylaws, Articles of Association, or comparable written governing authority with the Board of Trustees of Kiwanis International during the sixty (60) day period mentioned in paragraph llo

130 Until the Kiwanis International Federation is established, Kiwanis clubs in that Federation shall continue to pay dues to Kiwanis International at the established rate per member per annum in semi- annual installments based on the membership as of September 30 and March 31 of each year, and payable on October 1 and April 1 respec-

tively"

14. When a Commission has been appointed and empowered to discuss and formulate the Kiwanis International Federation Constitution and Bylaws, the Board of Trustees of Kiwanis International shall es-

tablish a special deposit program whereby an amount equal to US$1.25 per member, derived from each individual Federation member1s semi- annual payment of dues, shall be deposited into a restricted fund until such restricted fund accumulates not more than US$5,000a00o 15. Upon the official declaration of the Kiwanis International Federa-

tion by the Board of Trustees of Kiwanis International, the latter shall provide to the Kiwanis International Federation the amount accumulated in the restricted fund.

16. It is the objective of the Board of Trustees of Kiwanis International that the Kiwanis International Federation shall be self-sustaining and self-supporting as soon as practicable following its establish- ment.

170 During the early years of the new Kiwanis International Federation and thereafter, the governing bodies shall be constituted as set forth in nIIL Kiwanis International-Europe" as included in these Policies.

18. There shall be a liaison organization which shall have the name of Kiwanis International World Secretariat. It shall be devised or

established as set forth in the Charter of the Kiwanis International Morld Secretariat. (see IV. of these Policies).

19. Upon the establishment of Kiwanis International-Europe a Kiwanis International World Secretariat shall come into being" Initially the Secretariat will be comprised of Kiwanis International as it existed prior to July 5, 1961 and Kiwanis International-Europe.

20" Members of clubs of one affiliated group may visit clubs and attend the annual convention of the other affiliated group, but shall not have delegate status. Officers of one affiliated group may attend the annual convention of the other affiliated group without delegates status and may participate in the sessions and conferences upon in- vitation. Kiwanians visiting clubs, conferences, and conventions of

the other affiliated group shall receive attendance credit provided in the Official Attendance Rules of Kiwanis InternationaL

21. All officially completed Kiwanis International Federations and the clubs thereof, shall pay no dues to Kiwanis International other than the amount designated for international extension, but may be required to reimburse Kiwanis International, at costs and charges to be fixed by the Board of Trustees of Kiwanis International, for services~ including travel and literature requested of Kiwanis In- ternational. The cost of translations of any supplied literature or any other printed matter will be the responsibility of the Kiwanis International Federation.

22. Until the Kiwanis International Federation is established in a man- ner outlined in this procedure, Kiwanis clubs of this affiliate shall continue to pay dues to Kiwanis International. Upon the establishment of the Kiwanis International Federation, its clubs shall cease to pay dues to Kiwanis International other than the amount designated for international extension and shall conform to the dues structure of the new organization.

23. Until such time as the Kiwanis International Federation is estab- lished, its clubs may have delegate representation at the conventions of Kiwanis Internationa.

24. Having established Kiwanis International-Europe and the Kiwanis Inter- national World Secretariat, Kiwanis International shall turn its attention to the establishment of Federations in other geographical areas of the world.

25. Upon the establishment of additional Federations the Kiwanis Interna- tional World Secretariat, shall be enlarged to include the new Federa- tions with membership in the Kiwanis International World Secretariat under rules included in this procedure.

26. Prior to the establishment of any additional Federation, the Board of Trustees of Kiwanis International shall name the original countries which may be included.

27. All Federations shall be independent of each other. However, to insure uniformity of action and adherence to the Objects of Kiwanis International, all Federations shall maintain a close relationship to Kiwanis International with the Board of Trustees of Kiwanis Inter- national having continuing and final authority in all relationships.

The foregoing requirements shall be embodied in the Constitution~

Articles of Association~ Charter, or any other document which consti- tutes the legal entity of such Federation.

28. The Board of Trustees of Kiwanis International shall require reports from Federations and their several districts.

29. It is recognized that affiliated bodies and the clubs thereof, will be established and maintained under conditions that require some variation in practice, procedure, and internal organization form as compared with Kiwanis International:i and the clubs t.hereofJ and as compared with each other.
