The Committee recommends that the priority list of subsidies for the 1988-1989 administrative year be adopted. 58,760 in KI Foundation revenues to offset $58,760 in Key Club budget expenses Procedure: In compliance. The Committee on Policies, Procedures and Structures is studying the possibility of including criteria for various awards programs in the Committee's procedures. reviewed the evaluations of the 1988 Governors-Elect Training Conference and suggested continuing the general format with some adjustments and modifications.

The committee reviewed the French and Spanish versions of the Club President's Guide and suggested relatively low cost improvements to the overall appearance of this document. REPORT OF THE MEMBER SERVICES BOARD OF DIRECTORS AT THE MEETING OF THE INTERNATIONAL BOARD OF TRUSTEES. The minutes of the 1987-88 International Achievement Committee meeting held in March are attached to this report as Appendix B.

The Committee noted that the APS membership figure had passed 315,000 for the first time in the history of the organization. The Committee reviewed the quarterly reports of the chairpersons of the International Conunittees on Membership Growth (West), James B. He advised the committee that this format would be used in all publicity releases and at the time of the awards during the 1988 International Convention.

After much discussion, it was ~he consensus of the committee to recommend that the reported number of service projects in the Multiple Service Category~ be reduced from five to three. The committee agreed on the grading floors of 100 points for each report, for a total of 300 points (the same as for Single Service), in the event that the Multiple Service Category criteria specify reporting on three projects. Bill Brown asked the members of the committee to comment on Part I of the Annual Club Report and to mail their comments to the International Office by April 15; 1988.

Ten proposed amendments to the Kiwanis International Constitution and Bylaws have been received from the Board of Trustees and sponsoring clubs. The committee has assessed the amendments, found them to be in order and is submitting them to the board for assessment. The purpose is to clarify the maximum number of former governors who may serve on a district's Board of Trustees.

The majority of the Committee recommends that the Board express its disapproval of Proposed Amendment iffa9 by using the sentence, "This Amendment is. The Committee recommends that the order in which the amendments shall appear in Seattle, Washington, be the same as the Committee reviewed a letter from attorneys White & Raub, who reviewed the summary version of the compensation policy adopted by the Board in October.

Comply with all provisions of the constitution, bylaws and policies of Kiwanis International. Before a district or federation board determines that a Kiwanis club is not in good standing, a written notice of violation(s) of the provisions of section 319.1 must be sent to the Lieutenant Governor, Club President, Secretary and to the International Secretary.

When the Board of Trustees of Kiwanis International finds that a Kiwanis club is not in good standing, a written notice of violation(s) of the provisions of Section 319.1 must be given to the president and secretary of that club and to the district governor, district secretary and lieutenant governor. When the Board of Trustees of Kiwanis International finds that a Kiwanis club is not in good standing, such Board may place the club on probation for a period not to exceed three (3) months. If the violations are not rectified by the club within the period of three or six months, the Council can suspend service or revoke the club's charter.

The Board of Trustees consists of the Chairman, the President-Elect, the Immediate Past President, two (2) Vice-Chairmen, the Treasurer and twelve (12) Trustees. The members of the Board of Trustees shall be elected in order to provide that: The construction and interpretation of the Constitution and bylaws by the Board of Trustees shall be final and binding, unless such construction and interpretation by the Board of Trustees is overruled by a subsequent convention of Kiwanis International.

The International Board will consist of the Board of Trustees, the Past Presidents of Kiwanis International and the District Governors. The President presides at the meetings of the International Council; in hls- the President's absence one of the Vice-Presidents is chosen by the Board of Trustees. Special conventions of Kiwanis International shall be called by the President at the request of a majority of the chartered clubs in good standing, or at the request of three-fourths (3/4) of the members of the Board of Trustees.

The subscription price of the official publication will be as defined in the bylaws. Proposed changes (other than those initiated by the Board of Trustees) shall be received by the Secretary of Kiwanis International at least sixty (60) days prior to the date of the convention. The International Council shall consist of the Board of Trustees, Past Presidents of Kiwanis International, Federation Presidents and District Governors.

An association's board of directors must consist of officers and other representatives as stipulated in the association's articles of association. The Federation President shall be a member of the International Council and perform the duties prescribed in the constitution and bylaws of Kiwanis International and the association's bylaws. Other federation leaders and the duties of the federation board are as prescribed in the federation statutes.

The Staff, together with the Committee, reviewed the status reports for the period from December 1, 1987 to April 1, 1988 from the Operations Department, the Human Resources Department and the MID Department. Chris asked the District Secretaries to ensure that the original scanned form is sent to the International Office - not a Xerox copy of the form.
