The committee recommends that the amendment to the Key Club International bylaws be approved. Staff presented the committee with copies of the 1987-88 Key Club International Theme and Major Program book. Staff advised the board that some district key club administrators were concerned about the 701 board process.

The committee recommends that the amendments to Circle K International's constitution and articles of association be approved. Staff reported to the committee that there were several initiatives being considered by the Circle K International Board of Trustees for 1987-88. These matters may be referred to the committee for consideration after submission to the Circle K International Board.

MEMBERSHIP IN CLUBS ,PTHER THAN ACTIVE

Any active member of a chartered club who has been elected a privileged member on or before July 31, 1963, may remain a privileged member. The Board of Directors of each chartered club shall review the list of privileged members not less than once a year and shall have the power, for such reasons as may appear appropriate, to terminate the privileged membership of such members or to re-recruit such members. set. as active members. Privileged members must pay annual membership dues and are entitled to all club privileges.

Any active member of a chartered club who shall have been an active member of one or more Kiwanis clubs for a HHm-BOF ef year, not less than ten (10) years, and who is unable to meet requirements for participation due to health, business or other extenuating circumstances, and who shall have fulfilled such other conditions as may be prescribed by a chartered club in its by-laws, may be elected a senior member upon written application. A senior member must pay an annual membership fee and is entitled to all club privileges. The board of directors of each chartered club shall review the list of senior members not less than once a year and shall be empowered, for such reasons as may appear sufficient, to terminate the senior membership of such membership or reinstate a y ~ members---with respect to active membership.

DUH.BING ORGANIZING AND CHARTERING OF CLUBS

Secured and maintained a charter membership of the required number as determined by the Board of Trustees. If a member chartered club fails to comply with the provisions of the Kiwanis International Bylaws or these Bylaws, or fails to meet the nature and quality of services and membership required. Such immediate and automatic revocation of the license to use the Kiwanis Marks shall not constitute automatic revocation.

Failure to immediately cease use of the Kiwanis Marks or any mark that may cause confusion to them will result in immediate and irreparable harm to Kiwanis International for which there is no adequate legal remedy. Any revoked license may be reinstated by a majority vote of the entire Board of Directors. If an Authorized Club applies for or maintains membership in Kiwanis International, it waives all separate or independent rights of such Member Authorized Club to the Kiwanis Marks and accepts the terms and conditions under which the Authorized Club is licensed to use the Kiwanis Marks.

DISTRICTS

The secretary, county treasurer, and such other officers as may be required by the county charter may be elected or appointed as provided in the county charter. The district governor shall perform such duties as are prescribed in the Kiwanis International Constitution and these rules and in the district bylaws. The duties of other county officers and the county board of trustees are prescribed in the county statutes.

The board of directors of each district shall hold at least two (2) meetings each year, one (1) before October 31, at a time and place designated by the Governor, and another in connection with the district. All officers and former district governors of the district shall be general delegates to the district convention. The Board of Directors shall, to the extent practicable, designate an official representative to attend each convention or meeting of the Board of Directors.

Notice of all such meetings shall be received by the Secretary of Kiwanis International at least fifteen (15) days prior to the date of the meeting.

DUTIES OF OFFICERS

The Secretary shall be the active managing officer of Kiwanis International under the supervision and direction of the President and Board of Trustees. The time and place of special conventions of Kiwanis International shall be determined by a majority vote of the Board of Trustees. The Board of Trustees shall establish a HRifoFm registration fee to be paid to Kiwanis International by all persons attending each convention of the organization.

The official program of a conference, as approved by the Board of Directors, is the order of the day for all participants in the conference. All proposed resolutions shall be submitted by the International Board of Directors, districts or chartered clubs to the Secretary of Kiwanis International at least sixty (60) days prior to the date of the Annual Convention. The Chairman will immediately announce the names of the three (3) selected representatives to the Secretary of Kiwanis International.

When the nomination of candidates for Kiwanis International offices becomes the order of the annual convention, the conference report is presented by the Kiwanis International secretary.

VACANCIES IN OFFICE

If, as a result of election results, a region is not represented by the minimum number of guaranteed representatives on the Board of Directors, as defined in Article VIII, Section 1, of the Constitution, the said region shall declare to the Secretary of Kiwanis International: at the Annual Convention and in accordance with the procedure approved by the Board of Directors, the name of the nominee to be appointed by the Board of Directors as Trustee for a term of two (2) years. In the event that the President is temporarily incapacitated as a ts ee and is unable to perform the duties of the office, the Board of Trustees shall elect, by a two-thirds (2/3) majority vote of the entire Board of Trustees one of the vice presidents as acting president until the president can resume these duties. While the President is incapacitated, the Acting President shall be the executive officer of Kiwanis International and shall have all duties, responsibilities and powers conferred upon the President by the Constitution and Bylaws.

Whenever it appears to the President that any member of the Board of Trustees is not discharging the duties of the office, the President shall forthwith notify such member of the Board of Trustees in writing and direct that such facts and reasons why the office should be declared vacant shall be considered at the next regular meeting of the Board of Directors. . In the event that the Board of Directors determines that the alleged facts are true, the Board of Directors shall have the right, by a 2/3 vote of the entire Board of Trustees, to declare such position vacant and the vacancy shall be filled. in accordance with the provisions for filling vacancies as prescribed in the constitution and bylaws.
