1. Appoint and dismiss members of the Board of Commissioners and Board of Directors.
2. Assess the performance of the Board of Commissioners and Board of Directors.
3. Assign an Independent Auditor based on the proposal received from the Board of Commissioners.
4. Establish a Public Accounting Firm that audits the Company's Financial Statements.
5. Determine the remuneration of the Board of Commissioners and the Board of Directors.
Throughout 2017, the Company has conducted Annual General Meeting of Shareholders through Circular Letter to shareholders with summary of the GMS resolutions are as follows:
1. The Shareholders hereby unanimously ratified the Company 2016 Audited Financial Report No. A170324034/DC2/YSR/2017, which has been audited by public accounting firm Tanudiredja, Wibisana, Rintis & Partner in accordance with Independent Auditor’s Report with opinion that the Financial Statements present fairly, in all material respects, the financial position of PT Transportasi Gas Indonesia as at 31 December 2016, its financial performance and cash flows for the year then ended, in accordance with Indonesian Financial Accounting Standards.
2. The Shareholders hereby unanimously approved the 2016 Annual Report, which includes 2016 Annual Management Report and 2016 Supervisory Report of Board of Commissioners.
Further, the Shareholders have discharged and released the member of the Board of Directors

3. The Shareholders hereby unanimously approved the increment of Appropriate Retained Earnings by USD1,365,467. Further, Shareholders decided the Distribution of cash dividend amounting to USD42,658,208 (including applicable dividend tax), or USD31,44 per share and the payment of dividend will be conducted within 1 (one) month after the signing date of the CR.
4. Shareholders hereby unanimously approved that Remuneration for Board of Commissioners and Board of Directors will be as follows:

100% of the remuneration as of PGN’s salary and benefit policy, payable by TGI
President Commissioners and Commissioners:
Shall be alignment with applicable policy and/
or regulations issued by the Ministry of State-Owned Enterprises (SOEs).
Notes on PGN BOC and BOD Nominess Remuneration :
Remuneration BOC and BOD Nominees from PGN will be based on Ministry SOE Decree No:
PER-04/MBU/2014 (Pedoman Penetapan Penghasilan Direksi, Dewan Komisaris, Dewan Pengawas Badan Usaha Milik Negara) and Ministry SOE Decree No : PER-02/MBU/2016.
Should there are changes on the applicable policy and/or regulation from the Ministry SOEs, PGN shall provide written notification to Transasia prior the application of the new remuneration.

3. Pemegang Saham Pemegang Saham dengan ini dengan suara bulat menyetujui kenaikan Laba Ditahan Tetap sebesar USD1.365.467.
Selanjutnya, Pemegang Saham memutuskan pembagian dividen tunai sebesar USD42.658.208 (termasuk pajak dividen yang berlaku), atau USD31,44 per saham dan pembayaran dividen akan dilakukan dalam waktu 1 (satu) bulan setelah tanggal penandatanganan CR.
4. Pemegang Saham dengan ini dengan suara bulat menyetujui bahwa Remunerasi untuk Dewan Komisaris dan Direksi adalah sebagai berikut:

Sesuai dengan kebijakan dan/atau peraturan yang berlaku yang dikeluarkan oleh Kementerian Badan Usaha Milik Negara (BUMN).
Catatan mengenai Remunerasi BOC dan BOD PGN :
Remunerasi Dewan Komisaris dan Direksi dari PGN akan didasarkan pada Kementerian BUMN Keputusan No: PER-04 / MBU / 2014 (Pedoman Penetapan Penghasilan Direksi, Dewan Komisaris, Dewan Pengawas Badan Usaha Milik Negara) dan Kementerian BUMN Keputusan No: PER-02 / MBU / 2016.
Jika ada perubahan kebijakan dan / atau peraturan yang berlaku dari Kementerian BUMN, PGN harus memberikan pemberitahuan tertulis kepada Transasia sebelum pengajuan remunerasi baru.

5. Pemegang Saham dengan ini dengan suara bulat menyetujui Penunjukan Kembali Kantor Akuntan Tanudiredja, Wibisana, Rintis & Rekan sebagai Auditor Eksternal untuk masa tugas kedua tahun 2017.
6. Pemegang Saham dengan ini memberikan hak kuasa kepada Sekretaris Perseroan Perseroan untuk mengolah Edaran Keputusan RUPS ini menjadi Akta Notaris.
Realisasi Keputusan RUPS Tahun Buku Sebelumnya
Di tahun 2016 tidak terdapat keputusan RUPS Tahunan maupun RUPS Luar Biasa yang diselenggarakan pada tahun 2015 (tahun buku 2014) yang direalisasikan di tahun berjalan.

Board Manual adalah pedoman tatalaksana kerja Direksi dan Dewan Komisaris yang menjelaskan tahapan aktivitas secara terstruktur, sistematis, mudah dipahami dan dapat dijalankan dengan konsisten, sehingga dapat menjadi acuan bagi Direksi dan Dewan Komisaris dalam melaksanakan tugas masing-masing untuk mencapai Visi dan Misi Perusahaan.
Board Manual disusun berdasarkan prinsip-prinsip hukum korporasi, ketentuan Anggaran Dasar, peraturan perundang-undangan yang berlaku, keputusan Rapat Umum Pemegang Saham, serta praktik-praktik terbaik penerapan GCG. Board Manual ini dimaksudkan untuk menjelaskan hubungan kerja Direksi dan Dewan Komisaris dalam melaksanakan tugas agar tercipta pengelolaan perusahaan secara profesional, transparan dan efisien.

In 2016 there was no resolution of the Annual General GMS or Extraordinary GMS held in 2015 (fiscal year 2014) that realized in the current year.
