a. Company Establishment (Continued)
The Company commenced commercial operations in December 1990.
The Company has no immediate holding entity and ultimate parent entity.
b. Public Offering
On August 21, 2007, through Registration Statement Letter No. 755/SK/SNP/ VIII/07, the Company conducted the initial public offering of its 531,388,000 shares at a par value of Rp 150 per share with an offering price of Rp 580 per share through the capital market. On October 26, 2007, based on Letter No. S-5364/BL/2007 from the Chairman of Capital Market Supervisory Board and Financial Institution (Bapepam-LK), the Company’s Statement Registration became effective. The excess amount received from the stock issuance over its nominal value amounting to USD 24,370,397 was recorded in the “Additional Paid-in Capital” account, after being deducted by the stock issuance cost of USD 1,201,713. On November 8, 2007, all the Company’s shares were listed on the Indonesia Stock Exchange.

c. Entitas Anak (Lanjutan) PT SM Engineering (SME)
Berdasarkan Akta Perjanjian Jual Beli Saham No. 38 tanggal 18 Desember 2007 dari Notaris Fathiah Helmi, SH, Perseroan membeli saham SME milik PT Sat Nusapersada Brothers dan Abidin, keduanya pihak sepengendali, secara keseluruhan sebanyak 2.499 saham dengan biaya perolehan sebesar Rp 23.000.000.000 (USD 2.441.873) atau 99,96% dari seluruh modal ditempatkan dan disetor SME.
Pembelian saham SME tersebut telah disetujui pemegang saham Perseroan dalam Akta Berita Acara Rapat Umum Pemegang Saham Luar Biasa Perseroan No. 37 tanggal 18 Desember 2007 dari Notaris Fathiah Helmi, SH. Selisih biaya perolehan di atas nilai buku bagian Perseroan atas ekuitas SME sebesar Rp 6.664.126.585 (USD 707.520) dicatat dalam akun Tambahan Modal Disetor sebagai Selisih Nilai Transaksi Restrukturisasi Entitas Sepengendali.
PT SNI Internasional (SNI)
Berdasarkan Akta No. 15 tanggal 11 Desember 2013 dari Notaris Yosephina Hotma Vera, SH, Mkn, Perseroan dan SME mendirikan SNI dengan penyertaan saham sebanyak 5.000 saham atau sebesar 100% dari modal ditempatkan dan disetor SNI. SNI merupakan perusahaan yang bergerak dalam bidang jasa dan belum beroperasi secara komersial.

Based on Share Sale and Purchase Agreement Deed No. 38 dated December 18, 2007 of Public Notary Fathiah Helmi, SH, the Company purchased SME’s 2,499 shares owned by PT Sat Nusapersada Brothers and Abidin, both are entities under common stockholders as stated in Deed of Minutes of Extraordinary General Meeting of Stockholders No. 37 dated December 18, 2007 of Public Notary Fathiah Helmi, SH. The excess of cost over book value of the Company’s share in SME’s equity amounting to Rp 6,664,126,585 (USD 707,520) was recorded in Additional paid-in Capital as Difference Arising from Restructuring Transactions with Entities under Common Control.
PT SNI Internasional (SNI)
Based on Notarial Deed No. 15 dated December 11, 2013 of Public Notary Yosephina Hotma Vera, SH, Mkn, the Company and SME established SNI with 5,000 shares or 100% of SNI’s subscribed and fully paid capital. SNI’s scope of activities is in services and has not commenced its commercial operations.

Berdasarkan Memorandum Asosiasi di Timor Leste tanggal 12 Maret 2014, Perseroan melalui SNI mendirikan SNISA dengan penyertaan saham sebanyak 4.998 saham atau sebesar 99,96% dari modal ditempatkan dan disetor SNISA. SNISA merupakan perusahaan yang bergerak dalam bidang konsultasi manajemen berdasarkan sertifikat pendaftaran usaha dan persetujuan melakukan kegiatan usaha yang diterbitkan oleh Badan Pelayanan Registrasi dan Verifikasi Perusahaan Timor Leste (SERVE) dengan Satuan Nomor Unik Perusahaan (TIN) 1195070. SNISA berkedudukan di Timor Leste.

Based on the Memorandum of Association in Timor Leste dated March 12, 2014, the Company, through SNI, established SNISA with 4,998 shares or 99.96% of SNISA’s subscribed and fully paid capital. SNISA’s scope of activities is management consulting based on the business registration certificate and approval of business activities from the Timor Leste Company Registration and Verification Services Agency (SERVE) with Company Unique Number (TIN) 1195070.
SNISA is domiciled in Timor Leste.
