3.2. SELAYANG PANDANG
OVERVIEW
• Riwayat Singkat
PT Perkebunan Nusantara V (disingkat PTPN V) merupakan Perusahaan Perkebunan Negara yang didirikan tanggal 11 Ma- ret 1996 sebagai hasil konsolidasi kebun pengembangan PTP II, PTP IV, dan PTP V di Provinsi Riau.
Perseroan mulai beroperasi secara efektif sejak tanggal 9 April 1996 dengan Kantor Pusat di Pekanbaru. Landasan hu- kum Perusahaan ditetapkan berdasarkan Peraturan Pemerintah Republik Indonesia No. 10 Tahun 1996 tentang Penyetoran Modal Negara Republik Indonesia untuk Pendirian Perusahaan Perseroan (Persero) PT Perkebunan Nusantara V.
Dengan terbitnya Peraturan Pemerintah Republik Indone- sia No 72 tahun 2014 tentang Penambahan Penyertaan Modal Negara RI ke dalam Modal Saham Perusahaan Perseroan (Per- sero) PTPN III (Holding BUMN Perkebunan), dimana saham Per- seroan yang sebelumnya 100% dimiliki oleh negara, dialihkan 90% ke PTPN III sebagai induk holding BUMN Perkebunan. Dengan demikian, status Perseroan saat ini adalah anak Peru- sahaan dari Holding BUMN Perkebunan.
Anggaran Dasar Perseroan dibuat di depan Notaris Harun Kamil melalui Akte No. C2-8333H.T.01. Tahun 1996, serta tel- ah diumumkan dalam Berita Negara Republic Indonesia (RI) No- mor 80 tanggal 4 Oktober 1996, dan Tambahan Berita Negara RI Nomor 8565/1996.
Anggaran Dasar Perseroan telah beberapa kali mengalami perubahan, terakhir dengan Akta Nomor: 13 tanggal 15 April 2016 dibuat dihadapan Budi Suyono, SH Notaris di Pekanbaru dan telah mendapat pengesahan dari Menkum HAM RI melalui Surat Nomor: AHU-AH.01.03.0041088 Tanggal 18 April 2016 terkait Pemberhentian dan Pengangkatan Anggota Dewan Ko- misaris PT Perkebunan Nusantara V.
• Bidang Usaha dan Komoditas Usaha
Sebagaimana disebutkan dalam Anggaran Dasar Perse- roan, dengan agro bisnis dan agro industry tanaman Kela- pa Sawit dan tanaman Karet, bidang usaha Perseroan pada dasarnya memiliki tiga hal pengelolaan utama yakni:
Mengelola Kebun Inti dan Pabrik Mengelola Plasma/ KKPA
Melakukan Pembelian TBS Plasma/KKPA serta Pihak Ketiga Perusahaan dengan komoditas utama kelapa sawit dan karet ini mengelola areal kebun inti seluas 92.394,1 Ha (86.353,57 Ha areal tanaman dan 6.040,4Ha areal non tana- man) dan 95.107,78 Ha kebun plasma (dengan 72.964 Ha areal tanaman dan non tanaman seluas 22.143,78 Ha) yang seluruhnya berada di 1 kotamadya dan 6 kabupaten di Provin- si Riau. • Brief History
PT Perkebunan Nusantara V (abbreviated PTPN V) is a Stat- ed-Owned plantation was established on March 11, 1996 as a result of the consolidation of the development of PTP II, PTP IV and PTP V in Riau Province.
The company began operating effectively since 9 April
1996 with head ofice in Pekanbaru. The Company Legal Basis
is assigned based on the Government regulation of the Repub- lic of Indonesia No. 10 in 1996 regarding the capital remittance of the Republic of Indonesia for the establishment of the Limit- ed Corporation PT Perkebunan Nusantara V.
Regarding to the publication of the Government of Repub- lic Indonesia No. 72 in 2014 about additions to the inclusion of the State’s Capital of Republic Indonesia into the share capital of PTPN III (Holding State-Owned Plantation), where shares of the Company previously 100% owned by the State, be trans- ferred 90% to PTPN III as the Holding State-Owned Plantation. Thus, the status of the current Company is a subsidiary of the Holding State- Owned Enterprises Plantations
The articles of Association of the company are made in front of a notary Harun Kamil through Letter No. C2-8333H.T.01. in 1996, and have been announced in the State News Republic Indonesia (RI) No. 80 on 4 October 1996, and an additional of RI State News number 8565/1996.
The Company’s Articles of Association has been amended several times, most recently by Deed No. 13 dated April 15, 2016 made before Budi Suyono, SH Notary in Pekanbaru and has been approved by the Minister of Law and Human Rights through Let- ter Number: AHU-AH.01.03.0041088 Date April 18, 2016 relat- ing to the Dismissal and Appointment of Members of the Board of Commissioners of PT Perkebunan Nusantara V.
• Line of Business and Business Commodities
As cited in the Articles of Association, with the oil palm and rubber agro-business and agro-industry, the Company’s line of business basically has three main business managements namely:
Managing Nucleus Estate and Mill Managing Plasma Estate/ KKPA
Purchasing FFB from Plasma/KKPA and Third Party around community.
The company commercialize two commodities namely oil palm and rubber. As for the Company’s nucleus plantation covering an area of 92,394.10 hectares consists of 86,353.57 hectares planted area and 6,040.40 non-planted area. Besides managing nucleus plantation, the Company also manages the Plasma Plantation (owned by Plasma Farmer) covering an area of 95,107.78 hectares consist of 72,964 ha plants area and 22,143.78 hectares non plants area. Entirely located in 1 mu- nicipality and 6 regents in the province of Riau.

Dalam penyampaian produknya kepada pelanggan, untuk memperkuat posisi di Pasar serta memperkokoh pemasaran produk sesama PTPN, Perseroan bersama dengan Perusahaan Perkebunan Negara lainnya mengadakan lelang di PT KPBN Ja- karta. Disamping melalui mekanisme pelelangan oleh PT KPBN, Perseroan juga melaksanakan direct selling kepada buyersnya.
In the delivery of products to customers, to strengthen its position in the market and strengthen the marketing product of PTPN , the Company along with other State Owned Compa- ny hold an auction in PT KPBN Jakarta. Besides, through the mechanism of the auction by PT KPBN, the Company is also undertake direct selling to buyersnya.
