the Transaction Advisory Services for Cavite^Laguna

(CALA)

Tollway Project.

The Services include botb of the following:

Tbe main objective is

to

prepare

the

technical,

economic,

and

financial

viability

of

the

project

and

prepare preliminary engineering designs and project

reports.

The

work

will

include: verification and validation

of

results and recommendations of previous studies

to

account

for

recent developments

in

the project e,nvironment;

taffic

forecast and willingness-to-pay analysis; economic costs

and

benefits analysis;

legal

and regulatory

review;

social and

environmental

review;

analysis

of

appropriate Public-Private Partnership (PPP) scheme;

and financial due

diligence.

The consultant shall recommend the most appropriate alignment and PPP scheme

for

the expressway, and the nature and extent of sqpport that

will

be needed from the

govemmenl

The

consultant

shall

also

assist

the

DPWH

.in

prepming and presenting submissions to the

NEDA-Inveshent

Coordination Commiuee (ICC) andthe

Toll

Regulatory Board

(IRB).

Phase

2:

Public-Private Partnership (PPP)-_Biddine and Procurement Process.

The consultant

will

provide the necessary financial, technical, and iegal advisory support

for

the

procuxement

of

a

private

toll

road sponsor and operator (the Concessionaire). The

work

will

include: designing

a

suitable

bidding

process

arising from tlre approved PPP scheme from Phase

l;

preparing a complete set

of

bidding

documents; setting

up bid

evaluation system and

criteria

pursuant to

Government

and

World

Bank

guidelines;

and

assisting

DPWH

in

final negotiations

with

the preferreil bidder, up to contract sigFirlg,

fimncial

close and effectiveness of the conhact. The consultant

will

provide all necessary support to DPWH for the efficient and professional management of the bid.ding process.

DPWH now invites eligible consultants to indicate their interest in providing

ALL

of the services above. Intetested consultants must provide information indicating that they are

qualified

to

perfonn

the

services (brochures, description

of

similar

assisments, e4perience

in

similar

conditionso

availability

of

appropriate

skills amotg

staff,

etc.). Consultants may associate to enhance their qualifications in performing

ALL

of the above services.

At

this stage, no legal agx€ement on any fomr of association is necessary, only a letter

of

intent to

form

a

joint

venture, to subcoutract, or to undertake any other

fonn

of

association would be necessary.

A

consultant

will

be selected _{through Quatiry}and Cost-Base Selection (QcBs)process

in

accordance

with

the procedwes set out

in

the World Bank's Guidelines:,Selectton and
