ARRANGEMENT BETWEEN

REPUBLIC OF INDONESIA AND

CHINA LEATHER AND FOOTWEAR INDUSTRY RESEARCH INSTITUTE (CLFI)

PEOPLE'S REPUBLIC OF CHINA ON

COOPERATION IN THE FIELDS OF LEATHER AND FOOTWEAR INDUSTRY

Whereas the Centre fol Leather, Rubber and Plastic, a subsidiary of the Agency for Industrial Research and Development (BPPI) of the Ministry oi Industry of the Republic of Indonesia, a national center fer research and developing leather, rubber and plastic industry, hereinafter referred to as CLRP;.

Whereas the China .Leather and FootWear Industry Research lllstitute ofthe People's

Republic of China,

a

subsidiary of the China Light Industry (Group) Corporation (CLIG), a

national institute ·in leather and footw.ear industry of China functioning as the center of

information ｾｮ､＠ whose work covering R&D, standard, testing and inspection, as well as

productivity promotion, hereinafter referred to as CLFI;

CLRP and CLFI hereinafter referred to ｡ｾ＠ the Pariies;

REFER.RING to the Trade Agreement between

the

Government ofthe

ｒｾｰＱｊ｢ｬｩ｣＠

of Indonesia

and th€1 Government of the People's Republic of.China, signed in Jakarta on 8 August 1990;

TAKING INTO ACCOUNT the Joint Declaration between the President of the Republic of Indonesia and the President of the People's Republic of China on Strategic Partnership, signed in Jakarta on April 25, 2005; .

REFERRING to the ryloU between the China Light Industry (Group) Corporation (CLIG) of the People's Republic of China and the Agency for Industrial Research and Development

.(BPPI), Ministry of Industry, Republic of Indonesia signed on Jun.e 161h, 2006 in Beijing;

PURSUANT to the prevailing laws and regulations in their respective countries as well as

THEREFORE , 11-,e Parties hereby agree as follows

Article 1

Objective

The objective of this arrangement is to promote cooperation in the fields of leat11er and footwear industries based on the principle of mutual interests and benefits;

Article 2

Scope of Cooperation

The CLRP ts wtlltng to:

Cooperate with CLFI on promoting the enhancement o! mutually beneficial cooperation between leather and footwear industries of the two countries; Cooperate with CLFI on improving Indonesia's technical and managerial capacity in

the fields of leather and footwear industry through, inter alia, introducing and

utilizing suitable China's modern leather and footwear facilities and technologies as one of the references for further research and ceveiopment activities.

CLFi is willing to:

Utilize its research facilities, technologies, lechn\cat and personnel to cooperate

and assist CLRP in developing leather ｾｮ､ ﾷ＠footwear industries in Indonesia in

accordance with the Indonesian industrial policy and 'economic develc:ipment programs;

Transfer technologies arid know-how to CLRP as well as Wcarry out discussion and information exchange cin issues related to the furthera nce of technical cooperation;

Prom.ate lndonesla as one of the investment arid business exp·anslon; as well as

business relocation destinations for Chinese le.ather a.nd ｦｯｯｴｷｾ｡ｲ＠ industries, and

cooperate with relevant Indonesian institutions including the Ministry otlndustry to facilitate the realization of such investment and business expansion/relocation.

Article 3 Executing Agency .

The Parties furth·er agree to initiate cooperation by carrying out a capacity building program

based ori Indonesia's leather and footwear manufacturing and design capabilities iliustrated

in a separate document as the annex of this Arrangement

the Parties will cooperate closely on applying and attaining the approval of utilizing the grant of the Chinese Government to Indonesia within the framework of bilateral economic

Artic le 4

Protection of In tell ectual Property Rights

In accordance wit11 the legislation of their state' thP. Parties shell provide efficient protection and distribution of intellectual property right. including itB ownership and legal use, which are being transferred or created in accordance with this arrangement. The issue or protection and distribution of intellectual property rights including protection of a third party's legitimate rights, taking into full consideration the equitable portion of ownership based on the contribution of the respective participants, shal l be regu lated by Arrangement concluded by organization of the Parties on s)lecific area of cooperation.

Article 5 Settlement of Dispute

Any dispute arising out of the interpretation and/or implementation of this Arrangement shall be settled amicably through negotiations or consultation between the Parties.

Article 6 Amendment

This Arrangement may be ·amended at any time in writing by the mutual consent of the Parties. Such amendment shall form an integral part of this Arrangement.

Article 7

Entry Into Force, Durati.on and Termination

1. This Arrangement shall enter into force on the date of its signing.

2-' This Arrangement shall remain in force for a period of 3 (three) years ahd may be ·extended by mutual consent of the Parties or terminated· at any time by either Parties by giving written notification at lease 6 (six) months prior to the date of the intended termination.

3. The termination of this .Arrangement will not affect the validity and .duration of any on-going Project or adivities until the completion of such project or activities,

iN WITNESS WHEREOF, the undersigned have signed this Arrangement, being duly authorized thereto_ by their respective Governments, have signed this Memorandum of Understanding.

DONE in Beijing on this 11th day of December 2008 in duplicate in English, Chinese arid Indonesian languages. All texts being equally authentic. In case oi divergence of

interpretation, the English text shall prevail.
