Based on the Circular of Bank Indonesia on the implementation of GCG for commercial banks, we hereby report the implementation of GCG and a general conclusion of a self-assessment of GCG implementation in Bank Niaga.

GOVERNANCE STRUCTURE

General Meeting of Shareholders

The General Meeting of Shareholders (GMS) has the authority to appoint and dismiss members of the Board of Commissioners (BoC) and the Board of Directors (BoD), approve changes to the Articles of Association, endorse the Bank’s Annual Report, appoint External Auditors, and determine the amount and type of compensation/remuneration and other facilities for members of the BoC and the BoD.

During the year of 2007, Bank Niaga held one Annual GMS and four Extraordinary GMS. Several important decisions that were made in the meetings were:

1. Approved and received the Company’s Annual Report of 2006, and endorsed the Annual Financial Reports of the Company for 2006 that were audited by the Public Accountant Firm of Haryanto Sahari & Rekan.

2. Determined the Company’s net profit for the 2006 financial year amounting to Rp 647,732,049,546.

3. Approved the Company’s plan to sell all the 104,960 shares held in PT Niaga Aset Manajemen, i.e. 103,950 shares to CIMB-Principal Asset Management Berhad and 1,010 shares to PT Commerce Kapital, with a total transaction value of Rp 41,483,400,000.

4. Approved the appointment of Dato’ Mohd. Adnan Shuaib and Sri Hartina Urip Simeon as the Company’s Independent Commissioners.

Berdasarkan ketentuan Bank Indonesia tentang pelaksanaan GCG bagi bank umum, dengan ini kami sampaikan Laporan Pelaksanaan GCG, yang terdiri dari transparansi pelaksanaan GCG dan kesimpulan umum hasil self-assessment pelaksanaan GCG di Bank Niaga.

STRUKTUR TATA KELOLA PERUSAHAAN

Rapat Umum Pemegang Saham

Rapat Umum Pemegang Saham (RUPS) mempunyai wewenang untuk mengangkat dan memberhentikan anggota Dewan Komisaris and Direksi, menyetujui perubahan Anggaran Dasar, menyetujui Laporan Tahunan Bank, menunjuk Auditor Ekstern dan menentukan jumlah dan jenis kompensasi/remunerasi serta fasilitas-fasilitas lain untuk anggota Dewan Komisaris dan Direksi.

Selama tahun 2007, Bank Niaga mengadakan satu kali RUPS Tahunan dan empat kali RUPS Luar Biasa. Beberapa keputusan penting yang dihasilkan dari rapat-rapat tersebut antara lain:

1. Menyetujui dan menerima baik Laporan Tahunan Perseroan tahun 2006 dan mengesahkan Perhitungan Tahunan Perseroan tahun 2006 yang telah diaudit oleh Kantor Akuntan Publik Haryanto Sahari & Rekan.

2. Menetapkan laba bersih Perseroan tahun buku 2006 sejumlah Rp 647.732.049.546.

3. Menyetujui rencana Perseroan untuk menjual 104.960 saham yang merupakan keseluruhan saham yang dimiliki Perseroan pada PT Niaga Aset Manajemen, yaitu sebanyak 103.950 saham kepada CIMB-Principal Asset Management Berhad dan sebanyak 1.010 saham kepada PT Commerce Kapital, dengan total nilai transaksi sebesar Rp 41.483.400.000.

4. Menyetujui Pengangkatan Dato’ Mohd. Adnan Shuaib dan Sri Hartina Urip Simeon sebagai Komisaris Independen Perseroan.

Laporan Tata Kelola Perusahaan

Dewan Komisaris dan Direksi

Dewan Komisaris dan Direksi berperan sangat penting dalam manajemen Bank. Tugas dan tanggung jawab kedua organ Perseroan tersebut ditetapkan dalam Anggaran Dasar yang merujuk kepada Undang-undang Perseroan Terbatas, ketentuan dari Bank Indonesia, Badan Pengawas Pasar Modal dan Lembaga Keuangan (Bapepam-LK).

Secara khusus, sejak tahun 2006 Perseroan telah membuat Tata Tertib Dewan Komisaris dan Direksi untuk melengkapi kebijakan corporate governance yang ada. Pada tahun 2007 Perseroan juga telah melakukan revisi terhadap Tata Tertib tersebut khususnya pada bagian kebijakan investasi.

DEWAN KOMISARIS

Tugas dan Tanggung Jawab Dewan Komisaris

Sebagaimana disebutkan Anggaran Dasar Bank Niaga, Dewan Komisaris bertugas mengawasi Direksi dalam menjalankan Bank, dan memberi masukan kepada Direksi serta melaksanakan tugas- tugas lain sebagaimana disebutkan dalam Anggaran Dasar dan yang telah ditentukan oleh RUPS. Dalam melaksanakan tugas- tugasnya, Dewan Komisaris dibantu oleh Komite Audit, Komite Pemantau Risiko, dan Komite Remunerasi dan Nominasi.

Kebijakan intern Bank Niaga mengenai GCG tentang tugas dan tanggung jawab Dewan Komisaris adalah sebagai berikut:

1. Dewan Komisaris bertanggung jawab untuk memastikan penerapan praktek GCG dalam setiap aktivitas usaha pada setiap tingkat organisasi di Bank Niaga.

2. Dewan Komisaris bertanggung jawab untuk menjalankan fungsi pengawasan pada penerapan tugas dan tanggung jawab Direksi dan memberi nasihat kepada Direksi.

3. Dalam melaksanakan pengawasan, Dewan Komisaris memberi petunjuk, memantau dan mengevaluasi penerapan kebijakan strategis Bank.

4. Dewan Komisaris dilarang melakukan keputusan operasional di Bank Niaga, kecuali:

• dalam rangka penyediaan dana kepada pihak-pihak terkait yang ditentukan dalam Peraturan Bank Indonesia tentang Batas Maksimum Pemberian Kredit; dan

• hal-hal lain sebagaimana ditentukan di Anggaran Dasar atau peraturan-peraturan yang berlaku.

Board of Commissioners and Board of Directors

The BoC and the BoD play a crucial role in the management of the Bank. The duties and responsibilities of both Boards are principally stipulated in the Articles of Association which comply with the Company Law, Bank Indonesia and Badan Pengawas Pasar Modal dan Lembaga Keuangan (Bapepam-LK).

Especially since 2006, the Bank has established a Code of Ethics for the Board of Commissioners and the Board of Directors to enhance the existing policy of corporate governance. In 2007, the Company made several adjustments to the Code of Ethics, especially on investment policy.

BOARD OF COMMISSIONERS

Duties and Responsibilities of the Board of Commissioners As stipulated in Bank Niaga’s Articles of Association, the BoC provides oversight on the BoD in managing Bank Niaga and gives advice to the BoD, and performs other duties as specified in the Articles of Association and as decided by the GMS. In performing the duties, the BoC is assisted by the Audit Committee, the Risk Monitoring Committee and the Remuneration and Nomination Committee.

Bank Niaga’s internal policies concerning GCG spell out the BoC’s duties and responsibilities as follows:

1. The BoC is responsible for ensuring the implementation of GCG practices in every business activity at every level of organisation in Bank Niaga.

2. The BoC is responsible for performing oversight functions on the implementation of the BoD’s duties and responsibilities and for providing advice to the BoD.

3. In performing its oversight duties, the BoC must provide guidance, monitor and evaluate the implementation of the Bank’s strategic policies.

4. The BoC is prohibited from making any operational decision within Bank Niaga except on:

• loans granted to related parties specified in Bank Indonesia’s Regulation on Legal Lending Limit; and

• other matters as specified in the Bank’s Articles of Association or the prevailing regulations.

5. Keputusan-keputusan yang dilakukan oleh Dewan Komisaris tidak melepaskan Direksi dari tanggung jawab manajemen Bank Niaga.

6. Dewan Komisaris wajib memastikan bahwa Direksi telah menindak-lanjuti temuan audit dan rekomendasi yang diberikan oleh fungsi Audit Intern, Auditor Ekstern, hasil pengawasan Bank Indonesia, serta badan-badan yang berwenang lainnya.

7. Dewan Komisaris wajib memberitahukan kepada Bank Indonesia paling lambat 7 (tujuh) hari kerja sejak ditemukannya:

• pelanggaran peraturan perundangan di bidang keuangan dan perbankan; dan

• keadaan atau perkiraan keadaan yang dapat membahayakan kelangsungan usaha Perseroan.

8. Dalam melaksanakan tugas-tugas pengawasannya, Dewan Komisaris wajib membentuk:

• Komite Audit

• Komite Pemantau Risiko

• Komite Remunerasi dan Nominasi

9. Dewan Komisaris membuat Piagam Kerja yang memuat:

• pengaturan etika kerja;

• waktu kerja; dan

• pengaturan rapat, paling sedikit mencakup pedoman tentang agenda, korum, proses pengambil keputusan, hak- hak anggota, perbedaan pendapat, dan notulen rapat.

10. Dewan Komisaris harus mengalokasikan waktu yang cukup untuk melaksanakan tugas dan tanggung jawabnya secara optimal.

11. Dewan Komisaris harus menindaklanjuti hasil dan rekomendasi audit, khususnya dalam hal pelanggaran terhadap peraturan yang berlaku, anggaran dasar, prudential banking, serta visi, misi, dan strategi Perseroan.

12. Dewan Komisaris juga mengevaluasi pelaksanaan kinerja Direksi secara individu atau sebagai tim.

13. Dewan Komisaris melakukan self assessment secara berkala untuk mengukur efektivitas pengawasannya.

Pengawasan dan Rekomendasi Dewan Komisaris

Selama tahun 2007, Dewan Komisaris melakukan pengawasan terhadap:

1. Pencapaian target Visi 2010, khususnya pencapaian target dan kualitas dari Kredit Pemilikan Rumah, bisnis menengah dan nasabah kelas menengah ke atas.

5. Decisions made by the Board of Commissioners do not discharge the Board of Directors from the management responsibilities of Bank Niaga.

6. The Board of Commissioners ensures that the Board of Directors follows up any audit finding and recommendation submitted by the Internal Audit function, the External Auditor, monitoring results from Bank Indonesia, and other regulatory bodies.

7. The BoC shall inform Bank Indonesia within 7 (seven) working days after the findings of:

• any violation against the finance and banking laws and regulations; and

• conditions or anticipated conditions that may endanger Bank Niaga as a going concern.

8. To perform its oversight duties, the BoC is charged to establish:

• The Audit Committee

• The Risk Monitoring Committee

• The Remuneration and Nomination Committee 9. The BoC shall establish a Charter that specifies:

• work ethics arrangements;

• work schedule; and

• meeting arrangements, at a minimum covering guidelines on agenda, quorum, decision-making processes, members’

rights, dissenting opinions, and minutes of meetings.

10. The Board of Commissioners shall allocate adequate time to optimally perform its duties and responsibilities.

11. The Board of Commissioners shall follow up on any audit result and recommendation, especially in cases with violations against the prevailing regulations, articles of association, prudent banking practices as well as the Company’s vision, mission, and strategy.

12. The Board of Commissioners also evaluates the Board of Directors’ performance as an individual or as a team.

13. The Board of Commissioners shall conduct a regular self- assessment to measure the effectiveness of its supervision.

Reviews and Recommendations from the BoC

During 2007, the Board of Commissioners has conducted supervision on:

1. Monitoring the attainment of Vision 2010, particularly in mortgage, mass affluent and middle commercial segments.

2. Menjaga kualitas aktiva produktif dengan memantau secara ketat perkembangan dari:

Non Performing Loan (NPL)

Loan concentration

Write-off dan kecukupan PPAP

3. Kebijakan kepegawaian dan program pelatihan dengan menitikberatkan pada:

• kebijakan kepegawaian dan penerapannya;

• program pelatihan / talent management program;

• internalisasi standar etika; dan

• pembekalan para supervisor dalam menjalankan tugasnya.

4. Kehandalan dari operasi dan teknologi informasi dengan memantau secara ketat mengenai:

• kecukupan dan kehandalan sistem pengendalian intern;

• kebenaran atas data dan sistem pelaporan;

• terjaminnya kontinuitas usaha melalui penyediaan teknologi informasi;

• program Zero Defect; dan

• proyek-proyek teknologi informasi yang belum memberikan hasil yang optimal seperti PMS dan SPEKTA.

Dari pengawasan yang dilakukan tersebut di atas, Dewan Komisaris memberikan rekomendasi agar di tahun 2008 Manajemen berfokus pada:

1. Human Resources Management dan Learning Management, khususnya mengenai:

• Remunerasi dan program insentif

• Program retensi

• Rencana suksesi

• Jenjang karir

• Produktivitas staf

• Iklim kerja

• Program Pendidikan Eksekutif

• Pelatihan dan Talent Management Program

2. Maintaining an earning asset quality through tight monitoring on the development of:

• Non Current Loan (NCL)

• Non Performing Loan (NPL)

• Loan concentration

• Write-off and mandatory provision

3. Human Resources policy and training programmes focusing on:

• human resources policy and its implementation;

• training programmes / talent management programmes;

• internalisation of the code of conduct; and

• preparation for supervisors in performing duties.

4. Reliability of operation and information technology in strict monitoring of:

• sufficiency and reliability of internal control system;

• accuracy of data and reporting system;

• assurance of business sustainability through information and technology;

• Zero Defect programme; and

• information technology projects that have not given an optimal result, such as PMS and SPEKTA.

Based on above reviews conducted, the Board of Commissioners recommended the following for implementation in 2008:

1. Human Resources Management and Learning Management, particularly in:

• Remuneration and incentive programme

• Retention programme

• Succession plan

• Career path

• Staff productivity

• Climate survey

• Executive Development Programme

• Training and Talent Management Programme

2. Memantau secara ketat kualitas aktiva produktif pada:

Non Current Loan (NCL)

• Kredit bermasalah (NPL)

Recovery rate

• Agunan yang diambil-alih (AYDA)

Loan concentration

• Proses pemberian kredit

Write-off dan kecukupan cadangan penghapusan pinjaman

3. Pengelolaan neraca Perseroan, khususnya mengenai:

loan to deposit ratio

• struktur dana termasuk dana murah

gap analysis

• posisi devisa netto

Struktur, Komposisi dan Independensi Dewan Komisaris RUPS Tahunan pada tanggal 19 April 2007 telah membuat perubahan yang signifikan pada komposisi Dewan Komisaris, dimana jumlah anggota Dewan Komisaris dikurangi menjadi 4 orang dari sebelumnya 8 orang.

Dari ke empat anggota Dewan Komisaris yang diangkat, tiga anggota dipertahankan, yaitu Dato’ Mohd. Shukri Hussin yang mengisi posisi baru sebagai Presiden Komisaris, Sigid Moerkardjono sebagai Wakil Presiden Komisaris merangkap Komisaris Independen, serta Dato’ Halim Muhamat sebagai Komisaris. Sementara itu anggota Dewan Komisaris yang baru yaitu Dato’ Mohd. Adnan Shuaib diangkat sebagai Komisaris Independen.

Dalam RUPS Luar Biasa pada tanggal 4 September 2007, Perseroan menyetujui pengangkatan Sri Hartina Urip Simeon sebagai Komisaris Independen. Sehingga per 31 Desember 2007, komposisi Dewan Komisaris adalah 1 (satu) Presiden Komisaris, 1 (satu) Wakil Presiden Komisaris merangkap Komisaris Independen, 2 (dua) Komisaris Independen, dan 1 (satu) Komisaris.

Dari kelima anggota Dewan Komisaris tersebut, 2 orang Warga Negara Indonesia dan berdomisili di Indonesia sedangkan 3 orang lainnya Warga Negara Asing dan berdomisili di Malaysia.

Dari penjelasan di atas dapat ditambahkan informasi bahwa per 31 Desember 2007:

Structure, Composition and Independence of the Board Commissioners

The Bank’s Annual GMS held on April 19, 2007 made significant changes to the composition of Board of Commissioners, whereby members of the BoC were reduced from 8 members to 4 members.

Out of four members of the BoC, three members were retained, Dato’ Mohd. Shukri Hussin became the President Commissioner, Sigid Moerkardjono as the Vice President Commissioner and also serving as an Independent Commissioner, and Dato’ Halim Muhamat as a Commissioner, while Dato’ Mohd. Adnan Shuaib was newly appointed as an Independent Commissioner.

At the Bank’s Extraordinary GMS on 4 September 2007, Sri Hartina Urip Simeon was appointed as an Independent Commissioner.

Thus, as at 31 December 2007 the composition of the Board of Commissioners consists of 1 (one) President Commissioner, 1 (one) Vice President Commissioner and Independent Commissioner, 2 (two) Independent- Commissioners, and 1 (one) Commissioner.

From those five members of the Board of Commissioners, 2 members are Indonesian Citizens and are domiciled in Indonesia, whereas 3 members are foreigners and are domiciled in Malaysia.

From the previous explanations, more information can be added as at 31 December 2007:

1. Jumlah anggota Dewan Komisaris adalah 5 (lima) orang, jumlah tersebut lebih sedikit daripada jumlah anggota Direksi Perseroan; 2 (dua) orang anggota Dewan Komisaris berdomisili di Indonesia serta 60% dari jumlah anggota Dewan Komisaris adalah Komisaris Independen.

2. Sebelum diputuskan dalam RUPS, penggantian dan pengangkatan anggota Dewan Komisaris telah memperhatikan rekomendasi dari Komite Remunerasi dan Nominasi.

3. Setiap anggota Dewan Komisaris tidak memiliki hubungan keluarga sampai dengan derajat kedua dengan anggota Dewan Komisaris lainnya dan/atau anggota Direksi.

4. Anggota Dewan Komisaris telah memenuhi jumlah, komposisi, kriteria dan independensi sesuai ketentuan Bank Indonesia.

5. Komisaris Independen Perseroan telah memenuhi kriteria independensi dari Peraturan Bapepam-LK.

Rapat Dewan Komisaris

Dewan Komisaris mengadakan rapat sekali dalam sebulan. Dewan Komisaris juga melakukan rapat gabungan Dewan Komisaris- Direksi sekali dalam sebulan untuk membicarakan perkembangan umum Bank. Selama periode 1 Januari sampai 31 Desember 2007, dilakukan 13 rapat Dewan Komisaris dan 13 rapat gabungan Dewan Komisaris-Direksi.

Tabel di bawah ini menjelaskan secara rinci kehadiran dari masing- masing anggota Dewan Komisaris dalam rapat.

1. The number of members of the Board of Commissioners is 5 (five) persons. Members of the BoC is less than members of the BoD of the Company; 2 (two) members of the BoC are domiciled in Indonesia, and 60% of members of the BoC are Independent Commissioners.

2. Substitution and appointment of members of the Board of Commissioners have paid attention to a recommendation from the Remuneration and Nomination Committee.

3. Each member of the BoC does not have family relationship up to the second degree with the members of the BoC and/or members of the BoD.

4. Members of the BoC have complied with Bank Indonesia’s policy on number, composition, criteria, and independency.

5. The Bank’s Independent Commissioners have met criteria of independency from Bapepam-LK’s regulation.

Meeting of the Board of Commissioners

The Board of Commissioners meets once every month. The Board of Commissioners also convenes a Joint Board of Commissioners and Board of Directors’ Meeting once every month to discuss the general progress of the Bank. From 1 January to 31 December 2007, there were in total 13 BoC Meetings and 13 Joint BoC-BoD Meetings.

Lokasi Rapat

Selama tahun 2007, Dewan Komisaris melakukan 13 kali rapat Dewan Komisaris, dimana 11 kali rapat diadakan di Jakarta, 1 kali di Surabaya dan 1 kali di Bandung.

Dari penjelasan di atas dapat ditambahkan informasi bahwa per 31 Desember 2007:

1. Seluruh anggota Dewan Komisaris telah memenuhi ketentuan Bank Indonesia dan Tata Tertib Dewan Komisaris mengenai minimum kehadiran dari total rapat yang diselenggarakan.

2. Keputusan dalam setiap rapat Dewan Komisaris dan rapat-rapat Komite di tingkat Dewan Komisaris dilakukan berdasarkan musyawarah mufakat.

3. Keputusan yang dihasilkan tersebut kemudian dituangkan dalam Risalah Rapat dan didokumentasikan dengan baik.

Meeting Location

During 2007 the Board of Commissioners held 13 meetings, of which 11 meetings were held in Jakarta, 1 meeting in Surabaya and 1 meeting in Bandung.

From an explanation above, more information can be added as at 31 December 2007:

1. All members of the Board of Commissioners have met the stipulation of Bank Indonesia and the Code of Ethics of the Board of Commissioners concerning the minimum presence of the total meetings that are held.

2. Decisions in every meeting at the Board of Commissioners and meeting of Committees in commissioner’s level were held based on consensus agreement.

3. The final decisions made, then will be summarised in the properly documented minutes of the meetings.

Penjelasan :

1. Total remunerasi yang dibayarkan kepada Dewan Komisaris yang menjabat di sepanjang tahun 2007 termasuk tantiem untuk tahun buku 2006. Total remunerasi dibayarkan kepada 10 orang anggota Dewan Komisaris (termasuk anggota Dewan Komisaris yang habis masa jabatannya)
