The Kiwanis International Foundation report was presented by Trustee Raymond W. Allen and is attached as “Exhibit 4.” It was proposed by Trustee DeLorenzo and supported by Trustee Tanjuakio that Kiwanis International authorize an Asia-Pacific mission from April 18 to May 2, 1985.

ARTICLE III - POWERS

All policies and actions of Circle K International are subject to the control and regulation of the Board of Directors of Kiwanis International.

ARTICLE VI- CLUBS

Any person who has performed any distinguished public service and who has not been a member of the club for a period of one (1) year can be elected an honorary member of the club. If permitted by state, provincial or national law, a Circle K Club after obtaining its charter may be incorporated as a non-profit corporation subject to the approval of the Circle K International Board of Officers, but only under the name set forth in its Charter . , such as "Circle K Club of ______ University", and said club will subscribe,.

ARTICLE VII - DISTRICTS

Each district 1 shall hold an annual convention, prior to the first weekend in May, the exact time and place of which 1 shall be determined by the District K Board of Officers and the District K Kiwanis Administrator. Each District K District shall, through its annual convention, adopt the Standard Form of District Bylaws, modified only as approved by the Kiwanis District Board of Trustees, the District K International Board of Officers, and the District K International Administrator.1 . If permitted by state, provincial or national law, a district after having received a Charter of Organization may incorporate under the name given in said Charter of Organization and such district shall agree, as a condition of incorporation, that it shall be a body corporate, comply with the by-laws of the district then in force and subsequently amended.

ARTICLE VIII - OFFICERS

The Administrator of the K International Circle shall be appointed by the Secretary of Kiwanis International, who · shall have the power to fix the Administrator's salary and to appoint and fix the compensation of such other administrative officers as he may deem necessary. The Kiwanis International Secretary shall also have the power to remove from office any person so appointed, including the K International District Administrator. All officers, except the Circle K International Trustee, shall serve without compensation and shall not accept any reemployment by Circle K International, Kiwanis International or any district.

The District Governors shall be elected at their respective District Conventions in the manner prescribed.

The Circle K International Kiwanis Advisor shall be the official representative of Kiwanis International at all meetings of the Circle K International Board of Officers, at all meetings of Circle K. He shall be a member of the Kiwanis International Board of Trustees, appointed to served as Advisor to the President of Kiwanis International. He shall also perform such other duties as may be assigned by the President or the Board of Trustees of Kiwanis International.

ARTICLE XII - CONVENTIONS

The International Advisor serves as an advisor to the Circle K International Board of Directors and as a liaison between the Board of Directors and the Kiwanis International Board of Directors. Assists the Board of Directors in studies and discussions to the extent permitted by Kiwanis International policies and Kiwanis International Board of Trustees directives.·. The official members of the Circle K International Council, as provided in Article X, Section 1 of this Constitution, and the immediate past governors of all districts still members of the Circle K Club, shall be authorized delegates to all Circle K International Conventions.

ARTICLE XIII - COMMITTEES

Each certified voting delegate and voting delegate at large present at a Circle K International Convention shall be entitled to vote on any question presented at that Convention.

ARTICLE XVII - BYLAWS AND AMENDMENTS TO BYLAWS

Board of Directors of Circle K International or the Board of Directors of Kiwanis International, pursuant to the provisions of Section 2 of Article IV. Each club will adopt the standard form for club bylaws, which may be amended only as approved by the Circle K International Board of Directors. All such changes must be in accordance with the Articles of Incorporation and Bylaws of this organization and will not become effective until submitted to and approved by the Circle K International Board of Directors.

Any lottery, sweepstakes, raffle or game of chance so approved may not violate any laws, morals, customs or traditions of the country, state or province in which the Circle K Club exists. An active member of a chartered club shall pay annual membership fees and is entitled to all privileges of the club. Membership in a Circle K Club will automatically terminate on September 30 of the same calendar year following graduation, or when a member fails to meet scholastic or character requirements.

ARTICLE III - CLUB STRUCTURE

The structure of the standing committee and the duties of these committees will be prescribed in the club's statutes. The well-being and strength of ·the Circle K Club shall be the responsibility of the sponsoring Kiwanis Club. The chairman of the Kiwanis Circle K Committee will serve as Circle K advisor and will be responsible to the Kiwanis Club for all Circle K activities.

Any member club may withdraw from this organization provided that all financial and other obligations of such club to this organization and its sponsoring Kiwanis club have been satisfied and that the corporation, if formed, has been duly dissolved and, after the decision to withdraw, has been made and approved by a three-fourths (3/4) vote of the active membership of such club, this resolution must 11 be certified by the secretary of c 1 u b to the administrator of Circle K International. The Board of Directors may, upon written application by such club, readmit the club to membership in Circle K International. Any Circle K Club whose membership in Circle K International has been terminated in any way shall forfeit all interest in any funds or other property belonging to Circle K International or its districts and the right to use the name, emblem or other marks thereof organization.

The District Editor may be elected or appointed, as prescribed. in the by-laws of the district. The standing committees of the district and the duties of the standing committees shall be defined in the by-laws of the district. Violations of convention rules will be adjudicated by the District K Board of Officers, on the advice of the District K District Administrator.

SECRETARY: The Secretary attends Circle K International's annual convention and meetings of the Board of Directors, the Board of Directors' Executive Committee, and the International Council. Circle K funds will be disbursed as directed by the Board of Directors with the approval of Circle K International and/or Kiwanis' advisor. The accounts and books of the Treasurer shall be open at all times to the inspection of the Board of Directors of Circle K International, the Board of Directors of Kiwanis International and any auditors appointed by the Board of Directors of Kiwanis International.

ARTICLE VII - BOARD OF OFFICERS

Any matter shall be voted on by convocation ·. the board of directors roll tallied by the trustee of Circle K International, who immediately announces the result of the vote and saves the tally sheet to be prepared at the next board meeting. Otherwise, the conference call is not validly convened and the actions taken during the conference are null and void. Seven (7) members of the board of directors, excluding ex-officio members, constitute a quorum for the business of all transactions, except in the case where a larger number of votes is required in accordance with the constitution or these rules.

ARTICLE VIII - CONVENTIONS

The convention program will include worthwhile assemblies with addresses by prominent Kiwanis and Circle K members and other outstanding persons, Circle K training conferences and general convention business such as election of officers. At the request of the Board of Directors, the Trustee of Circle K International will mail. Voting delegates and alternate voting delegates to the International Convention shall be elected by clubs in good standing no later than ninety (90) days prior to the commencement of the convention.

First, the presidential election is completed and the results are announced to the House of Delegates. The candidate for the office of president who receives the largest number of votes cast for that office is elected. In the election of International Vice Presidents, nine (9) candidates for the position of Vice President who receive the highest number of votes cast for the position will be elected.

The election committee shall immediately report to the convention the results of the vote, and the report shall be signed by a majority of the committee. Any such removal shall be effective only on and from the date of approval by the Kiwanis International Board of Trustees. The administrative year of Circle K International begins on the day following the close of the annual international convention and ends on the last day of the next annual convention.

ARTICLE XII - COMMITTEES

ARTICLE XIII - OFFICIAL PUBLICATION

The committee shall have the responsibility of maintaining the history and archives of Circle K International. The Themes and Emphasis Program Committee shall be responsible for the development of the International Themes and Emphasis Program, either Phase I or Phase II as appropriate in each administrative year, making recommendations in this regard to the District K International Board of Officers. Special committees shall report as directed to the President and, if requested, to the Board of Officers of Circle K International.

ARTICLE XVI - PARLIMENTARY AUTHORITY

The subscription price of the official publication of Circle K International will be determined by the Board of Officers of Circle K International and is payable together with the annual fees. Each Circle K Club must pay for each of its members the subscription price of the official publication as part of the regular membership fee.

ARTICLE XIV - FINANCE, ACCOUNTING, AND AUDITING

REPORT OF THE BOARD COMMITTEE ON THE SERVICES OF MEMBERS AT THE MEETING OF THE INTERNATIONAL CARE BOARD. The Committee recommends that the charters of the 74 clubs listed in the Exhibition. of this report be revoked. It is the opinion of the Commission that this program can have long lasting effects on the retention of our members.

REPORT OF COUNCIL COMMITTEE ON ADMINISTRATION AND INTERNATIONAL EXPANSION TO THE MEETING OF THE INTERNATIONAL BOARD OF TRUSTEES. The Committee recommends that staff inquire with the officers concerned at the beginning of each year whether each prefers compensation.
