PENYEDIAAN DANA BESAR

Bank Dinar memiliki kebijakan mengenai penyediaan dana kepada pihak terkait dan penyediaan dana besar telah ditetapkan

Internal Audit Unit Structure and Positions Internal Audit Structure and Position directed and responsible to President Director, but to run monitoring function able to communicate to Board of Commissioners directly or through Audit Committee to inform many thing related to audit implementation.

5.1.1.9.3 EXTERNAL AUDIT FUNCTION IMPLEMENTATION

To fulill External Audit Function Implementation accordance to OJK Regulation No.32/ POJK.03/2016 about transparency and Publication of Bank Report and also OJK Circular Letter No.43/SEOJK.03/2016 about Transparency and Publication Conventional Bank Financial Report, so:

a. Bank Dinar Financial Report had been audited by independent, competent, professional and objective Public Accounting.

b. Public Accounting appointed by Bank Dinar was audit accordance to professional standard, work agreement, and audit work scope.

c. Based on Annual General Meeting of Stake Holder, Public Accounting Ofice appointed done by Board of Commissioners with recommendation from Audit Committee.

d. Appointed Public Accounting Ofice done

accordance to several regulations:

5.1.1.10 FUND PROVIDING TO RELATEDPARTY AND LARGE EXPOSURE

Bank Dinar have policy about providing fund to the related party andlarge exposure that had been set by internal regulations that set the amount of

maximum fund to the each group through Board of Directors Resolutions and also accordance to banking authority about Legal Lending Limit (BMPK) and by paying attention to prudence or legitimate Laws. This was proven by the annual report to Financial Service Authority never been violated or lending the excess of the fund either to the related party or non related party as in 2015 annual report.

Total of providing fund to the related party or core debtor in 31st December 2016 was:

5.1.1.11 STRATEGIC PLAN

To face the global economic competition, including banking competition in Indonesiai, Bank Dinar needs to continously reviewing its bussines strategic, short term or long term. Also, not stuck in disadvantage condition. Therefore, Bank Dinar already arrange long and mid term plan in strategic plan and short term in Bank Business Plan (RBB). Bank Dinar strategic plan was arranged in line with the vision “Becoming Bank that gave the best and the fastest services in developing small and medium business” and mission “Enhance service, comfort and product and also optimize corporate sources”. Arranging strategic plan based on discussion result with the stake holder especially related to the capital. In arranging plan, management will don comprehensive review by paying attention to business prospect and the corporate strength also identiied corporate weakness and threat or SWOT analysis. Including the unlimited time to the external factor analyze.

ketentuan intern yang mengatur jumlah penyediaan dana maksimal kepada masing- masing kelompok tersebut melalui Surat Keputusan Direksi dan juga berpedoman pada ketentuan Bank Indonesia tentang Batas Maksimum Pemberian kredit Bank, serta memperhatikan prinsip kehati- hatian maupun perundang-undangan yang berlaku. Hal ini terbukti dari laporan secara berkala kepada Bank Indonesia tidak pernah terjadi pelanggaran maupun pelampauan penyediaan dana baik kepada Pihak tidak terkait maupun pihak terkait selama periode Laporan Tahun 2016.

Total penyediaan dana kepada pihak terkait dan penyediaan dana kepada debitur inti per posisi 31 Desember 2016 adalah sebagaimana dijelaskan pada tabel berikut.

5.1.1.11 RENCANA STRATEGIS

Dalam menghadapi persaingan ekonomi global, termasuk persaingan perbankan ditingkat nasional, Bank Dinar harus senantiasa mengkaji strategi bisnisnya, baik jangka pendek, menengah dan jangka panjangnya. Serta, tidak terjebak pada situasi yang merugikan bagi pertumbuhan Perseroan. Sehubungan dengan hal tersebut, Bank Dinar telah menyusun rencana jangka panjang dan jangka menengah yang dituangkan dalam rencana strategis serta rencana jangka pendek yang dituangkan dalam Rencana Bisnis Bank (RBB).

Rencana strategis Bank Dinar disusun dengan visinya yaitu “Menjadi Bank yang memberikan layanan tercepat dan terbaik dalam pengembangan usaha perdagangan kecil dan menengah” dengan misi “Meningkatkan Pelayanan, Kenyamanan dan Produk, serta Optimalisasi Sumber Daya

5.1.1.12 TRANSPARENCY IN FINANCIAL OR NON FINANCIAL

Bank Dinar inancial condition information will always communicated to the stake holder by making annual report presented in corporate website and periodically published in mass media that have a greater coverage. The report was presented as part of Bank Dinar transparency of inancial condition to the third party. The report were:

a. Annual report including:

1) Financial data summary including stock summary, Board of Commissioners report, Board of Director report, corporate proile, analyst, management discussion, good corporate governance.

2) Annual inancial report that had been audited by public accounting ofice listed in Financial Service Authority. Bank Dinar inancial report for 1 (one) year and compared it to previous year condition.

b. Quarter Financial Report

Bank Dinar had announced Quarter Publication Financial Report signed by 2 (two) Bank Dinar Directors and published in 1 (one) mass media with national coverage.

c. Monthly Financial Report

Bank Dinar already announced Monthly Financial Report in form of Monthly Public Bank

Perseroan”. Penyusunan rencana strategis bank didasarkan pada hasil komunikasi dengan Pemegang Saham, khususnya terkait kepada dukungan permodalan atas rencana yang disusun. Dalam penyusunan rencana tersebut manajemen melakukan kajian yang komprehensif dengan memperhatikan peluang bisnis dan kekuatan yang dimiliki Perseroan serta mengidentiiasikan kelemahan dan ancaman (SWOT Analysis), termasuk namun tidak terbatas pada analisis perkembangan faktor eksternal.

5.1.1.12 TRANSPARANSI KONDISI KEUANGAN DAN NON KEUANGAN

Informasi kondisi keuangan Bank Dinar senantiasa dikomunikasikan dengan para

stakeholders dengan membuat laporan secara

rutin yang dimuat dalam website Perseroan, dan secara berkala dipublikasikan melalui media masa yang mempunyai peredaran luas. Laporan tersebut disampaikan sebagai wujud transparansi kondisi keuangan Bank Dinar kepada pihak ketiga, adapun laporannya berupa:

a. Laporan Tahunan antara lain mencakup : 1) Ikhtisar data keuangan termasuk

ikhtisar saham, laporan Dewan Komisaris, Laporan Direksi, proil perusahaan, analisis dan pembahasan manajemen, tata kelola bank.

2) Laporan keuangan tahunan yang telah diaudit oleh Akuntan Publik dan Kantor Akuntan Publik yang terdaftar di Otoritas jasa Keuangan. Laporan Keuangan Tahunan dibuat untuk 1 (satu) Tahun Buku dan disajikan dengan perbandingan 1 (satu) tahun buku sebelumnya.

b. Laporan Keuangan Publikasi Triwulan Bank Dinar telah mengumumkan Laporan Keuangan Publikasi secara triwulan yang ditandatangani oleh 2 (dua) Direksi Bank Dinar, dan telah diumumkan di 1(satu) surat kabar nasional yang mempunyai peredaran luas.

c. Laporan Keuangan Bulanan

Bank Dinar menyampaikan Laporan Keuangan Bulanan dalam format laporan

Report (LBU) accordance to Bank Indonesia regulation and in Bank Dinar website (www. bankdinar.co.id).

Non Financial Condition Transparency

Bank Dinar had applied product information transparency and personal data usage, customer complaints procedure and customer dispute settlement through written announcement put in easy access place like counter or banking hall and make brochure about that to be distributed to the customer.

5.1.1.13 OTHER INFORMATION RELATED TO THE GCG

The implementation of Good Corporate Governance (GCG) in Bank Dinar always applied all the elements in good governance that had been exposed in GCG Report in 2016, so there is nothing to exposed anymore. In 2016, no event or transaction that interfere by the owner and no internal dispute and no problem related to the remuneration policy.

5.1.2 OWNERSHIP OF 5% SHARE OR MORE IN PAY UP CAPITAL AMONG MEMBER BOARD OF COMMISSIONERS OR DIRECTOR One of the shareholders in Bank Dinar is President Commissioners with status as Independent Commissioners with ownership as much as 10.58% and become Controlling Share Holder (PSP) cause his son is also shareholders of Bank Dinar as much as 21.15%. Chief of Commissioners also own share in other company as much as 10% in PT Amara MutiaraTiga. While no one in Board of Director have other share in Bank Dinar or any other bank or inancial or non inancial institution domestic or globally.

Transparansi Kondisi Non Keuangan

Bank Dinar telah menerapkan transparansi informasi produk dan penggunaan data pribadi nasabah, tata cara pengaduan nasabah dan penyelesaian sengketa kepada nasabah dengan membuat pengumuman tertulis yang diletakkan di tempat yang mudah terlihat oleh nasabah (counter teller

dan banking hall) dan membuat brosur

mengenai hal tersebut untuk diberikan kepada nasabah

5.1.1.13 INFORMASI LAIN YANG TERKAIT TATA KELOLA BANK

Praktek penerapan tata kelola di Bank Dinar senantiasa menerapkan seluruh unsur yang ada pada konsep tata kelola usaha yang sehat dan seluruh informasi terkait penerapan Tata Kelola telah diungkap dalam Laporan Tata Kelola tahun 2016, sehingga tidak ada hal-hal lain yang perlu diungkapkan kembali. Selama tahun 2016 tidak ada kejadian atau transaksi yang mendapatkan intevensi dari pemilik dan tidak terdapat perselisihan internal, serta tidak terdapat permasalahan yang timbul karena kebijakan remunerasi.

5.1.2 KEPEMILIKAN SAHAM ANGGOTA DEWAN KOMISARIS DAN
