Pemegang Saham yang Terhormat,
Pada kesempatan yang berbahagia ini, pertama-tama marilah kita panjatkan puji dan syukur kepada Allah SWT, yang telah melimpahkan begitu banyak nikmat-Nya kepada kita semua. Berkat rahmat dan karunia-nikmat-Nya pula Keluarga Besar PTPN VIII telah menyelesaikan seluruh kegiatan usaha PTPN VIII selama tahun 2014 yang penuh dengan tantangan.
Tantangan dan hambatan yang dihadapi perusahaan selama tahun 2014 merupakan gambaran dari situasi ekonomi dunia yang saat ini sebagian besar masih mengalami pelambatan pertumbuhannya. Dampak dari perlambatan ekonomi dunia tersebut mempengaruhi kinerja perusahaan selama tahun 2014 sebagai perusahaan penghasil komoditas.
Kinerja Perusahaan
Sesuai dengan hasil audit Kantor Akuntan Publik Hadori Sugiarto Adi & Rekan menunjukkan bahwa PTPN VIII membukukan laba bersih sebesar Rp6,9 milyar atau 7 % dari target RKAP 2014 dan 6% dibanding pencapaian tahun sebelumnya. Total aset tahun 2014 mencapai Rp3.591 milyar atau meningkat 4 % dibanding tahun 2013. Penurunan kinerja perusahaan selama tahun 2014 tersebut disebabkan oleh prospek pasar komoditi teh saat ini mengalami penurunan, hal ini terkait dengan supply dan demand komoditi teh bulk dipasar dunia serta disebabkan pada saat ini persaingan semakin tinggi karena konsumen/ pembeli dipasar memiliki alternatif penawaran lain yang bersaing dengan produk perusahaan dari negara produsen teh lainnya. Di sisi lain, biaya tetap perusahaan sebagian besar digunakan untuk biaya tenaga kerja yang mencapai jumlah 49.120 orang yang tersebar di kebun-kebun yang berlokasi di Propinsi Jawa Barat dan Propinsi Banten. Dewan Komisaris menilai bahwa dengan memperhatikan kondisi perlambatan ekonomi dunia dan persaingan pasar khususnya untuk komoditi Teh selama tahun 2014, maka Direksi telah melakukan usaha dalam rangka mempertahankan pertumbuhan dan kinerja perusahaan. Kita bersyukur, meski laba perusahaan mengalami penurunan namun dalam tahun 2014 PTPN VIII mampu mencapai posisi tingkat kesehatan: sehat "A'', dengan skor 79,49 atau mengalami penurunan dari tingkat kesehatan tahun 2013 yaitu sehat AA dengan skor 81,34.

On this happy occasion, first of all let us say our praise and gratitude to Allah SWT, who has bestowed His blessings so much to us all. Thanks to His gift and grace, the big family of PTPN VIII had completed all business activities during 2014 which were fully challenging.
Challenges and obstacles faced by the company during the year 2014 is an overview of the current world economic situation which is overall slowed its growth. The impact of the global economic slowdown is affecting the performance of the company during the year 2014 as a producer of commodities.
Company’s Performance
In accordance with the public accounting firm Hadori Sugiarto Adi & Partners Audit result, it shows that PTPN VIII posted a net profit of Rp 6.9 billion or 7% from the targeted 2014 CWPB and 6% compared to the previous year’s achivement. Total assets in 2014 reached Rp 3.591 billion, increased 4% compared to 2013. The decline in the company's performance during 2014 was caused by the prospect of tea commodity market which is currently experiencing a downturn, associated with the supply and demand of tea bulk commodities in the world market, also due to the higher competition for consumers/buyers in the market have other alternatives that compete with companies from other tea producing countries. On the other hand, the company's fixed costs are mostly used for labor costs which amounted to 49.120 people scattered in plantations located in West Java and Banten Province.
The Board of Commissioners considered that taking into consideration of the global economic slowdown and market competition, especially for Tea commodity during 2014, the Board of Directors have made efforts in order to maintain the growth and performance of the company. We are grateful that, despite the company's profit has decreased, but in 2014 PTPN VIII capable of reaching the position of level of health: healthy 'A' ', with a score of 79,49 or decreased from the level of health in 2013 that is “healthy AA” with a score of 81,34.

Pandangan atas Prospek Usaha Perusahaan
PTPN VIII, sebagai satu-satunya BUMN Perkebunan yang wilayah kerjanya tersebar di Propinsi Jawa Barat dan di Propinsi Banten, tentunya mengemban misi khusus untuk perkembangan ekonomi dan sosial-budaya di wilayah ini. Dengan berpedoman pada nilai luhur perusahaan yaitu Walagri Jati Utama yang telah membangkitkan semangat kerja, kesetiaan dan kerelaan berkorban bagi kepentingan perusahaan, serta menjadi perekat soliditas Keluarga Besar PTPN VIII dalam membangun dan memajukan perusahaan, maka selain kinerja dalam pengertian ukuran biasa dari suatu korporasi yang terus-menerus harus kita tingkatkan, juga nilai manfaat atas keberadaan kita kepada masyarakat Jawa Barat dan Banten juga harus menjadi identitas PT Perkebunan Nusantara VIII.
Dewan Komisaris memandang bahwa sesuai dengan visi perusahaan “Menjadi perusahaan agribisnis terkemuka dan terpercaya, mengutamakan kepuasan pelanggan dan kepedulian lingkungan dengan didukung SDM yang professional”, Direksi beserta seluruh jajarannya akan terus untuk melanjutkan upaya penguatan internal, membangun dan mengembangkan kemitraan bisnis/ sosial secara efektif. Langkah-langkah yang akan dilakukan Direksi dengan dukungan seluruh insan perusahaan diharapkan membawa perubahan pada kinerja perusahaan.
Penerapan Good Corporate Governance
Dewan Komisaris akan terus melaksanakan peran dan tugas yang diamanatkan dengan baik serta dilandasi niat tulus bagi kepentingan perusahaan. Untuk itu, melalui kesempatan ini Dewan Komisaris ingin mengajak seluruh Keluarga Besar PTPN VIII untuk melanjutkan/meningkatkan kegiatan usaha yang mengacu pada: disiplin korporasi, “good corporate governance” dan pengurusan perusahaan yang bebas konflik kepentingan serta integritas moral yang tinggi. Dewan Komisaris juga terus memperkuat implementasi tata kelola perusahaan yang baik melalui pendayagunan Komite Audit dan Risiko Usaha secara efektif dan efisien. Dewan Komisaris memandang bahwa komite yang ada telah memberikan dukungan yang baik bagi pelaksanaan tugas pengawasan yang dilakukan Dewan Komisaris. Hasil kerja keras Komite ini diharapkan dapat membantu Dewan Komisaris yang pada gilirannya memberikan nilai manfaat bagi perusahaan secara keseluruhan.
Views over Company's Business Prospects
PTPN VIII, as the only state-owned Plantation Company which spread its territory in the province of West Java and Banten, carrying a specific mission for socio-culture and economic development in that region. By referring to the noble values, namely Walagri Jati Utama that raised employees morale, loyalty and willingness to sacrifice for the good of the company, as well as improved the great family of PT Perkebunan Nusantara VIII solidity in developing and growing the company, the other important thing beside performance which is the common measure of a corporation that we must constantly increase, is the benefits of our existence to the community of West Java and Banten that should be the identity of PT Perkebunan Nusantara VIII.
The Board of Commissioners considered that in accordance with the company's vision "To be a leading and reliable agribusiness company, emphasizing customer satisfaction and environmental awareness which is supported by professional human resources", the Board of Directors and all their staff will continue to efforts to strengthen the internal, construct and develop business/social partnerships effectively. The steps that will be taken by the Board of Directors with the support of all company’s organs are expected to bring a change in the company's performance.
Implementation of Good Corporate Governance The Board of Commissioners will continue to carry out the roles and tasks mandated based on sincere intentions for the benefit of the company. For that, through this opportunity the Board of Commissioners would like to invite the entire Family of PTPN VIII to continue/increase business activity that refers to: corporate discipline, "good corporate governance" and company’s management that is free of conflicts of interest and have a high moral integrity.
The Board of Commissioners also keep on strengthening the implementation of good corporate governance through the Audit and Business Risk Committee’s Empowement effectively and efficiently. The BOC believes that the existing committee has provided good support for the implementation of supervisory duties performed by the BOC. The results of this Committee’s hard work is expected to assist the Board of Commissioners who in turn provide values for the company as a whole.

Agus Pakpahan Komisaris Utama President Commissioner Perubahan Komposisi Kepemilikan Pemegang Saham
Di tahun 2014, terjadi pergantian Dewan Komisaris sesuai dengan Surat Keputusan Menteri Badan Usaha Milik Negara Nomor SK-72/MBU/2014 tanggal 7 April 2014. Dengan surat keputusan tersebut telah diberhentikan dengan hormat Sdr. Revrisond Baswir, dan mengangkat Sdr I Made Putrawan sebagai Komisaris perusahaan. Atas nama Dewan Komisaris, Direksi dan seluruh karyawan, kami mengucapkan terimakasih atas seluruh jasa dan usaha Sdr. Revrisond Baswir selama menjabat sebagai anggota Dewan Komisaris PT Perkebunan Nusantara VIII dan selamat bergabung serta selamat bekerja dalam upaya meningkatkan kinerja perusahaan kepada Sdr. I Made Putrawan.
Dalam tahun 2014 juga telah terjadi komposisi kepemilikan Pemegang Saham searah dengan kebijakan pemerintah yaitu dengan dilakukannya pengalihan 90% kepemilikan Negara pada PTPN VIII kepada PT Perkebunan Nusantara III (Persero). Dewan Komisaris mengharapkan dengan perubahan komposisi kepemilikan Pemegang Saham tersebut akan dapat memicu kinerja perusahaan di masa yang akan datang. Penutup

and Changes in the Composition of Shareholders In 2014, there was a change of the Board of Commissioners member in accordance with the Decree of the Minister of State Owned Enterprises No. SK-72/ MBU/2014 dated April 7, 2014. With the decree, the Shareholders had been honorably discharged Mr. Revrisond Baswir, and appointed Mr. I Made Putrawan as a Company’s Commissioner. On behalf of the Board of Commissioners, Board of Directors and all employees, we thank for all the services and efforts of Mr. Revrisond Baswir while serving as a member of the Board of Commissioners of PT Perkebunan Nusantara VIII and congratulations for joining and to work in an effort to improve the performance of the company to Mr. I Made Putrawan. In the year 2014 has also been a change in the composition of Shareholders in line with the government's policy which is the transfer of 90% state’s ownership in PTPN VIII to PT Perkebunan Nusantara III (Persero). The Board of Commissioners expect the change in Shareholders composition will be able to trigger the performance of the company in the future.

As a final words, we on behalf of the Board of Commissioners would like to thank all the Board of Directors and staffs for maximum efforts made in realizing the targets set out in the Work Plan and Budget 2014.
