pT Astra Otoparts Tbk. (Astra Otoparts) is indonesia’s foremost automotive component company producing components both for Original equipment for Manufacturers (OeM) and Replacement Market (ReM). Astra Otoparts’ customers in the OeM segment include Toyota, daihatsu, isuzu, Mitsubishi, Suzuki, honda, yamaha, kawasaki, and hino. Astra Otoparts has dominated indonesia’s automotive component market that it has become synonymous with high-quality automotive spare parts.

Astra Otoparts’ products do not only meet the ever-growing domestic consumption or demands but are also exported to 49 countries in the Middle east, Asia Oceania, Africa, europe, and the Americas. And to support its overseas sales, Astra Otoparts has established three representative offices in Singapore, dubai, and Australia respectively.

Astra Otoparts has developed vigorously from an unassuming trading company with business interests in automotive industry, machinery assembling, and construction, called pT Alfa delta Motor, into what is now known as Astra Otoparts, which has 6 business units and 27 subsidiaries/affiliated companies, and employs 32,939 people. This achievement is in line with the board of director’s program launched in early 2010 to make Astra Otoparts a 1-Trillion-Rupiah company as a response to challenges in the automotive business, including the ASeAn-china Free Trade Area (AcFTA).

The succeess could not be separated from good corporate goverance (gcg) practices implemented by the company. And the implementation of gcg practices has earned Astra Otoparts several awards, including The indonesian corporate governance Award 2010 as The Trusted company, and indonesia’s Most Admired company (iMAc) 2010 for the fourth consecutive year since 2007. This accomplishment encourages Astra Otoparts to become a world class Auto parts Supplier and partner of choice in indonesia. To support its effort to become a world class automotive player, the company established an engineering development center and adopted an integrated information technology system.

The company currently has joint venture subsidiaries with wellknown component manufacturers from Japan and europe such as Aisin Seiki, Aisin Takaoka, Akebono, daido Steel, denso, dic corporation, gS yuasa, kayaba, keihin, Mahle, nippon gasket, nittan Valve, Toyoda gosei, yazaki, and Aktiebolaget SkF.

Astra Otoparts also shows great concern toward the society and environment through various corporate social responsibility (cSR) programs, by adopting Astra green company (Agc) and Astra Friendly company (AFc) concepts. Through cSR programs, the company provides revolving funds to finance micro and small business in the vicinity, education aid, and donation for victims of natural disasters.

The theme of pT Astra Otoparts Tbk’s annual report this year underlines an important achievement in the company’s existence that is its success to earn net profit of Rp 1.14 trillion. That is what the title “Reaching a new height” or “Mencapai ketinggian Baru” wants to describe. why a “new height?” it is because the Rp 1.14 trillion profit Astra Otoparts earned in 2010 was the first ever in the company’s history.

Aside from favorable domestic and international economic growths in 2010, internal factors within Astra Otoparts group also played a very important role in achieving the net profit. The sub-theme, which consists of two important words “Mind” and “perseverance”, was the soul of the internal factors that made it possible for the company to reach and even surpass the net profit target launched in early 2010. “Mind”, can be explained as thinking ability or intelligence, describes that the 2010 achievement was the outcome of brainpower that always encourages new innovations, breakthroughs, and strategic ideas. “perseverance”, on the other hand, describes more of persistence in working to achieve a target or living ones belief. The persistence comes from the heart determined to pursuing the company’s target tirelessly and resolutely.

So, with the theme “Reaching a new height: Mind and perseverance”, this Annual Report 2010 explains as clear as possible that the company has made a historical achievement and that the achievement was earned through a combination of the thinking ability, heart, and hard work of the Board of directors, management staff, and employees within Astra Otoparts group.

menggarisbawahi pencapaian penting dalam perjalanan perseroan, yakni keberhasilan meraih keuntungan bersih sebesar rp 1,14 triliun. itulah yang digambarkan oleh judul utama “reaching a New height” atau “Mencapai suatu ketinggian baru”. Mengapa “ketinggian baru”? karena keuntungan bersih yang diraih tahun 2010 merupakan yang pertama kali dalam sejarah perseroan.

selain faktor pertumbuhan ekonomi di dalam dan luar negeri yang menunjang di tahun 2010, faktor internal di dalam grup Astra Otoparts juga memiliki peran yang sangat penting dalam pencapaian keuntungan bersih tahun ini. sub-tema yang terdiri dari dua kata penting “Mind” dan “perseverance” merupakan roh dalam faktor internal yang memungkinkan perseroan mencapai dan bahkan melebihi sasaran keuntungan bersih yang dicanangkan. “Mind” yang dalam bahasa

indonesia dapat diterangkan sebagai daya pikir atau akal menggambarkan bahwa pencapaian tahun 2010 merupakan buah dari ketajaman otak yang mendorong munculnya inovasi, terobosan dan gagasan strategis. sedangkan “perseverance” dalam bahasa indonesia lebih menggambarkan suatu

kegigihan dalam bertindak untuk mencapai suatu sasaran, atau mengamalkan suatu keyakinan. kegigihan tersebut berasal dari hati yang sudah menetapkan suatu tekad untuk diwujudkan dalam tindakan yang tak kenal lelah dan tak kenal menyerah. Dengan tema “reaching a New height: Mind and

perseverance”, buku laporan tahunan 2010 ini

menggambarkan sejelas-jelasnya bahwa perseroan telah mencapai suatu prestasi bersejarah, dan prestasi tersebut diraih dengan suatu kombinasi antara daya pikir, hati dan kerja keras tanpa kenal lelah dan pantang menyerah dari seluruh Direksi, jajaran manajemen dan karyawan di grup Astra Otoparts.

year 2010 was indeed a historical period for pT Astra Otoparts Tbk. The company booked net profit of Rp 1.14 trillion in 2010, up by 48.5% compared to previous year. The profit was also the highest in the company’s history.

The company also reaffirmed its status as a prominent automotive component producer in the country. As you may all know, competition in indonesia’s automotive industry grew tighter following the implementation of the ASeAn-china Free Trade (AcFTA) area on January 1, 2010, where import tariffs for some automotive components were scrapped. By recording net profit of Rp 1.14 trillion, Astra Otoparts demonstrated its ability to prosper amid stiffer competition.

The country’s economic condition, which continued to improve throughout 2010, helped the country’s automotive industry in general, and Astra Otoparts in particular. The central Statistics Agency (BpS) reports that indonesia recorded an economic growth of 6.1% in 2010, compared to 5.8% in 2009. The improved economic condition increased people’s purchasing power, including for vehicles. Motorcycles are reported to book sales increase of 26% to 7,372,989 units in 2010, while automobiles sales rose by 57% to 764,710 units.

Model bisnis perdagangan ini mengatur ulang proses bisnis dari Divisi perdagangan yang meliputi pemasaran, penjualan, logistik, dan trade marketing guna memberikan fokus dan perhatian yang lebih besar pada masing-masing bidang sesuai dengan kebutuhan pengembangan bisnis ke depan. langkah ini sangat penting baik untuk mempertahankan maupun untuk mengembangkan pangsa pasar perseroan. Di alam bisnis yang selalu berubah, kita dituntut untuk terus beradaptasi terhadap perubahan. Oleh karena itu Dewan komisaris mendukung keputusan Direksi untuk melakukan perubahan di Divisi perdagangan guna memperkuat kegiatan perdagangan perseroan.

pencapaian 2010 juga tidak terlepas dari konsistensi Direksi untuk menerapkan tata kelola perusahaan yang baik atau

good corporate governance (gCg). perseroan berkeyakinan

bahwa pengelolaan perusahaan yang baik meningkatkan nilai bagi pemegang saham dan pemangku kepentingan lainnya. lebih dari itu, perseroan berkeyakinan bahwa pengelolaan perusahaan yang baik menjamin pertumbuhan perseroan yang berkelanjutan. Oleh karena itu, Dewan komisaris mendukung penerapan prinsip-prinsip gCg dan komitmen penuh dari Direksi untuk mengembangkan budaya perusahaan yang sejalan dengan prinsip-prinsp gCg dan penghayatannya dalam kegiatan dan operasi perusahaan sehari-hari. Dewan komisaris menilai Direksi telah melakukan program tanggung jawab sosial atau corporate social responsibility (Csr) dengan baik. keputusan Direksi untuk melibatkan pemerintah setempat dalam kegiatan pemetaan atas kebutuhan masyarakat, diantaranya melalui pemberian dana bergulir, adalah upaya yang tepat untuk membangun hubungan yang baik dengan masyarakat sekitar dan pemerintah

setempat. selain itu, keberhasilan Astra Otoparts dalam melaksanakan program-program Astra green Company (AgC) dan Astra friendly Company (AfC) menunjukkan komitmen Direksi terhadap lingkungan dan masyarakat.

pada kesempatan ini, Dewan komisaris juga melaporkan pelaksanaan tugas komite Audit telah berjalan dengan baik. hubungan kerja antara komite Audit dan internal Audit, Auditor eksternal serta Direksi juga berjalan dengan baik. keberhasilan tugas komite Audit tercermin dalam semakin sehatnya operasi perseroan seiring dengan berjalannya kegiatan pemantauan, pemitigasian dan pencegahan berbagai risiko, termasuk risiko terkait keuangan dan hukum di Astra Otoparts.

commends Board of directors’ moves to introduce various internal changes, including the launch of a new Trading Business Model to make sure that right products are at the right markets and that the company’s products reach a wider market with faster response time.

The new trading business model restructures business process in trading division, which is in charge of marketing, sales, logistics, and trade marketing to give focus and greater attention to individual areas in line with future business development needs. This move is very important both to maintain and grow the company’s market share. in an ever-changing business atmosphere, we are required to be able to adapt to new changes. That explains why the Board of commissioners fully supports the decision of Board of directors to reform the company’s Trading division to strengthen its trading activities.

The achievement in 2010 was also due to the Board of directors’ consistency in implementing good corporate governance (gcg). The company believes that good corporate governance enhances the company’s value for its shareholders and other stakeholders. More than that, the company is convinced that good corporate governance ensures the company’s sustainable growth. Therefore, the Board of commissioners fully endorses the implementation of good corporate governance principles and the commitment of Board of directors to develop corporate cultures that go in line with gcg principles and their implementation in daily activities and operations of the company.

The Board of commissioners judges that the Board of directors has implemented the company’s corporate social responsibility well. The Board of directors’ decision to engage local governments in mapping out local people’s need, including for the revolving funds program, is necessary to develop good relations with people in the vicinity and local governments. Additionally, Astra Otoparts’ success in implementing Astra green company (Agc) and Astra Friendly company (AFc) shows the Board of directors’ environmental and social commitments.

On this occasion, the Board of commissioners also would like to report that the Audit committee has discharged its duties very well. work relations between the Audit committee and internal Audit, external Auditor, and the Board of directors also worked very well. The Audit committee’s success is reflected in the company’s healthier operations, with the monitoring, mitigation, and risk prevention, including risks related to financial and legal issues in Astra Otoparts, functions all running properly.
