ARTICLE I

O BJECTIVE OF COOPERATION

1) To develop a tnutual advantage of business cooperation between small and medium enterprises of two countries in developing business on utilization of water hyacinth-based indus try.

2) To establish research cooperation on water hyacinth and its utilization between research institutes of the two countries.

ARTICLE II

AREAS OF COOPERATION

I) The Parties shall find out and encourage SM Es of both sides to undertake feasible husines s joint venture in the tield of water hyacinth-based industry.

2) The Parties shall provide relevant ｩｮＱｾＩｮｮ｡ｴｩｯｮ＠ on trade and investment policies and guidance on the matters related to possible joint venture.

3) The Parties shalJ take necessary efforts to facilitate SMEs to fulfill procedures on the matters related to business licensing, custom, entry visa, quarantine and security matters to accelerate business activities among SMEs of both sides.

4) The Parties shall provide support to the joint venture in the field of:

a. Facilitation for the SMEs of local industries to obtain financial support such as soft loan and other possihle financial sources and scheme from the relevant public or private sectors.

h. Promotion facilities to enhance market opportunities in the local and international market places.

c. Training to enhance skills and capabilities of SMEs involved.

d. Exchanging informat;on on reiated vvater hyacinth technological advancement. e. Strengthening institutional structure and capahi l i ties of the husiness venture h.Y

any possible means such as promotion of cooperatives, association. etc.

5) The Parties shall set up a joint work team to monitor, evaluate and recommend for the success of the implementation of the business joint venture in fulfilling the objectives and outcomes of the cooperation and to take appropriate affirmative ad1on when necessary.

6) On the area of _joint research. the Parties shall, in due course. formulate a mechaniSll' to implement the cooperation through a ')eparate technical Memorandum ol' t 1_{nderstanding between rele\ ant governmental research institutes of the two count!·its}

which shall contain implementing arrangements and other terms necessary for the cooperation.

7) The Parties shall agree on considering the project as a pioneering model having potentials to be implemented \,vithin a trilateral cooperation programs with governments of the other i\frican states of the Nile Basin suffering from the probl(lj?,...,

ARTICLE III

INTELLECTUAL PROPERTY RIGHTS

I. The Parties agree that any intellectual property arising under the implementation of this Arrangement shall be jointly owned and:

a) Each Party shall be allowed to use such intellectual property for the purpose of maintaining. adapting and improving the relevant property.

b) Each Party shall be liable for any claim made by any third party on the ownership and legality of the use of the intellectual property rights which the aforementioned Party for the in1plementation of the cooperation activities brings in under this Arrangement.

2. If either Party wishes to disclose confidential data and/or information resulted from the cooperation activities under this Arrangement to any third party. the disclosing party must obtain prior consent from the other Party before any disclosure can be made.

3. In the event the Party and/or in stitution on hehalf of the Government use the intellectual property fu1 commercial purposes. the order Party shall he entitled to obtain equitable portion of the royalty.

4. Whenever either contracting Party requires the cooperation of another party outside the Republic of Indonesia and the Arab Republic of Egypt for any commercial undertakings resulted from intellectual property covered by this Arrangement, this contracting Party shall give first preference of the cooperation to the other contracting Party under this Arrangement. which shall be waived, if the other contracting Party is unable to participate in a mutually beneficial manner.

ARTICLE IV AM AND 1\'1 E NTS

ｔｨｩｾ＠ Arrangement can ｨｾ＠ amended by mutual consent of the Parties through an exchange of letters between the Parties and such amendment shall come into force on the date as agreed by the Parties.

Dalam kerangka huhungan persahabatan antara kedua negara dan masyarakat serta keinginan untuk memperkuat dan memperluas hubungan ｴ･ｲｳ･｢ｵｴｾ＠

J\1empertimhangkan adanya kescpakatan untara Pcmerintah Republik Indonesia dan

Pemerintah Rcpuhlik Arab Ｑ｜ ｾ Ｑ｣ｳｩｲ＠ dalam ｋ･Ｑ ｾ ｪ｡ｳ｡ｭ｡＠ Ekonomi dan Teknis yang

ditandatangani di Jakarta pada 4 April :2007. pada Sesi Kelima dari pertemuan Komisl Bersama:

Mengacu pada Nota Kesepahaman antara Pemerintah Republik Indonesia dan Pemerintah Repuhlik Arab Meslr mengenai Usaha Kecil dan Menengah yang ditandatangani di Cairo. 17 .Junl ＲＰＰＰｾ＠

Mempertimbangkan keinginan Para Pihak untuk menlngkatkan kerjasama antara kedua negara dahtrn hldang pemanfaatan eceng gondok serta pemanfaatan produksi bambu. Menter! Kerjasama Internasional Republik Arab Mesir Fayza Aboulnaga menyampaikan

undangan ｫ･ｾｪ｡ｳ｡ｭ｡＠ kepada Menteri Negara Koperasi dan Usaha Kecil dan Menengah

I<.epuhlik lndonesiu Suryadharma Ali dalam kunjungan kerjanya pada tanggal 1-3 .Juli 20CJ7 ke Mesir. dan ditincl-lklanjuti di Jakarta olch oloritas yang herwenang dari kedua

Sesuai Jengan hukum dan peratunm reruncLmg-undangan yang beriaku di masing-me1sing negara :

PASAL 1

TUJUAN KERJASAMA

1) Untuk mengembangkan kerjasama usaha yang saling menguntungkan antara usaha keci1 dan menengah (UKM) dari kedua negara dalam pemanfaatan eceng gondok sebagai bahan dasar dalam industri.

2) Untuk membangun kerjasama penelitian mengenai eceng gondok dan pemanfaatannya antar lembaga penelitian kedua negara.

PASAL 2

RlJANG LINGKUP KERJASAMA

1) PARA PIHAK akan mengidentifikasi dan mendorong UKM dari kedua negara untuk melakukan kerjasama usaha dalam bidang industri berbahan dasar eceng gondok.

2) PARA PIHAK akan menyediakan informasi yang relevan mengenai kebijakan penanaman modal dan perdagangan serta pedoman mengenai hal-hal yang terkait dalam ken1ungkinan terbentuknya usaha bersama Uoint venture).

3) PARA PI HAK akan mengambil langkah-langkah yang diperlukan untuk memfasilitasi UKM dalam memenuhi prosedur yang berkaitan dengan perijinan usaha. bea cukai. visa masuk. karantina. dan hal yang berkaitan dengan keamanan untuk mempercepat kegiatan usaha dari usaha kecil dan menengah (UKM) kedua negara.

4) PARA PIHAK mcmberikan dukungan kepada usaha patungan dimaksud dalam hi dang:

a. Fasilitasi bagi UKM lokal untuk memperoleh dukungan keuangan seperti kredit lunak dan kemungkinan sumber dan skema keuangan lainnya baik dari swasta 1naupun pemerintah.

h. Fasilitas promosi untuk meningkatkan kesempatan pasar baik di pasar lokal maupun pasar internasional.

c. Pelatihan untuk meningkatkan ketrampilan dan pengetahuan bagi UKM yang

terlibat.

d. Pertukaran informasi yang terkait dengan pengembangan teknologi pemantaatan eceng gondok.

c. Memperkuat struktur kclcmh2gaan daE kemampuan dari usaha bersama dengan hcrbagai cara ) ang dimungkinkan sepcrti pengemhangan koperasi. asosiasi dan sebagainya.

5) PARA PIHAK akan memhentuk tim kc1:ia hersama untuk memonitor. mengevaluasi. dan memberikan rekomendasi demi keberhasilan pelaksanaan usaha bersama dalam mewujudkan tujuan dan basil dari kerjasama dan untuk melakukan tindakan ､ｾ ﾷﾷＮ＠ _ dukungan lainnya jika diperlukan.

-6) Pada bidang penelitian bersama, pada waktunya, akan merumuskan mekanisme untuk menerapkan kerjasama melalui suatu naskah kesepahaman bersama yang lebih teknis secara terpisab antara lembaga penelitian pemerintah yang relevan dari kedua negara yang akan berisi pengaturan pelaksanaan dan syarat lainnya yang diperlukan untuk kerjasama.

7) PARA PlHAK menyetujui untuk mempertimbangkan proyek ini sebagai model rintisan yang memiliki potensi untuk diterapkan dalam program kerjasama trilateral dengan pen1erintah negara-negara Afrika lainnya yang terletak di aliran Sungai Nil yang mengalami masalah eceng gondok.

PASAL 3

HAK KEKA Y AAN INTELEKTllAL

1) PARA PIHAK sepakat babvv'a seluruh karya intelektual yang dibasilkan sebagai pelaksanaan dari kesepakatan ini akan dimiliki secara bersama dan:

a. Masing-masing pihak akan diijinkan untuk menggunakan karya intelektual dimaksud dengan tujuan untuk mempertahankan, adaptasi, dan memperbaiki karya intelektual tersebut.

b. Masing-masing pihak akan bertanggung jawab untuk setiap klaim yang dibuat oleh pihak ketiga terkait kepemilikan dan legalitas dari penggunaan hak karya intelektual yang terkait dengan pdaksanaan kegiatan kerjasama ini.

2) .Jika salab satu pihak ingin mengungkapkan data rabasia dan/atau mformasi yang merupakan basil dari ｫ･ｾｪ｡ｳ｡ｲｮ｡＠ di dalarn kesepakatan ini kepada pihak ketiga. pibak yang akan mengungkapkan infurmasi tersebut terlebih dahulu harus mendapatkan persetu_juan dari pibak lainnya sehelum pemberian informasi dapat dilakukan.

3) .Jika dalam suatu waktu salah satu pihak dan/atau lembaga sebagai perwakilan dari pemerintab menggunakan karya intelektual bagi tujuan komersial. maka pihak tersebut berhak memperoleh bagian yang setara dari royalti yang ada.

4) Kapanpun salab satu pibak memerlukan ｫ･ｾｪ｡ｳ｡ｭ｡＠ dari pibak lain diluar Republik Indonesia dan Republik Arab Mesir untuk kegiatan komersial apapun dengan karya intelektual basil dari kesepakatan ini. pibak tersebut akan mendabulukan ｫ･ｾｪ｡ｳ｡ｭ｡＠

dengan pihak yang ada dalam kesepakatan mi. yang akan dibebaskan. jika salab satu pihak tidak dapat berpenm saling menguntungkan satu sama lain.

PASAL 4

AIVIANDEMEN

Kesepakatan ini dapat diubah dcngan kesepakatun bersama dari kedua belah pibak n1elalui surat-menyurat antar kedua belab pihak dan amandemen tersebut dapat ､ｩ｢ ｾＮＮＮＮＮＬ＠ pada suatu waktu sesuai kesepakatan kedua belab pibak. ｶｾ＠
