Tahun 2011 bukanlah tahun yang mudah untuk menjaga konsistensi pencapaian kinerja Astra Otoparts yang fenomenal di tahun sebelumnya. Namun perjalanan usaha selama lebih dari tiga dekade telah menempa daya tahan dan mengasah ketangkasan kami dalam menghadapi situasi apapun.

Kami tetap fokus pada dua strategi pertumbuhan untuk menangkap peluang pasar yang lebih luas lagi; mengembangkan produk-produk baru yang bernilai tinggi, sekaligus memperkuat kapabilitas dan kapasitas yang ada untuk menghasilkan produk-produk unggulan.

Strategi pertumbuhan anorganik kami lakukan dengan penambahan unit bisnis-unit bisnis baru dengan pola kerja sama dengan mitra strategis baik di dalam maupun di luar negeri dalam rangka pengembangan produk-produk baru berkualitas. Pada saat yang sama, strategi pertumbuhan organik tetap dipacu dengan cara memperbesar kapasitas pabrik dan membangun tim engineering yang kuat sehingga perusahaan siap merespon pertumbuhan industri otomotif dan menangkap peluang pada momentum yang tepat.

Di tengah-tengah kenaikan harga bahan baku komponen, kami mampu meningkatkan produktivitas dengan cara melakukan efisiensi di semua aspek produksi dan menjaga komitmen untuk tetap menghasilkan produk yang kompetitif dari segi mutu, harga dan waktu penyerahan. Hasilnya, Grup Astra Otoparts dapat meraih pendapatan lebih baik dari yang ditargetkan dan mempertahankan profitabilitas dengan laba bersih di atas satu triliun Rupiah.

“Expanding and Strengthening” adalah tema untuk menggambarkan strategi pertumbuhan yang telah dan akan terus kami jalankan. Astra Otoparts akan tetap bertumbuh dan mencapai visinya menjadi supplier komponen otomotif kelas dunia, sebagai mitra pilihan utama di Indonesia dengan didukung kemampuan

engineering yang handal.

Year 2011 was not an easy year in terms of maintaining the consistency of Astra Otoparts’ phenomenal performance achievement in the previous year. However, our business journey for more than thirty years has built our endurance and sharpened our agility in facing any given situations.

We remain focused on two growth strategies to grasp wider market opportunities; to develop new products with high values, while at the same time strengthening existing capabilities and capacities to produce excellent products. We are adopting inorganic growth

strategy with the addition of new business units under a joint scheme with either local or foreign strategic partners for the purpose of developing new quality products. At the same time, the organic growth strategy is still driven by increasing the factory capacity and building a strong engineering team so as to make Company ready to respond the growth of automotive industry and to grasp the opportunities on the right momentum. In the midst of increasing raw material prices of components, we had been able to improve productivity by performing efficiency in all aspects of production and

by maintaining our commitment to create competitive products in terms of quality, price and delivery time. As a result, Astra Otoparts Group had been able to generate revenue surpassing the targeted amount and to maintain profitability with net income above one trillion Rupiah. “Expanding and Strengthening” is the theme to portray the growth strategy already and to be continuously implemented. Astra Otoparts would continue to grow and achieve its vision to be world class auto parts supplier, partner of choice in Indonesia supported by excellence engineering capabilities.

Company’s History

4 1976

Berdiri sebagai PT Alfa Delta Motor, sebuah perusahaan yang bergerak di perdagangan otomotif, perakitan mesin, dan konstruksi. Pemilik dari perusahaan ini adalah William Soeryadjaja dan PT Djaya Pirusa.

Founded as PT Alfa Delta Motor with businesses in trading of auto industry, assembling of machineries, and construction. PT Alfa Delta Motor was owned by William Soeryadjaja and PT Djaya Pirusa.

1977

PT Alfa Delta Motor berubah nama menjadi PT Pacifc Western.

PT Alfa Delta Motor changed its name into PT Pacific Western.

1983

Astra membeli saham PT Summa Surya di PT Menara Alam Teknik.

Astra acquired PT Summa Surya’s shares in PT Menara Alam Teknik.

1993

Astra mengambil alih seluruh saham PT Menara Alam Teknik, dan merubah nama

PT Menara Alam Teknik menjadi PT Menara Alam Pradipta.

Astra acquired all shares of PT Menara Alam Teknik, and changed the name of PT Menara Alam Teknik, into PT Menara Alam Pradipta.

1981

PT Pacifc Western berubah nama menjadi PT Menara Alam Teknik dan berganti kepemilikan, menjadi milik PT Summa Surya, PT Windu Tri Nusantara dan PT Multivest.

PT Pacific Western changed its name into PT Menara Alam Teknik and changed the owners to PT Summa Surya, PT Windu Tri Nusantara and PT Multivest.

PT Astra Dian Lestari berubah nama menjadi PT Astra Otoparts.

PT Astra Dian Lestari changed its name into PT Astra Otoparts.

1998

PT Astra Otoparts menjadi Perusahaan Publik dengan mencatatkan sahamnya di Bursa Efek Jakarta, dengan kode transaksi: AUTO.

PT Astra Otoparts became a public listed company by listing its shares on the Jakarta Stock Exchange, with transaction code: AUTO.

1996

PT Menara Alam Pradipta berubah nama menjadi PT Astra Pradipta Internusa. Kemudian terjadi merger antara beberapa perusahaan produsen komponen di

lingkungan Grup Astra, diantaranya PT Astra Pradipta Internusa & PT Federal Adiwira Serasi (PT Federal Adiwira Serasi sebagai surviving company). PT Federal Adiwira Serasi berubah nama menjadi PT Astra Dian Lestari.

PT Menara Alam Pradipta changed its name into PT Astra Pradipta Internusa. Then merger of several companies in component manufacturer Astra Group, of which PT Astra Pradipta Internusa & PT Federal Adiwira Serasi (PT Federal Adiwira Serasi as surviving company). PT Federal Adiwira Serasi changed its name into PT Astra Dian Lestari.

PT Astra Otoparts Tbk (Astra Otoparts) adalah perusahaan komponen otomotif terkemuka Indonesia yang memproduksi dan mendistribusikan suku cadang kendaraan bermotor baik kendaraan roda dua maupun roda empat. Sejarah Astra Otoparts bermula dari didirikannya PT Alfa Delta Motor pada tahun 1976, yang bergerak di perdagangan otomotif, perakitan mesin dan konstruksi.

Setelah mengalami berbagai perubahan dan pergantian nama perusahaan, akhirnya pada tahun 1997 berganti menjadi PT Astra Otoparts dan pada tahun 1998 mencatatkan sahamnya di Bursa Efek Jakarta (sekarang Bursa Efek Indonesia) dengan kode transaksi: AUTO. Sejak saat itu PT Astra Otoparts menjadi perusahaan publik dengan nama PT Astra Otoparts Tbk.

Saat ini perusahaan telah bertransformasi menjadi perusahaan industri komponen otomotif terbesar di Indonesia yang didukung oleh 6 unit bisnis dan 29 anak perusahaan dengan 36.284 orang karyawan. Beberapa anak perusahaan merupakan joint venture dengan sejumlah produsen komponen terkemuka dari Jepang, Eropa dan Amerika, seperti Aisin Seiki, Aisin Takaoka, Akebono, Daido Steel, Denso, DIC Corporation, GS Yuasa, Kayaba, Keihin, Mahle, NHK Precision, Nippon Gasket, Nittan Valve, SunFun, Toyoda Gosei, Visteon Corporation, Yazaki dan Aktiebolaget SKF.

PT Astra Otoparts Tbk (Astra Otoparts) is Indonesia’s foremost automotive component company producing and distributing spare parts for both two wheelers and four wheelers. The history of Astra Otoparts began from the establishment of PT Alfa Delta Motor in 1976 which was engaged in automotive industry, machinery assembling and construction.

Following a number of transformations and corporate name changes, finally in 1997 company’s name became PT Astra Otoparts and in 1998 the Company

registered its shares on Jakarta Stock Exchange (now Indonesia Stock Exchange) with ticker symbol AUTO. Since then PT Astra Otoparts became a listed company under the name of PT Astra Otoparts Tbk.

Currently the Company has already transformed into Indonesia’s biggest automotive component company supported by 6 business units and 29 subsidiaries & affiliated companies with a total of 36,284 employees. Several subsidiaries/affiliated companies are joint ventures with prominent

component producers from Japan, Europe and America, such as Aisin Seiki, Aisin Takaoka, Akebono, Daido Steel, Denso, DIC Corporation, GS Yuasa, Kayaba, Keihin, Mahle, NHK Precision, Nippon Gasket, Nittan Valve, SunFun, Toyoda Gosei, Visteon Corporation, Yazaki and Aktiebolaget SKF.

Automotive spare parts produced by Astra Otoparts are absorbed by Original Equipment for Manufacturer (OEM) and Replacement Market (REM). The customers of Astra Otoparts in OEM segment are among others

Mitsubishi, Suzuki, Honda, Yamaha, Kawasaki, and Hino. While in REM segment, Astra Otoparts products have been distributed to all over Indonesia, through its 68 main dealers and 12,000 spare parts retailers. Astra Otoparts’ products are not only controlling domestic market but have also reached out to 49 countries in Middle East, Asia Oceania, Africa, Europe and America. Astra Otoparts has three representative offices in Singapore, Dubai and Australia.

For the past five years Astra Otoparts have already recorded a solid financial performance, which is signified by, among others, the annual sales growth with the average at 17% and net income above Rp1 trillion for the past two years, which indicated a consistent and continuous performance improvement. With its healthy financial profile and varied business portfolio, Astra Otoparts would keep on growing to be the world class automotive components suppliers.

Suku cadang kendaraan bermotor produk Astra Otoparts diserap pasar segmen pabrikan otomotif atau Original Equipment for Manufacturer (OEM) dan segmen pasar suku cadang pengganti atau Replacement Market (REM). Pelanggan Astra Otoparts di segmen OEM diantaranya adalah Toyota, Daihatsu, Isuzu, UD Trucks, Mitsubishi, Suzuki, Honda, Yamaha, Kawasaki, dan Hino. Sedangkan di segmen REM, produk Astra Otoparts sudah didistribusikan ke seluruh pelosok nusantara, melalui 68 main dealers dan 12.000 toko-toko spare parts. Produk Astra Otoparts tidak hanya menguasai pasar dalam negeri tetapi juga telah merambah ke 49 negara di Timur Tengah, Asia Oceania, Afrika, Eropa dan Amerika. Astra Otoparts memiliki tiga kantor perwakilan masing-masing di Singapura, Dubai dan Australia.

Selama 5 tahun terakhir Astra Otoparts telah membukukan kinerja keuangan yang solid, diantaranya ditandai dengan rata-rata pertumbuhan penjualan tahunan yang baik sebesar 17% serta keuntungan bersih di atas Rp 1 triliun pada 2 tahun terakhir, yang mengindikasikan suatu peningkatan kinerja yang konsisten dan berkelanjutan. Dengan profil keuangan yang sehat dan portofolio bisnis yang beragam, Astra Otoparts akan terus bertumbuh menjadi supplier komponen otomotif kelas dunia.

Per 1 Januari 2011, PT Tri Dharma Wisesa resmi berubah nama menjadi PT Akebono Brake Astra Indonesia atau AAIJ (“J” adalah menerangkan “Jakarta”).

Pada tanggal 27 April 2011, PT Astra Otoparts Tbk menyelenggarakan Rapat Umum Pemegang Saham Tahunan, bertempat di Hotel Gran Melia, Kuningan.

PT Astra Otoparts Tbk meluncurkan produk aki Maintenance Free (MF) tipe baru merek GS Astra di dua tempat berturut-turut, yaitu di Hotel Gran Melia, Kuningan pada tanggal 2 Mei 2011 dan di JW Marriot, Surabaya pada tanggal 5 Mei 2011. Produk aki baru ini diperuntukkan bagi kendaraan bermotor roda empat yang disesuaikan dengan iklim tropis Indonesia dengan menggunakan teknologi advance.

Secara umum, kondisi dunia usaha pada tahun 2011 cukup menggembirakan karena didukung oleh kondisi fundamental dan pertumbuhan ekonomi yang kondusif. Selain berdampak positif terhadap investor dan pembeli asing, kondisi ini juga meningkatkan kepercayaan masyarakat sehingga indeks kepercayaan konsumen semakin menguat dan pasar domestik terus meningkat.

Industri otomotif sendiri sempat mengalami beberapa kendala. Pada bulan Maret terjadi bencana gempa dan tsunami di Jepang yang menyebabkan terganggunya pasokan komponen dari Jepang sehingga terjadi penurunan produksi. Pada bulan Oktober, kawasan industri di Ayutthaya, Thailand, yang merupakan salah satu basis industri otomotif dunia, dilanda banjir besar yang berkepanjangan sehingga beberapa industri mobil dan motor menutup pabriknya.

Meskipun demikian, pertumbuhan dan penjualan otomotif nasional mampu mencatat penjualan tertinggi di ASEAN. Sepanjang 2011 beragam produk baru mobil dan sepeda motor diperkenalkan sehingga ikut memicu meningkatnya penjualan. Sampai dengan Desember 2011 penjualan kendaraan roda dua telah mencapai 8.012.540 unit atau naik 8,7% dan kendaraan roda empat mencapai

In general, the business condition in 2011 was relatively favorable due to the conducive atmosphere in fundamental condition and economic growth. In addition to the positive impact they have on the investor and foreign buyers, such conditions have also increased public trust giving rise to the strengthening consumer trust index and improving domestic market.

The automotive industry itself was once encountering a number of constraints.

In March, an earthquake and tsunami in Japan triggered disruptions in components supply from Japan leading to a decrease in production. In October, the industrial zone in Ayutthaya, Thailand, serving as one of the world’s automotive industry basis, suffered from a prolonged flooding forcing a number of car and motorcycle industries to close down their factories. Nevertheless, the national automotive growth and sales have been able to record the highest level in ASEAN. During 2011 various new car and motorcycle models had also been introduced which

had also triggered an increase in sales. As of December 2011, the sales of two wheelers already reached 8,012,540 units or increasing by 8.7% and four wheelers reached 894,164 units or increasing by 16.9% compared to 2010. Such conditions have undoubtedly generated a situation in which component industry experienced a good growth rate as well. Although over shadowed by therise inrawmaterial priceswhich would affect the production costas well asa tight competition with the presence ofdomesticand foreign competitors, especially from China.

Walaupun dibayang-bayangi oleh kenaikan harga bahan baku yang tentunya mempengaruhi biaya produksi, serta kompetisi yang cukup ketat dengan hadirnya pesaing domestik maupun luar negeri khususnya Cina.

Kinerja 2011

PT Astra Otoparts Tbk memasuki tahun 2011 dengan kesadaran bahwa mempertahankan prestasi pencapaian bersejarah pada tahun lalu di industri komponen yang kompetisinya semakin ketat merupakan hal yang tidak mudah. Dibutuhkan kerja keras dan strategi yang tepat untuk meraih kinerja prima yang berkelanjutan. Oleh karena itu, Dewan Komisaris menyampaikan apresiasi kepada jajaran Direksi beserta seluruh karyawan Astra Otoparts yang mampu mencapai kinerja sangat baik dengan mencatat peningkatan penjualan bersih sebesar 17,7% menjadi Rp 7,36 triliun dan mempertahankan laba di atas Rp 1 triliun.

Performance 2011

PT Astra Otoparts Tbk entered into year 2011 with the awareness that maintaining historical achievements in prior year within a more tightening competitive component industry should not be construed as a simple effort. Hard work and appropriate strategies are required to demonstrate a continuous excellent performance. Therefore, the Board of Commissioners extended our appreciation to the Board of Directors and all employees of Astra Otoparts who have been able to achieve an excellent performance by recording an increasing net sales by 17.7% to be Rp 7.36

trillion as well as maintaining net income above Rp 1 trillion.

The Board of Commissioners is of the opinion that such achievements are displaying the Board of Directors’ abilities who have been prudently managing the Company with professional management principles including building communication to all areas, adopting Plan-Do-Check-Action (PDCA) management, and implementing good corporate governance practices.

The Board of Commissioners support

various strategic steps taken by Board of Directors, covering the efficiency efforts for the purpose of minimizing the negative impact of the raw material price increases, whereas on the other hand the OEM customers requested the selling price reduction. That challenge has been over come properly by Astra Otoparts so that the profitability level can be maintained above Rp1 trillion. kemampuan Direksi yang secara cermat mengelola perusahaan dengan prinsip-prinsip manajemen yang profesional termasuk membangun komunikasi ke segala arah, implementasi manajemen Plan-Do-Check-Action (PDCA), serta melaksanakan praktik-praktik tata kelola perusahaan yang baik.

Dewan Komisaris mendukung berbagai langkah strategis yang diambil Direksi, meliputi langkah-langkah efisiensi dalam rangka meminimalisasi dampak negatif dari kenaikan harga bahan baku, di mana pelanggan OEM justru meminta reduksi harga jual, namun telah mampu diatasi dengan baik oleh Astra Otoparts sehingga tingkat profitabilitas dapat dipertahankan di atas Rp 1 triliun. Langkah-langkah strategis lainnya yang tidak kalah penting, yaitu pengembangan kemampuan

engineering untuk pengembangan produk yang bernilai tinggi, pengembangan

SDM yang dimiliki agar mempunyai kompetensi yang handal, melakukan penambahan kapasitas dengan mengedepankan prinsip-prinsip kehati-hatian, melakukan promosi dan edukasi pasar secara tepat untuk mempertahankan citra merk Aspira dan GS Astra sebagai pemimpin pasar, serta melakukan co branding dengan Shell melalui peluncuran pelumas bermerk “Shell Astra”. Pengembangan bisnis baru juga dilakukan dengan memperluas pabrik dan membentuk anak perusahaan baru di dalam maupun di luar negeri yang merupakan strategi pertumbuhan anorganik yang akan menangkap peluang pasar lebih luas lagi. Dewan Komisaris menilai langkah-langkah yang dilakukan oleh Direksi sudah tepat sebagai dasar untuk pertumbuhan usaha jangka pendek dan jangka panjang.

Tata Kelola Perusahaan

Dewan Komisaris mendukung penuh implementasi tata kelola perusahaan yang baik berdasarkan pada prinsip-prinsip GCG yang meliputi transparansi, akuntabilitas, tanggung jawab, independensi, dan kewajaran di seluruh aspek kegiatan perusahaan. Dewan Komisaris bersama Direksi telah sepakat untuk menerapkan prinsip-prinsip tata kelola secara konsisten dan menjadikan praktik tata kelola perusahaan yang baik sebagai landasan operasionalnya.

Good Corporate Governance

The Board of Commissioners fully supports the implementation of good corporate governance based on GCG principles covering transparency, accountability, responsibility, independency, and fairness in all aspects of the Company’s activities. The Board of Commissioners together with Board of Directors agreed to

have consistent implementation of the corporate governance principles and to adopt the good corporate governance practices as their operational foundation. The Board of Commissioners has been supported by Audit Committee to assist the implementation of its monitoring functions. During 2011, Audit Committee already provided inputs to the Board of Commissioners regarding the Board of Directors’ report, particularly for financial statements. Audit Committee in cooperation with Financial Director discussed the amendments made in the

Selama tahun 2011, Komite Audit telah memberikan masukan kepada Dewan Komisaris terhadap laporan Direksi, khususnya laporan keuangan. Komite Audit bekerja sama dengan Direktur Keuangan membahas perubahan pada penyajian laporan keuangan dan pengungkapannya, dan dengan Internal Audit melakukan analisa dan efektivitas pengawasan internal perusahaan. Di samping itu, Komite Audit juga melakukan kajian mengenai independensi dan obyektivitas auditor eksternal, kajian mengenai kepatuhan terhadap peraturan perundang-undangan dan peraturan lainnya.

Kondisi lingkungan bisnis otomotif yang terus berubah secara dinamis mempertegas pentingnya manajemen risiko yang dapat diandalkan. Dewan Komisaris mendorong Direksi untuk melakukan proses manajemen risiko dengan melakukan langkah-langkah sistematis untuk mengidentifikasi, mengukur, mengevaluasi dan mengelola berbagai faktor risiko yang ada, baik risiko strategis maupun risiko operasional perusahaan. Proses manajemen risiko telah dilaksanakan oleh Direksi melalui berbagai perangkat, kebijakan dan prosedur serta metodologi seperti Control Self

Assessment (CSA), Insurance Review, Whistleblower dan Business Continuity Plan.

Dewan Komisaris memberikan apresiasi atas diraihnya penghargaan terhadap penerapan tata kelola perusahaan yang baik di Astra Otoparts, yaitu penghargaan CGPI (Corporate Governance Perception Index) sebagai “The Trusted Company 2011” dari Indonesian Institute for Corporate Governance (IICG) bekerja sama dengan Majalah SWA, dan penghargaan sebagai “The Best Operation Management 2011” dan “The Best Finance Performance 2011” dari Majalah Business Review.

Tanggung Jawab Sosial Perusahaan

Dewan Komisaris menilai Direksi telah menjalankan program tanggung jawab sosial atau Corporate Social Responsibility (CSR) dengan baik sehingga keberadaan perusahaan dirasakan dampak positifnya bagi masyarakat sekitar perusahaan atau pabrik dan juga masyarakat luas sebagai salah satu pemangku kepentingan.

The risk management processes have been implemented by Board of Directors by utilizing various tools, policies, procedures and methodologies such as Control Self Assessment (CSA), Insurance Review, Whistleblower and Business Continuity Plan.

The Board of Commissioners gave an appreciation for the awards received

by Astra Otoparts regarding the GCG implementation, such as the CGPI (Corporate Governance Perception Index) award as “The Trusted Company 2011” from Indonesian Institute for Corporate Governance (IICG) in collaboration with SWA magazine.
