The report of the connnittee attached as annexure no. 12, presented by Chainnan Frank J. REPORT OF THE BOARD OF DIRECTORS ON ADMINISTRATION AND STRUCTURE AT THE MEETING OF THE INTERNATIONAL BOARD OF TRUSTEES.

The committee reviews all available material regarding the theme and emphasis programme. The committee must give a presentation of the theme and emphasis program under each international convention.

All proceeds from annual sponsorship fees and Convention registration fees will be credited to Circle K International's account. All members of the convention committees shall be members in good standing of the Kand District shall be elected by the President.

A - KIWANIS INTERNATIONAL

No new project or expansion of any program requiring supporting materials shall be established without the prior approval of the Board of Trustees. Neither the official emblem, nor any facsimile or single-color reproduction thereof, shall be used without the specific permission and authority of the Board of Trustees of Kiwanis International. The Secretary, with the advice and approval of the Convention Board, shall be responsible for the program.

Board members will be advisors to the Board, assist the Board in carrying out its responsibility, and are not designed to oversee the departments of the General Office. An appropriate member of the Council should be consulted by the Secretary when his judgment would be useful. With the help of the General Office, prepare the annual budget and present it to the Board of Trustees for approval.

It reviews the monthly reports on financial operations and the auditor's annual report and reports on this to the Board of Directors.

B - DISTRICT

All changes adopted at district conventions must be approved by the Kiwanis International Board of Trustees before they become effective. This information will be provided to the President-elect of Kiwanis International no later than the 15th day of the following month. A district convention must be held within the boundaries of the district in question unless prior approval has been obtained from the Kiwanis International Board of Directors to hold a district convention outside the district.

Incorporation of district foundations bearing the •n.ame or emblem of Kiwanis must be approved by the Board of Trustees of Kiwanis International. 7o The sponsoring district shall sign an agreement providing that whenever required by the Board of Trustees of Kiwanis International, the corporation shall dissolve or change its form of organization. It shall be the responsibility of the incoming Governor to train all district officers and incoming committee chairs in accordance with the educational plans approved by the Kiwanis International Board of Trustees.

Whenever the Board of Trustees of Kiwanis International gives approval for the establishment of a youth organization as defined herein, the Board of Trustees of Kiwanis International shall ensure the registration of the name and insignia of said organization.

C - CLUB

A certificate of the member's visit must be issued and sent to the club secretary; or. A majority of the members of a new Kiwanis club must be present at that club's organizational meeting in order for said meeting to be officially recognized as the club's organizational meeting. The president and secretary of a new club must attest their signatures and send the names of the club's charter members to the main office.

All requests will be handled individually in writing over the signature of the International Secretary. A Kiwanis club shall not promote any project or program outside its district without prior approval of the Board of Trustees of Kiwanis International. Information about the official procedure for incorporating a Kiwanis club will be given to the club by the person designated to hold the organizational meeting of the new club.

He will request that the club's bylaws be updated at the time of incorporation.

D - INTERNATIONAL CONVENTIONS

At an international convention, when the number of trustees to be elected may be affected by the results of voting for an office above the trustee level, nominations for trustees to be elected at the convention may immediately follow the collection of ballots for the last office above the trustee level requiring a written ballot. In such event, the presiding officer shall announce the number of trustees to be elected immediately prior to voting for the election of trustees. Control of the exhibits remains at all times in the hands of the International Board of Trustees or their designated representatives.

Each participant, at the time invited, must indicate the nature of the exhibition, space requirements, physical setup, and materials to be exhibited before the final approval of the exhibition is issued. All invited exhibitors must receive approval of the exhibition from the General Office at least three months before the opening date of the convention. It must be closed at the latest at the time of the postponement of the event.

Not later than May 1 of each administrative year, the district secretary of each of the several districts shall certify to Kiwanis International the names of the past district governors who are active, privileged or senior members of the clubs in the district (including those who are not past member district governors of that district) and who are then entitled to be granted credentials as delegates to the International Convention in that administrative year.

E - INTERNATIONAL EXTENSION

GENERAL

SPECIFIC

The Zurich office is registered as the Kiwanis International Europe office, subject to Swiss laws and regulations. Each member of Kiwanis International Europe shall pay the same annual international dues (as determined by the House of Delegates at the annual Kiwanis interconventions) to Kiwanis International as every other Kiwanian worldwide. Kiwanis International will assign a counselor to Kiwanis International-Europe who may or may not be the European member of the Kiwanis International Council.

This is the same responsibility that the Board of Trustees of Kiwanis International has to every other part of the Kiwanis world. Kiwanis International-Europe will also be responsible for a corresponding percentage of the total office rent in Zurich. The Kiwanis International-Europe budget will be balanced so as not to exceed Kiwanis International-Europe liabilities.

Kiwanis International will exercise the same budgetary diligence as throughout the Kiwanis world.

F - FINANCE

Receipts from any sources for the Employee Refreshment Fund are deposited into this account. All European club receipts for all Kiwanis Internationals are deposited into this account. To this account shall be deposited the receipts of the Philippine Clubs for all financial obligations of Kiwanis International.

In this account will be deposited receipts from Argentine clubs for all Kiwanis International financial obligations. In this account will be deposited receipts from Colombian clubs for all Kiwanis International financial obligations. Officers' and directors' liability insurance shall be purchased for the protection of the Board of Trustees of Kiwanis International.

Any adjustments to indebtedness to Kiwanis International will be made by the Board of Trustees upon the recommendation of the Finance Committee Committee.

H - SPONSORED YOUTH CIRCLE K

THE LOCAL KEY CLUB

Within school administration-approved policies, the control of each Key Club will be the responsibility of the sponsoring Kiwanis Club Board, usually directed by the Kiwanis Club's Committee on Key Clubs. A member of the school's faculty must be appointed by the administration. The administration, club programs and activities of the Key Club are the responsibilities of the Key Club Officers, who function under the control of the school authorities, and function as a responsibility of the Kiwanis Club which functions through the Key Club Committee. The Key Club's obligation to its district and international organization shall be the concern of its sponsoring Kiwanis Club.

Travel by Key Club delegates to district and international meetings will be limited to those approved by school administration, parents and Kiwanis Club sponsors. Adult sponsors participating must be either members of the sponsoring Kiwanis Club and/or Key Club Faculty Advisor (or other substitute faculty members, as approved by the local school administrators) and/or a parent of a member of the Key Association. As required by the International Bylaws, no Key Club may sponsor or employ a lottery, raffle, raffle or game of chance in any fundraising activity.

Any contributions received from Key Clubs listed in “Suspended Status” cannot be accepted by the Key Club department unless accompanied by a list of.

AMENDMENTS TO THE KEY CLUB INTERNATIONAL CONSTITUTION AND BYLAWS

I - MISCELLANEOUS

The program for the 1981-1982 autumn meeting of the Council was revised and agreement was reached on the basic elements. Each member of the committee received a copy of the new club handbook, and its contents were briefly discussed by Jerry Deas. Treasurer John Roberts discussed with the committee a survey he had conducted (primarily of governors-elect) with a special focus on high-emphasis programs and programmed instructional techniques in leadership education. The committee recommends the results of the study to the 1981-1982 governing committee on education for further study and possible implementation of programs has a dominant preference.

REPORT OF BOARD COMMITTEE ON NEW CLUB BUILDING TO THE MEETING OF THE INTERNATIONAL BOARD OF TRUSTEES. The committee recommends that the charters of the seven clubs listed on the attached Exhibit A be revoked. REPORT OF THE BOARD COMMITTEE ON REAPPOINTMENT OF GENERAL OFFICERS AFTER THE MEETING OF THE INTERNATIONAL BOARD OF TRUSTEES.
