REPORT OF THE COMMUNITY OF THE BOARD OF DIRECTORS ON LONG RANGE PLANNING TO THE MEETING OF THE INTERNATIONAL BOARD OF DIRECTORS.

REPORT OF THE MANAGEMENT COMMITTEE ON THE MEETING OF THE INTERNATIONAL COUNCIL OF TRUSTEES. Investments will be limited to S&P 400 common stocks, U.S. Treasury securities and bonds, corporate bonds rated A or higher, and money market funds. The investment manager maintains a maximum equity exposure of 5% of a given company's account balance.

The pension trustees are legally responsible for the fund's investment assets. The Pension Trustees shall perform their duties solely in the interests of the Scheme with the care, skill, prudence and diligence under the circumstances prevailing at the time which a prudent person acting in a similar capacity and familiar with these matters would exercise in the conduct of an undertaking of a similar character with similar objects.

Policy guidelines will be established by the Pension Trustees after considering the advice and recommendations of the investment manager and others. The pension trustees believe that it should be the investment manager's job to divide the trust's assets between shares, bonds and cash reserves. It is the intention of the Pension Trustees that the investment manager will make reasonable efforts to preserve the principal amount provided to him, but principal preservation will not be imposed on each individual investment.

According to pension administrators, the equity securities in the portfolio do not necessarily represent a cross-section of the country's economy. To expand the Investment Manager's investment opportunities to achieve the objectives set forth herein, it is permitted to invest in equity securities listed on the New York Stock Exchange, the American Stock Exchange, major regional stock exchanges and over-the-counter exchanges. bonds for which there is a strong market that allows immediate sale of certain equity capital.

It was noted that Article VI, Section 1 of the Constitution requires the Board to schedule a hearing before any proposed district boundary change becomes effective and to notify all affected districts and clubs in the affected districts. The Board's Interpretation of Article VI, Section 1 of the Constitution (Relating to Notice of a Hearing Before the Board of Trustees). The Committee felt that for the convenience of all parties concerned, the phrase, "a hearing before the Board," contained in Article VI, Section 1 of the Constitution should be formally construed.

The Committee recommends that the phrase “a hearing before the Board of Directors” be used in Article VI, Section 1 of the Board of Directors. The staff reported that, in light of the above-mentioned political changes, Hungary meets the Council's criteria for approving an extension. The committee reviewed the District of Eastern Canada and the Caribbean's request for disbursement of their annual grant.

The committee would also like to express its appreciation to the membership department staff for the excellent cooperation and assistance provided during the year and commend them for the role they have played in the recent growth success experienced by Kiwanis. REPORT FROM THE COMMITTEE OF THE BOARD OF DIRECTORS ON COMMUNICATION AND CONVENTIONS TO THE MEETING OF THE INTERNATIONAL BOARD OF DIRECTORS. The committee reviewed the original draft proposal for the travel procedures and recommended editorial changes.

The Committee specifically requested information on budget, circulation and use of the magazine for public relations and recruitment. Any time a change in route is required after departure, please provide a copy of the revised ticket, plus charge/credit slip, to Kiwanis International with the expense account, as well as a statement showing the reason for the change (business or personal ) give. indicated on the charge/credit slip.

The committee discussed the possible benefits of replacing the current method of using an average of the 24-month historical period of monthly exchange rates to determine the exchange rate; an example of how this would work is reflected in Appendix B. With effect from 1 August each year, a calculation will be made to determine the average of the immediately preceding 24 month exchange rate. The exchange rate to be used in the calculation will be the first working day of each of the 24.

The rates used are those published in the Wall Street Journal or, if not stated therein, the average of the major banks used by Kiwanis International. The committee was advised that the International Secretary will send a letter to the President and Board of Directors of the European Federation requesting that Kiwanis International be reimbursed on a more current basis. On the recommendation of Frank J. DiNoto, former chief counsel of the Board Committee on Finance, the staff prepared a preliminary summary budget report for the committee's review.

A similar report will be prepared earlier next year for use by members of the next Finance Committee at the January 1990 Board of Directors meeting. It was suggested that staff time would be spent on implementing four of the various projects discussed. The staff presented a report and analysis of a series of comments and recommendations made by former International President Frank J. Several of the concerns or suggestions have already been addressed.

It was noted by the Committee that parts of the letter are within the purview of the Sponsored Program Committee or the Member Services, Internationalization and Outreach Committee. To balance the proposed budget, we are requesting a subsidy from Kiwanis International in the amount of $37,993.

The District of Georgia proposes to provide that the elected lieutenant governors shall be officers of the district. It was noted that the elected lieutenant governors will not be members of the district committee. Article V, Section 1 appears to be exhaustive as to who may be a county officer.

A member of the Kiwanis International Office staff may not vote at Kiwanis international conventions or district conventions. Nor shall a staff member vote during that portion of the divisional conference at which. the lieutenant governor or lieutenant governor-elect is elected. The proposed revised long range plan will be presented to the Committee at the October 1989 meeting of the Board of Trustees.

All fundraising efforts will be coordinated by the Kiwanis International Secretary, who may consult with the Kiwanis International Foundation Administrator. REPORT FROM THE CHAIRMAN OF THE KIWANIS INTERNATIONAL FOUNDATION TO THE MEETING OF THE INTERNATIONAL BOARD OF DIRECTORS. Thank you for this opportunity to report on the progress of the Kiwanis International Foundation.

Furthermore, the committee recommends that Kiwanis International return to the classification system and mandate minimum attendance. It is the committee's opinion that the use of computer can help a lot in an interconnection in this mobile population:. The committee recommends that the use of the computer in the International Office be programmed to keep track of members moving to another area and that the information be disseminated to the appropriate managers in those areas.

The committee discussed the subject of the untied reserve fund, how large this reserve fund should be and how it should be guaranteed. A subcommittee under the Committee of Past International Presidents has studied the issue of specified representation. The committee recommends that the International Board postpone consideration of expanding Kiwanis to the People's Republic of China at this time.

The committee recommends that the board establish a definition and criteria for a district in good standing. The committee asked to be kept informed of active, inactive and suspended clubs, as well as plans for promoting the program. The integrity of the Board of Directors and Kiwanis International is paramount in the minds of the committee members.

The committee recommends repealing Article III of the Rules of the House of Representatives. The committee would like to commend the International Board of Trustees and current leadership for the steps they have taken to advance Kiwanis.
