Memasuki tahun 2009, perekonomian Indonesia, seperti juga perekonomian dunia, menghadapi ketidakpastian yang mencemaskan. Pada semester kedua 2008 merupakan periode yang cukup sulit, terutama saat likuiditas semakin ketat pada triwulan keempat. Pasar Modal Indonesia mengalami eksodus modal asing yang menimbulkan tekanan terhadap mata uang Rupiah dan menyebabkan suku bunga meningkat. Meskipun mengalami tantangan yang cukup sulit, perekonomian Indonesia terbukti tangguh dan tetap tumbuh sebesar 4,6% pada tahun 2009. Walaupun di beberapa sektor, dampak negatif dari krisis tetap dirasakan di sepanjang 2009. Kebanyakan sektor mampu pulih dengan cepat. Oleh karena itu, kinerja perbankan Indonesia secara umum masih dapat membukukan pertumbuhan yang sehat meskipun tidak sepesat pertumbuhan di tahun-tahun sebelumnya.

Di tahun 2009, portofolio kredit Perbankan Korporat tumbuh dari Rp22 triliun ke Rp27 triliun sehingga mencapai pertumbuhan akhir tahun sebesar 21%. Di sisi kewajiban, keberhasilan utama Perbankan Korporat adalah keberhasilannya menghimpun dana murah pihak ketiga atau giro dari sekitar Rp3,1 triliun menjadi Rp4,7 triliun, atau tumbuh sebesar 36%. Layanan Settlement Bank memainkan peran penting dalam meningkatkan dana giro tersebut.

Di tahun 2009, Bank CIMB Niaga menjadi bank pembayaran terbesar untuk transaksi pasar modal melalui Kustodian Sentral Efek Indonesia (KSEI) dengan pangsa pasar di atas 50%.

Strategi utama Perbankan Korporat untuk mengatasi krisis adalah melalui komunikasi terbuka dengan setiap nasabahnya dan secara cepat mengatasi permasalahan yang muncul. Perbankan Korporat kemudian menetapkan komite Ad Hoc yang beranggotakan pejabat senior Perbankan Korporat dan credit reviewer. Komite tersebut melakukan pertemuan satu kali seminggu untuk mendiskusikan potensi pinjaman bermasalah dan memberikan petunjuk langsung kepada para customer relationship manager. Situasi ini berangsur pulih kembali di pertengahan triwulan kedua, dimana suku bunga juga mulai menurun. Melemahnya perekonomian berdampak pada penurunan kualitas portofolio pinjaman korporat walaupun tidak signifikan.Pada tahun 2009, NPL meningkat dari 1,7% di awal tahun ke posisi 2,6% pada akhir tahun. Rasio pencadangan terhadap kredit bermasalah atas portofolio kredit Perbankan Korporat berada pada posisi yang cukup baik yaitu 120%.

Entering 2009, the Indonesian economy, like other economies throughout the world, faced considerable uncertainties. The business conditions in the second half of 2008 were extremely challenging, particularly once the impact of the global liquidity crisis arrived in the forth quarter. Local capital markets experienced an exodus of foreign capital resulting in significant downward pressure on the Rupiah and a rise in interest rates. Despite these challenges, the Indonesian economy proved resilient and was therefore able to achieve GDP growth of 4.6% for the year. Although for some sectors, the negative impact of the crisis were sustained for the duration of 2009. Most other sectors have recovered well.

Consequently overall performance of Indonesia’s banking industry, though less robust than in years past, was still quite good. Bank CIMB Niaga’s Corporate Banking lending grew from Rp22 trillion to Rp27 trillion for year-end growth of 21%. On the liabilities side, Corporate Banking successfully increased its contribution in low cost funds from around Rp3.1 trillion to Rp4.7 trillion, an increased of 36% year on year. Our Settlement Bank Services played a very important role in raising the current account. As of year-end 2009, Bank CIMB Niaga was the largest payment bank for the equity transaction settlements through the Indonesian Central Securities Depository (KSEI) with market share of more than 50%.

A key component of Corporate Banking’s strategy for mitigating the crisis was in maintaining open lines of communication with customers, and quickly addressing problems as they arose.

Corporate Banking would later set up an Ad Hoc committee comprised of senior Corporate Banking officers and reviewers. The committee would conduct regular bi-weekly meetings to discuss areas where problems may occur and direct customer relationship managers appropriately. As time passed, the business community would adjust to the new economic environment. The situation therefore begun to improve by the middle of the second quarter, when interest rates begin to fall. The economic downturn would therefore have only a marginal impact on the Bank’s corporate lending portfolio. Over the course of 2009 NPLs increased from 1.7% at the beginning of the year to 2.6% by year-end. Loan Loss Coverage for Corporate Banking’s portfolio as of year-end was over 120%.

In many respects, 2009 was a period of consolidation for Corporate Banking. During the first half of the year, while market conditions and overall demand for new lending remained low, Corporate Banking was able to devote considerable attention to the ongoing Bank-wide process of merging operations. The merger was very successful and proceeded in accordance with the predetermined targets. Therefore, as of SPD1 all corporate operations carried out by Bank CIMB Niaga and ex-LippoBank were effectively unified.

The immediate benefits of the merger for Corporate Banking were principally derived from the increased scale of operations. The expansion of the branch network has allowed improved access to the market and enhances service to customers. Bank CIMB Niaga’s marketing programs would hence proceed with improved efficiency and effectiveness.

Corporate Banking sees many opportunities to create synergy and leverage the resources of the CIMB Group. Belonging to a regional group provides Bank CIMB Niaga’s serves to enhance the credibility of the Bank’s corporate operations and represents an attractive source of future added value for all stakeholders. Through access to Group facilities, Corporate Banking customers may be referred to do regional transactions with greater ease. Going forward, Corporate Banking aims to fully leverage CIMB Group branches to give reference on its services to regional businesses seeking entry to international market. One key accomplishment over the course of 2009 was the opening of an Indonesia Desk at CIMB Singapore.

With this new special unit, the business volume from Indonesian companies with offices in Singapore will increase.

Corporate Banking maintains a cluster for Multinational Customers and now a Cluster for State Owned Enterprises (SOE) and Infrastructure. Although SOEs have been customers of Corporate Banking for many years, 2009 was the first year that a specific lending cluster has been created for managing these accounts.

This development is partially in recognition of the important role which government enterprise and spending is expected to have in the Indonesian economy in the coming five-year period. There were no NPLs from the SOE cluster in 2009.

Bank CIMB Niaga plans to set up a new division which will focus much more on the funding side of the Bank’s SOE operations. In addition to attracting third party funds, greater engagement of SOE customers is expected to open the door to greater opportunities for fee-based income including transaction banking, cash management and development of business along value chains.

Awal tahun 2009 merupakan periode konsolidasi bagi Perbankan Korporat. Selama semester pertama, dimana kondisi pasar dan permintaan akan fasilitas kredit baru masih rendah, Perbankan Korporat memfokuskan kegiatannya pada proses penggabungan seluruh kegiatan operasional Bank. Proses penggabungan tersebut mencapai sukses secara keseluruhan dan sesuai dengan sasaran- sasaran yang telah ditetapkan sebelumnya. Sehingga pada SPD1, seluruh operasional korporat yang dilaksanakan oleh Bank CIMB Niaga dan ex-LippoBank secara efektif telah menjadi satu kesatuan.

Manfaat yang langsung terasa setelah penggabungan tersebut muncul dari berubahnya skala bisnis. Penambahan jaringan cabang memberikan akses ke pasar yang lebih luas. Dengan demikian program pemasaran Bank CIMB Niaga sekarang menjadi lebih efektif dan efisien.

Perbankan Korporat melihat adanya peluang untuk memberdayakan sumber daya yang ada pada CIMB Group. Sebagai bagian dari group regional, pelayanan Bank CIMB Niaga akan memperluas kredibilitas operasional korporat Bank dan meningkatkan nilai bagi para pemegang saham. Dengan dukungan CIMB Group, nasabah Perbankan Korporat dapat memberikan referensi untuk melakukan transaksi regional secara lebih mudah. Ke depan, Perbankan Korporat akan memaksimalkan jaringan cabang milik CIMB Group untuk mereferensikan layanannya bagi perusahaan-perusahaan yang berminat untuk melakukan bisnis di luar Indonesia, dimana CIMB Group mempunyai jaringan cabang. Dengan dibukanya Indonesia Desk di kantor CIMB Singapura pada tahun 2009 volume bisnis dari perusahaan-perusahaan Indonesia yang memiliki aktivitas bisnis di Singapura akan meningkat.

Perbankan Korporat juga memiliki unit khusus yang menangani kelompok nasabah Multinasional dan kelompok Badan Usaha Milik Negara (BUMN) & Infrastruktur. Meskipun beberapa BUMN telah menjadi nasabah Perbankan Korporat, tahun 2009 merupakan tahun pertama dimana kelompok kredit khusus dibentuk agar dapat mengolah potensi yang ada dengan lebih baik. Pengembangan ini merupakan cermin pemahaman Bank CIMB Niaga akan pentingnya pengaruh perusahaan milik negara pada perekonomian Indonesia minimal selama 5 tahun mendatang. Rasio NPL yang bersumber dari nasabah BUMN sepanjang tahun 2009 relatif nihil.

Bank CIMB Niaga berencana untuk mendirikan sebuah divisi baru yang fokus untuk menarik pendanaan dari nasabah BUMN. Selain untuk meningkatkan jumlah dana pihak ketiga, hubungan yang lebih erat dengan nasabah BUMN diharapkan dapat membuka lebih banyak peluang pendapatan dari bisnis fee-based termasuk dari transaksi perbankan, cash management dan pengembangan konsep value chains.

Strategy

The main strategies implemented by Corporate Banking were as follow:

To Increase fee-based income:

• Enhance promotion of transaction banking by focusing on cash management, trade finance, and treasury operations.

• Focus on customers with strong potential to develop the field of investment banking (syndication, advisory and capital market)

• Focus on corporate customers, which have regional operations.

To enhance synergies among business units of Bank CIMB Niaga through cross-selling activities:

• Increasing overall market penetration through value chains.

• Maximizing Transaction Banking and Treasury activities.

• Offer consumers products and services to corporate customers’

management and employees.

• Applying the dual banking concept of Islamic financing to corporate customers.

• Integrating CIMB products and services into Bank CIMB Niaga’s portfolio of activities.

Going forward, Corporate Banking intends to set up a new division called “Corporate Business Development.” This new division will develop a new value chain approach.

Corporate Advisory and Syndication Group

The Corporate Advisory and Syndication Group (CASG) is a business division within Corporate Banking which focuses on large scale lending to Corporate Clients by providing syndication services, asset sales and advisory.

Over the course of 2009, CASG was able to participate in several new syndication deals (both as Mandated Lead Arranger as well as Coordinating Arranger). Sectors included multi-finance, telecommunications, food & beverage, cement, coal and infrastructure. The total value of new syndication deals, which Bank CIMB Niaga has participated in over the course of 2009 was Rp4.3 trillion. Bank CIMB Niaga’s contribution to funding these deals amounted to USD143.3 million and Rp1,112.5 billion.

To strengthen Bank CIMB Niaga’s position and maintain its strategic advantage among competitors, CASG will implement the following strategies:

• Activate a higher level of marketing to get more new accounts with strong potential for syndicated loans.

• Strengthen cooperation with other Banks (both onshore and offshore) in order to increase syndication activity and expand the agency function of the Bank.

Meningkatkan pendapatan fee-based:

• Meningkatkan promosi transaksi perbankan yang terfokus pada cash management, trade finance, dan treasury.

• Fokus pada nasabah yang memiliki potensi bagi aktivitas investment banking (sindikasi, penasihat keuangan dan pasar modal).

• Fokus pada nasabah korporat yang memiliki aktivitas regional.

Meningkatkan sinergi antara unit-unit bisnis Bank CIMB Niaga melalui kegiatan cross-selling:

• Meningkatkan penetrasi pasar secara keseluruhan melalui konsep value chain.

• Memaksimalkan Transaction Banking dan kegiatan Treasury.

• Menawarkan produk dan layanan konsumer bagi anggota manajemen dan pegawai nasabah korporat.

• Menerapkan konsep dual banking seperti dalam hal menawarkan produk keuangan Syariah bagi nasabah korporat.

• Mengintegrasikan beragam produk dan layanan CIMB ke dalam portofolio produk dan layanan Bank CIMB Niaga.

Kedepan, Perbankan Korporat berencana mendirikan sebuah divisi baru yang dinamakan “Corporate Business Development.” Divisi ini akan secara khusus mengembangkan konsep pemasaran value chain.

Corporate Advisory and Syndication Group

Corporate Advisory and Syndication Group (CASG) adalah sebuah unit bisnis dibawah Perbankan Korporat yang fokus pada pembiayaan skala besar bagi nasabah korporasi dengan memberikan jasa sindikasi, asset sales dan advisory.

Sepanjang tahun 2009, CASG telah berpartisipasi di beberapa pembiayaan sindikasi (baik sebagai Mandated Lead Arranger maupun sebagai Coordinating Arranger). Sektor yang dibiayai termasuk diantaranya adalah perusahaan multi-finance, telekomunikasi, makanan dan minuman, semen, batubara dan infrastruktur. Total nilai sindikasi baru dimana Bank CIMB Niaga turut berpartisipasi sepanjang tahun 2009 adalah Rp4,3 triliun.

Kontribusi Bank CIMB Niaga dalam pembiayaan sindikasi ini berjumlah total USD143,3 juta dan Rp1.112,5 miliar.

Untuk memperkokoh posisi Bank CIMB Niaga dan menjaga keunggulan strategisnya dibanding bank-bank pesaing, CASG akan menerapkan strategi berikut ini:

• Lebih aktif dalam melakukan pemasaran dalam rangka memperoleh potensi baru pembiayaan sindikasi.

• Memperkokoh kerja sama dengan bank lain (baik dalam negeri maupun luar negeri) dalam rangka meningkatkan aktivitas sindikasi dan memperluas fungsi keagenan Bank CIMB Niaga.

• Memanfaatkan kekuatan dan kompetensi serta hubungan khusus antara Bank CIMB Niaga dengan CIMB Group untuk menarik minat nasabah dalam rangka sindikasi, advisory, dan layanan perbankan korporat lainnya.

• Leverage on the Bank’s existing strength and competence, and the product diversification of CIMB Group to attract good customers for syndication, advisory and other corporate banking services.

Structured Finance

Corporate Banking also provides a range of financial and lending services under Structured Finance, which provide value added services by developing innovative, cost effective solutions to complex problems related to tax, accounting or regulatory issues faced by clients, the Bank helps clients to achieve financial objectives, including yield enhancement, credit risk management and/or capital efficiency.

Securities Services Group

Securities Services Group (SSG) is a business under Corporate Banking which focuses on comprehensive Regional, Domestic Custody and also Trustee Services to our State Owned, Corporate and institutional Clients. Custody and Trustee Services of Bank CIMB Niaga are recognized as the market leader and expertise Human Resources in the Indonesian Capital Market.

Structured Finance

Perbankan Korporat menyediakan berbagai jenis layanan keuangan dan pembiayaan lainnya dibawah Structured Finance, yang menyediakan layanan nilai tambah dengan mengembangkan solusi yang inovatif dan efektif terhadap masalah yang kompleks terkait pajak, akuntansi atau isu peraturan yang digunaan oleh klien, sehingga Bank membantu untuk mencapai tujuan keuangan nasabah, termasuk yield enhancement, manajemen risiko kredit dan efisiensi permodalan.

Securities Services Group

Securities Services Group (SSG) merupakan unit bisnis di bawah Perbankan Korporat yang fokus dalam memberikan layanan Regional, Domestic Custody dan Wali Amanat bagi nasabah BUMN, Korporasi dan institusi. Custody Services offers a range of services to reduce the Client Administration. For over 20 years, the Bank’s dedicated and experienced team has assisted customers with Capital Market transactions. Custody Services is responsible for the settlement transaction, Safekeeping, Customized reporting, and fund accounting. Administration services for securities and variety of Capital Market products including Discretionary fund, Unit Linked, Mutual fund, Employee provident Fund (DPLK).

Presently, Custody Services is administering Rp81 trillion Rupiah for 300 clients, which include insurance company, pension funds, securities house, foundations, fund managers/mutual funds and other financial Institutions. Our Custody Services has the ISO 9001:2000 approval from SGS International and granted Sharia Compliancy from Dewan Syariah Nasional MUI.

Trustee Services offers services to represent and act on behalf of noteholders for debt instruments listed on the Indonesia Stock Exchange (IDX) and private placement also provide Paying Agent, Escrow Agent and Security Agents.

In 2009, Trustee Services handled 36 debt issuance from 25 Companies including PT PLN (Persero), PT PTPN 3 (Persero), PT PTPN 7 (Persero), PT Medco Energy International Tbk and PT Bank BTN (Persero).

In 2010, Securities Services Group will improve its services to face the growing Capital Market industry and also to maintain and retain loyal clients from other competitors.

Settlement Bank Services

Settlement Bank Services is a business unit under Corporate Banking which handles settlement transaction in the capital market, and also known as Payment Bank. In 2009, Bank CIMB Niaga was reappointed by KSEI as payment bank. This is due to the Bank’s advantages, amongst others are Information Technology (IT), banking operations, treasury readiness, professional human resources, integrated dedicated unit, proven business continuity process (BCP), and commitment to always fulfill the Service Level Agreement (SLA). We continuously enhance our service quality and completeness of our services in line with the customers’ needs which KSEI serves. The services provided are working capital loans, intraday service, bank guarantee, virtual account, e-banking, e-tax and foreign exchange transaction.

Custody Services menawarkan beragam jenis layanan untuk mengurangi beban administrasi nasabah. Selama lebih dari 20 tahun, tim yang berdedikasi dan berpengalaman membantu nasabah dalam transaksi Pasar Modal. Custody Services bertanggung jawab terhadap penyelesaian transaksi, penyimpanan pelaporan yang disesuaikan, penghitungan dana dan administrasi efek dan berbagai jenis produk Pasar Modal seperti Discretionary Fund, Unit Linked, Employee Provident Fund (DPLK).

Saat ini Custody Services menangani lebih dari 300 nasabah dengan jumlah aset Rp81 triliun termasuk diantaranya adalah perusahaan asuransi, dana pensiun, sekuritas, yayasan, fund manager/

Layanan Wali Amanat menawarkan layanan untuk mewakili dan bertindak bagi pemilik instrumen hutang yang terdaftar pada Bursa Efek Indonesia dan melakukan penawaran saham tanpa hak memesan efek terlebih dahulu (private placement) serta sebagai Agen Pembayar (Paying Agent), Escrow Agent dan Security Agent.

Hal ini didasari oleh beberapa keunggulan Perusahaan, antara lain teknologi informasi (IT), operasi perbankan (operations), kesiapan treasury, sumber daya manusia (SDM) yang profesional, integrated dedicated unit, business continuity process (BCP) yang teruji dan komitmen untuk selalu memenuhi SLA yang ditetapkan. Kami juga senantiasa meningkatkan kualitas layanan dan kelengkapan layanan sesuai perkembangan kebutuhan perusahaan sekuritas yang dilayani KSEI. Layanan ini antara lain berupa pinjaman modal kerja, layanan intraday, bank garansi, virtual account, e-banking, e-tax maupun transaksi valas (forex).
