Dewan Komisaris adalah keseluruhan Anggota Dewan Komisaris yang berlaku sebagai suatu kesatuan Dewan PTPN XII (Persero) sesuai dengan prinsip-prinsip Good Corporate Governance.
1. Fungsi Dewan Komisaris:
a. Mematuhi Anggaran Dasar, keputusan Rapat Umum Pemegang Saham (RUPS) dan peraturan perundang-undangan;
b. Melakukan pengawasan secara umum dan khusus terhadap pengurusan PTPN XII (Persero) oleh Direksi untuk kepentingan dan tujuan PTPN XII (Persero); dan
c. Memastikan efektivitas praktik Good Corporate Governance yang diterapkan PTPN XII (Persero).

Board of Commissioners are the members of Commissioners acting as one Board of PTPN XII (Persero) with reference to the principles of Good Corporate Governance.
1. Functions of Board of Commissioners :
a. Adhere to the Statutes, the Minutes of General Shareholders Meeting and the Laws;
b. Monitor either in speciic or general way the management of PTPN XII (Persero) by Directors for the interest and goals of PTPN XII (Persero); and
c. Make sure the efectiveness of practice of Good Corporate Governance by PTPN XII (Persero).

dalam 2 (dua) tingkatan:
a. Level Performance adalah fungsi pengawasan Dewan Komisaris memberikan pengarahan dan petunjuk kepada Direksi serta memberikan masukan kepada Rapat Umum Pemegang Saham (RUPS); dan
b. Level Conformance adalah berupa pelaksanaan kegiatan pengawasan pada tahap selanjutnya untuk memastikan saran telah dilaksanakan serta dipenuhinya ketentuan dalam peraturan perundang-undangan dan Anggaran Dasar. 3. Masa Jabatan Dewan Komisaris
Sesuai dengan Anggaran Dasar PTPN XII (Persero) Pasal 15 ayat (4) periode masa jabatan Dewan Komisaris adalah 5 (lima) tahun dengan tidak mengurangi hak RUPS untuk memberhentikan Dewan Komisaris yang bersangkutan sewaktu- waktu. Setelah masa jabatan Dewan Komisaris berakhir, anggota Dewan Komisaris dapat diangkat kembali oleh RUPS untuk 1 (satu) kali masa jabatan. Masa jabatan masing–masing anggota Dewan Komisaris PTPN XII (Persero) tahun 2010 adalah sebagaimana tabel di bawah ini:
2. Functions of Monitoring of Board of Commissioners includes two levels :
a. Level Performance is a monitoring function of Board of Commissioners to provide recommendations and suggestions to Directors and General Shareholders Meeting; and
b. Level Conformance is an further level of monitoring to ensure that the recommendations given has been implemented and has met with the Laws and Statutes.
3. Position Period of Board of Commissioners
As per the Statutes of PTPN XII (Persero) Article 15 point (4), the position period of Board of Commissioners is 5 (ive) years without ignoring the rights of General Shareholders Meeting to terminate related Board of Commissioners at a certain time. After the end of position of Board of Commissioners, the members might be repositioned by the General Shareholders Meeting for 1 (one) more period. The position period of each member of Board of Commissioners of PTPN XII (Persero) 2010 are the following :

Pada tanggal 15 November 2010 Menteri Negara BUMN selaku RUPS PTPN XII (Persero) mengangkat Hambra, S.H., M.Hum. sebagai anggota Dewan Komisaris menggantikan Drs. Sahala Hutasoit berdasarkan Surat Keputusan Nomor : Kep-252/MBU/2010, sehingga susunan Dewan Komisaris menjadi:
